INDIRECT LICENSE TRANSFER OF U. S. NUCLEAR REGULATORY COMMISSION LICENSE NOS.: DPR-3, SFGL-13, DPR-36, SFGL-14, DPR-61 AND SFGL-16

Dear Ms. McCarthy:

This is in regard to Mr. Behrends letter dated August 7, 2007, on behalf of Energy East Corporation, requesting to the extent necessary, the consent of the U.S. Nuclear Regulatory Commission (NRC) under Section 50.80 of Title 10 of the Code of Federal Regulations (10 CFR) to the indirect transfer of the licenses for Maine Yankee Atomic Power Company, Yankee Atomic Electric Company and Connecticut Yankee Atomic Power Company (collectively the Yankee Companies). The request for the license transfer approvals is related to the pending merger of a wholly-owned subsidiary of IBERDROLA, S.A., with and into Energy East, with Energy East being the surviving corporation.

The NRC staff has done a threshold review of the facts and circumstances set forth in your letter, and has considered how the merger will be implemented. The staff concluded that no NRC approval for the indirect license transfers are required under 10 CFR 50.80 with respect to the subject licensees.
