Dear Mr. Leeds:

On December 2, 2011, the Nuclear Regulatory Commission (NRC) staff issued Orders, via the referenced letter, approving the indirect transfer of control of the licenses for the facilities listed above.

The Orders require Carolina Power & Light Company (CP&L) and Florida Power Corporation (FPC) to inform the Director of the Office of Nuclear Reactor Regulation in writing of the date of the closing of the corporate merger of Progress Energy and Duke Energy associated with the indirect transfer action.

CP&L and FPC are hereby informing you that all required regulatory approvals have been obtained and the merger is scheduled to close late on July 2, 2012. Duke Energy is aware that we are providing you this notification and will receive a copy of this letter.

This document contains no new regulatory commitments.
