Public Service Company of New Mexico Sale and Leaseback Transactions Palo Verde Nuclear Generating Station The professionalism, cooperation and efficiency of members of your Staff contributed significantly to the successful completion of sale and leaseback financings relating to the interest of Public Service Company of New Mexico (PNM) in Palo Verde Nuclear Generating Station Units 1 and 2.

On behalf of all those involved in the transactions, I am writing to bring this information to your attention, and to thank

, your Staff, through you, for their efforts.

As is typical of large project financings, the sale and leaseback transactions involved extremely complex issues and documentation, as well as compressed time schedules.

The responsiveness and diligence of your Staff enabled PNM to complete the sale and leaseback fi-nancings in a timely manner, thereby resulting in substantial savings and benefits to PNM and its ratepayers.

Since beginning our efforts more than a year ago to make sale and leaseback financing available to nuclear power plants, we have had oc-casion to deal with a number of highly professional members of your Staff.

We would particularly like to commend the work of George

Knighton, Manny Licitra and Jim Peterson.

They have, of course, been extremely diligent in carrying out the responsibilities of the Commis-sion under the Atomic Energy Act; however, they have also been respon-sive, cooperative and efficient in dealing with our transactions.
