MOTION TO STRIKE AFFIDAVIT OF DONALD H. HAUSER OF MAY 23,1975 PROVIDING " FACTUAL RESPONSE TO THE REPI Y MEMORANDUM OF JUSTICE ON APPLICANT'S CLAIM OF PRIVILEGE" AND IN THE ALTERNATIVE FOR LEAVE TO FILE A REPLY At the prehearing conference of May 14, 1975, counsel for the Appli-cants requested leave to file an affidavit in response to the briefs filed by the other parties before the Special Master for determining questions of privile ge. In its order of May 16, 1975, the Board granted leave to file an affidavit "for the purpose of incorporation, in affidavit form, facts previously set forth in Applicants' A'nswers to Interrogatories. " 1/ In its order the Board limited the scope of Applicants' affidavit by stating that "no further 1/ . response in the nature of argument will be permitted. " The City of Cleveland (Cleveland) moves to strike the affidavit of Mr. Donald H. Hauser and in the' alternative for leave to file a response.

THE AFFIDAVIT EXCEEDS THE SCOPE OF THE BOARD'S ORDER.

v The affidavit of Mr. Hauser should be stricken because it exceeds the scope of the affidavit permitted by the Board's order. The purpose and conditions under which leave was granted to file the affidavit were stated by counsel for the Applicant at transcript pages 1142 and 1143 that the affidavit would go just to the points that would be --

that the people who are listed there are attorneys, i that the people who are there are in the corporate position, who are in control . . .

and that,

[i]t wouldn't argue legal issues again as to what the legal principles are.

Mr. Hauser's affidavit far exceeds these limitations in several ,

l r e s p'e cts. The affidavit is replete with conclusions of law and factual l f

as sumptions. In every supporting paragraph except paragraph 197, Mr. l Hauser states while the document does not recite on its face that it is in response to confidential communications, the communications contained theroin were intended to be and have remained confidential, or that the document was prepared in anticipation of proceedings . . . and, therefore, would be protected under the work product rule.

Mr. Hauser's conclusory ipsi dixit statement with regard to confi-4 fidentiality and work product assumes, of necessity, facts not previously before the Special Master and encompasses an application of law to the assumed facts. Such conclusions are frequently contradicted by other statements in the affidavit or interrogatories. There can be no question

but that these statements by Mr. Hauser greatly exceed the scope permitted by the order of the Board.

In other paragraphs such as 19, 81, 157 and 159, Mr. Hauser has included a conclusion of law that certain persons who had a relationship to the documents are members of the " control group. " The extent of the con-trol group rule and the identity of persons within that group are issues presently before the Special Master. Mr. Hauser's affidavit is simply -Tal argument. Cle*veland understands that Applicant was permitted to file the affidavit to insure that the Special Master had the best available facts before him when he made his important determinations. Instead of providing such facts Applicants have filed a collection of unclusions of law which can f

i i only be prejudicial to the other parties.

1 Cleveland believes that Applicants might, within the scope of the Board's order, have stated purely factual descriptions of the duties and responsibilities of certain individuals which are claimed to have been in the control group. Such factual statements would have assisted the Special Master in determining which persons were in the control group. Instead

. Applicants exceeded the scope of the Board's order and offered cornpletely worthless conclusions of law, l

In numerous other paragraphs, Mr. Hauser has sought to bolster Applicants' claims of privilege by making new claims of privilege in his affidavit which do not appear in his sworn responses to interrogatories.

The appendix to this motion indicates the documents with regard to which the claim of privilege is expanded. 2/ The attempt to assert new claims of privilege which will not be subject to analysis by the other parties is prejudicial and exceeds the scope of the Board's order. No argument can be made that the new claims of privilege are made within the scope of the Board's order which was intended to assure that the Special Master have available the best facts.

MR. HAUSER'S AFFIDAVIT IS NOT PROBATIVE An affidavit which merely asserts matters of opinion or conclusion unsupported by factual allegations is not probative and cannot constitute the

' basis of decision by the Special Master. Further, an affidavit wh ch fails to state the basis of affiant's knowledge of tne facts stated lacks probative value and accordingly is immaterial and irrelevant.

Mr. Hauser's affidavit fails to establish any factual predicate either showing that Mr. Hauser has personal knowledge of the facts affirmed or providing a basis for the conclusions asserted.

In his affidavit, Mr. Hauser has alleged with respect to almost every document that the document contained confidential communication 2_/ Columns 1 and 2 of the appendix show the nature ai the privilege originally claimed i. response to interrogatories 1 and 2. Column 4 of the appendix indicates those documents with respect to which new claims j of privilege are made.  !

- and that the document has remained confidential or was prepared in antici-pation of legal proceedings. For the vast majority of these documents, Mr. Hauser was neither the author of the document nor the assistant to the autho r. It is difficult to understand how Mr. .sauser could swear to the subjective intent of other persons that these communications were intended to remain confidential or were prepared in anticipation of legal proceeding absent some showing of facts that Mr. Hauser knows such to be true.

Moreover, in many instances, Mr. Hauser was not the author, did not assist the author, was not the addressee and does not even claim to have been a distributee. Despite his complete lack of contact with these docu-ments, Mr. Hauser on oath states that the communications contained in the document were confidential and that confidentiality has been maintained.

Such statements strain credulity. It seems obvious that in order to prove that confidentiality has been maintained evidence must be presented showing that every person who had a copy of the document or saw the document was within the control group or was an attorney for claimant and maintained the confidentiality of the document. There has been no factual predicate established to support Mr. Hauser's assertion that the various authors, addressees and distributees or those to whom the document might have been shown maintained confidentiality.

Bare allegations in an affidavit that a certain act was accompanied by a certain intent or that a certain state of mind existed on the part of an individual is absolutely insufficient. State of mind can be testified to by another only from outward acts and circumstances, such as marking a

document confidential, under which the state of mind is manifested. Those facts should have been set forth in the affidavit so that the Special Master may pass judgment as to whether or not the , onclusion of the affiant is well founded. U THE AFFIDAVIT OF MR. HAUSER IS NOT ENTITLED TO CREDIBILITY.

Even a cursory comparison of Mr. Hauser's affidavit signed under oath with Mr. Hauser': prior statements in answer to the Department of Justice interrogatories affirmed under oath reveals so many inconsistencies that one must conclude that the affidavit is unworthy c' w eptance and weight.

Although Applicants argued in their briet to the Special Master in support of their claims of privilege as to certain documents requested for production, at page 6, that CEI has " undertaken a careful screening of the material submitted the Master," it is clear that no such care was taken in the preparation of Mr. Hauser's sworn responses to interrogatories. For example, Mr. Hauser stated under oath in response to interrogatories that Document No. 709 was prepared by " legal staff of CEI. " But in paragraph 200 of his affidavit Mr. Hauser acknowledges that Document No. 709 was prepared by one of the attorneys representing the City of Cleveland or the Council of the City of Cleveland.

The same neglect was demonstrated in preparation of the affidavit of May 23,1975. In paragraph 172 of his affidavit, Mr. Hauser states under oath that Document No. 888 "has not been distributed or given to any 3_/ . 3 Am Jur 2d, Affidavits $ 25, p. 402.

other person. " In truth CEI had previously stated that it had waived its claims of privilege and delivered the document to the Central Depository where it was available for inspection by the parties for at least a month.

Upon learning that his sworn statement was not accurate, Mr. Hauser did not change his affidavit to reflect the truth. He only acknowledged the lack of truth of his statement in a cover letter transmitting his sworn statement.

A myriad of inconsistencies exist between Mr. Hauser's two sets of sworn statements. Conveniently for Applicants, their most recent s~orn statements, submitted after a briefing of Qe burden which must be met by them, are more particularlized.

In response to interrogatories, Mr. Hauser swore that for Document No . 107 it was not known what persons other than the addressee received copies. Now Mr. Hauser states on oath that there were no distributees (affidavit para. 29). What facts, if any, came to his attention between the two statements are not divulged.

Similarly, in response to interrogatories, Mr. Hauser swore that the distributees of Document No. 108 were "not known. " In affidavit para-graph 30, Mr. Hauser swears that there were no distributees.

In interrogatories, Mr. Hauser swore that the distributees of Docu-ment Nos. 110-112 were "not known," but now he swears in paragraph 32 of his affidavit that there were no distributees, again with no factual predicates.

In his sworn response to interrogatories, Mr. Hauser stated that addressees of Document No. 113 were Wilton S. Sogg, J. W. Bartunek, and James M. Bailey with himself as distributee. In paragraph 32 of his affidavit,

Mr. Hauser swears that no one but himself received a copy.

In his sworn responses to interrogatories, Mr. Hauser stated that Document No. 114 was addressed to Wilton S. Sogg, J. W. Bartunek and J. E. Kugelman (J. E. Kugelman is also listed as the author). In paragraph 32 of his affidavit, Mr. Hauser swears that no one but himself received a copy.

Similarly, in response to interrogatories, Mr. Hauser swore that there were addressees other than himself of Document Nos. 115, 116, 117 and 118. In paragraph 32 of his affidavit, Mr. Hauser swears that only he -

received a copy.

In response to interrogatories, Mr. Hauser stated under oath that the distributees of Document Nos. 124 and 125 were "not known. " In para-graph 35 of his affidavit, Mr. Hauser states under oath that the only distri-butees were Messrs. Howley and Hauser.

According to the sworn responses to interrogatories, Mr. Hauser did not know the distributees of Document No. 146. According to paragraph 40 of his~ affidavit, Mr. Hauser now claims that the distributees included only the CEI legal staff.

According to the sworn response to interrogatories, distributees of Document No. 163 were unknown. According to paragraph 52 of Mr. Hauser's affidavit, there were no distributees.

The sworn response to interrogatories states that there probably were no distributees of Document Nos. 2025, 2031 and 2032, but paragraph 179 of Mr. Hauser's affidavit states that the only distributees were attorneys employed or retained by CEI.

In his sworn response to interrogatories, Mr. Hauser states that he cannot tell who are the distributees of Document No. 2047, but in para-graph 179 of his affidavit now swears that the only distributees were attorneys employed or retained by CEI.

In his responses to interrogatories, Mr. Hauser swore that the authors of Document Nos. 2108, 2109, 2110, 2111, and 2112 were unknown and that he was the only distributee. In paragraph 186 of his affidavit, Mr.

Hauser identifies the authors and expands the list of distributees, saying the documents were prepared either by attorneys retained by CEI or by attorneys employed by CEI, and were given to or distributed to only such atto rneys.

Inconsistent statements are made with respect to the following documents in addition to those discussed above:

For many documents no supportive statement can be found in the affidavit. In other instances such as affidavit paragraph 6 the claim in the interrogatories of limited distribution is reduced to a statement that "a copy of this document has not been distributed or given to any other person by me" (emphasis added). While that statement is one which Mr. Hauser has the personal knowledge to make, it is so reduced in scope as to fail to prove that confidentiality has been maintained. >

Because the affidavit does not account for possible disclosure by the author or other distributees it lacks any probative significance.

In other instances Mr. Hauser's affidavit is couched in such vague terms'as to be valueless to the Special Master. For example, Document No. 3 was claimed protected by both the attorney-client privilege and work

product rules. The sworn interrogatory responses supporting the attorney-client privilege claim with respect to Document No. 3 are at odds with the interrogatory responses supporting the work product claims. 4/ Mr. Hauser's affidavit statement with respect to Document No. 3 is so vague as to encompass the inconsistent interrogatory responses.

It should also be noted that Mr. Hauser's affidavit generally addresses the persons to whom a document has been distributed and is silent with respect to disclosure. Distribution is not synonymous with disclosure.

Any factual determination with respect to whether confidentiality has actually been maintained must concern itself with disclosure and not merely distribu-tion.

IF THE AFFIDAVIT OF MR. HAUSER IS NOT S'IRICKEN, CLEVELAND SHOULD BE GRANTED AN OPPORTUNITY TO FILE A REPLY.

It is Cleveland's belief that the affidavit submitted by Mr. Hauser goes so far beyond the scope of the Board's order and is so lacking in probative value that it should be stricken. In the event that Mr. Hauser's affidavit is not stricken, then Cleveland moves that it be granted leave to file a response and that this pleading be accepted as such response and be transmitted to the Special Master. Treating this pleading as Cleveland's response will avoid any additional delays.

4/ - The interrogatory responses supporting attorney-client privilege claims are inconsistent with the interrogatory responses supporting work pro-duct claims with respect to Document Nos. 1, 3, 7, 631 and 634.

In the conference call of May 30, 1975, the. Chairman indicated that

the affidavit was intended to make available to the Special Master the best facts available. Implied was the thought that Mr. Hauser's most recent sworn statement, filed nine days after the request to file was presented to the. Board, would be more accurate than the responses to interrogatories for which Applicants had five months in.which to ascertain the facts.

Cleveland has shown above that Mr. Hauser's sworn statements are so conflicting as to be unreliable. The affidavit cannot be considered to be the best facts.

The analysis which Cleveland ha s undertaken has been time con-suming and laborious. It cannot be assumed that the Special Master can perform that task within the time constraints in which he is compelled to act. If the best facts are to be ascertained, then Cleveland should be entitled to assist the Special Master by offering its analysis of what Applicants have advanced as the best facts.

Inasmuch as Cleveland is merely replying to Applicants' affidavit and not changing either the facts or the legal analysis, there will be no occasion for Applicants to make any additional filing with the Special Master.

WHEREFORE, for the foregoing reasons, Cleveland prays that Mr. Hauser's affidavit be stricken and, in the alternative, that Cleveland be permitted to file a reply and that this pleading be accepted as such reply and transmitted to the Special Master.

m 1 APPENDIX The chart which follows is an accumulation of facts drawn from the interrogatories, affidavits and briefs supplied by all the parties.

The first two columns in part "A" indicate as to each document which privilege was claimed by the Applicants in their answers to interrogatories 1 and 2. . The third column, labeled " Affidavit" indicates whether the affi-davit makes assertions with respect to a particular document. The fourth column, lab' led " Expansion", shows the instances where the affidavit makes new assertions of privilege not found in the answers to interrogatories 1 and 2.

hir. Hauser has made numerous assertions of fact as to all the documents claimed as privileged. As discussed prior, in many instances hir. Hauser had little or no relationship to the document and therefore has ,

l p no basis for the assertion. The first five columns in part "B" indicate i whether hir. Hauser was the author, assistant to the author, addressee, distributee or one to whom the document was disclosed. The last column indicates the documents as to which hir. Hauser was neither the author nor assistant to the author and therefore not the proper person to make assertions as to facts for which he has no given basis.

Part "C" in the appendix is from Cleveland's reply.

The first column in part "C", " App. A - No Basis for Privilege", l refers to the instances as stated in City's reply brief at page 13, and Appendix A where the document (1) did not recite confidential communication l from a client to an attorney; (2) did not express an opinion, analysis or

The last three columns in part "C" come from Appendix C of Cleve-land's reply brief and show the instances where the assistant to the author was listed as " unknown" or "probably none"; where the distribution was

" unknown" or "probably none".

Part "D" is the listing of the attachments to the Department of Justice's reply brief filed on May 2,1975.

The first column, labeled "Attm'nt. A - Confidential Communication",

refers to the documents which the Department of Justice (DOJ) challenged for the reason that they do not contain confidential communications.

The next column, labeled "Attm'nt. B - Attorney", refers to the document challenged by DOJ because neither the writer nor recipient was an atto rney.
