,~~,~~'~~ISETTLEMENTAGREEl1ENTSection1-Parties1.1ThisSettlementAgreement(Agreement),made1980,isbetweentheCityofOrlando,Florida,amunicipalcorporation,andOrlandoUtilitiesCommission,astatutorycommissionunderthelawsoftheStateofFlorida(collectively"Orlando"),andFloridaPowerLightCompany(FPL),acorporationdulyorganized,created,andexistingunderandbyvirtueofthelawsoftheStateofFlorida,whoarethe"Parties."Section2-Premises2.1OrlandohasintervenedinanantitrustproceedingnowpendingbeforetheU.S.NuclearRegulatoryCommission(NRC)involvingtheconstructionpermitforSt.LuciePlant,Unit.No.2(St.LucieUnitNo.2),anucleargeneratingunitownedbyFPLandcurrentlyunderconstruction.OrlandahasalsosuggestedtotheNRCthatitshouldinitiatepro-ceedingsunderSection105aoftheAtomicEnergyActtodeterminewhetherthelicensesofFPL'sthreeoperatingnuclearplantsshouldberevokedormodified.Finally,OrlandohasconsideredenteringapendingcivilantitrustactionintheUnitedStatesDistrictCourtfortheSouthern80061VOVJq'OUNC11-'ATEMtt~Pt',ltltl~~DOCUMENTARYP

~~DistrictofFloridafiledagainstFPLbycertainFloridamunicipalities.2.2ThePartiesagreetoresolvetheseandallsuchclaimsthatOrlandohasassertedormightassertasofthedateofthisAgreementonthebasisofthecovenantscontainedherein,whichincludeprovisionsforFPLtoofferOrlandoanownershipinterestinSt.LucieUnitNo.2alongwithcertainotherrelatedservicesandarrangements,FPLtodefraycertainexpensesincurredbyOrlandoinpreparationforlitigation,andforOrlandotowithdrawfrom'participationincertainregulatoryproceedingsandtoreleaseFPLfromallclaims,contentionsordefensesgroundedupontheantitrustlawsandcertainotherregu-latorystatutes,whichOrlandocouldassertagainstFPLasofthedateofthisAgreement,allsuchcovenantstobecomeeffectiveandsuchpaymenttobemadeuponclosingasprovidedherein.Section3-ParticipationinSt.LucieUnitNo.23.1FPLshallaffordOrlandotheoppoitunitytopurchasea6.08951%ownershipshareofSt.LucieUnitNo.2.ThepartiesshallnegotiateaparticipationagreementforthepurchaseofsuchownershipshareandparticipationbyOrlandoinSt.LucieUnitNo.2.TheclosingprovidedinSection10ofthisAgreement e

shalltakeplaceatthetimeofexecutionofsuchparticipa-tionagreement,oratamutuallyagreedtimewithin5businessdaysthereafter.3.2Ifnoparticipationagreement,asdescribedinSection3.1ofthisAgreement,isexecutedbyJune6,1980,thentheprovisionsofthisAgreementmaybeterminatedattheoptionofeitherpartybynoticegiveninwritingtotheotherparty.Section4-DeliverService4.1FromthedateFPLdeclaresSt.LucieUnitNo.2tobeincommercialoperation,untiltheretirementofSt.LucieUnitNo.2,FPLshalldelivertoOrlando,atoneormorepointswheretheelectricsystemsofthePartiesareinterconnected,anycapacityorenergytowhichOrlandoisentitledbyvirtueofthisAgreement.4.2ThePartiesshallnegotiateacontractforthedeliveryserviceprovidedinSection4.1ofthisAgreement,whichcontractshallprovidetherateandtermsandconditionsforsuchdeliveryservice.XfthePartiesareunabletoagreeontherate,termsorconditionsofsuchacontract,FPLshallfileunilaterallyitsproposedcontractwiththeFederalEnergyRegulatoryCommission(FERC)atleast60daysbefore lI FPLdeclaresSt.LucieUnitNo.2tobeincommercialoperation.SubjecttotheobligationsundertakenpursuanttoSection9ofthisAgreement,nothinginthiscovenantshallpreventOrlandofromobjectingtoanysuchrates,'termsorconditionsbeforetheFERC.ShouldtheFERCdetermine,inaf'naldecisionnolongersubjecttojudicialreview,thatthechargeprovidedinsuchcontractfiledunilaterallybyFPLisnotjustandreasonable,FPLshallrefundanypaymentmadebyOrlandoinexcessofthechargefoundjustandreasonablebytheFERC,withinterestpaidinaccordance'ithapplicableFERCregulations.Thecon-tractshallprovidethatFPL,atanytimeduringitsterm,mayunilaterallyfileforachangeinratesortermsandconditionsunderSection.205oftheFederalPowerActorsuccessorlegislation,andthatOrlando,subjecttotheobligationsundertakenpursuanttoSection9ofthisAgreement,shallhavetherighttoobjecttoanysuchratesortermsandconditionsbeforetheFERC.Section5-St.LucieUnit,No.2'BackstandServices5.1AtOrlando'ssoleoption,FPLshallselltoOrlandoreplacementpowerandenergy("backstand"),fromotherresourcesavailabletoFPLattimesthatSt.LucieUnit.No.2iswhollyorpartiallyunavailabletogenerateelectricity.

OrlandoshallbeentitledtosuchbackstandwhenandtotheextentthattheseasonalnetcapabilityofitspercentageentitlementtotheoutputofSt.LucieUnitNo.2(asdeter-minedfromtimetotimebyFPLapplyingthestandardsusedbyFPLtoestablishtheseasonalnetcapabilityofallofitsnucleargeneratingfacilities),exceedsthenetpowerandenergyactuallyavailabletoOrlandofromSt.LucieUnitNo.2.Ifsuchoptionisexercised,suchbackstandshallbeavailabletoOrlandobeginningatthetimeFPLdeclaresSt.LucieUnitNo.2tobeincommercialoperationuntilSt.LucieUnitNo.2isretiredbyFPL;however,innocircumstanceswillFPLberequiredtoprovideOrlandoupwithtotalbackstandformorethan365consecutivedays,foranysingleinstanceoroccurrencethatcausesthenetpowerandenergyavailabletoOrlandofromSt.LucieUnitNo.2tobelessthantheseasonalnetcapabilityofOrlando'sownershipshareofsuchunit.OrlandomayexercisetheoptioninthiscovenantbynoticetoFPLgivenatanytimepriortothedateFPLdeclaresSt.LucieUnitNo.2tobeincommercialoperation.5.2UpontimelynoticeunderSection5.1ofthisAgreementthatOrlandodesiresbackstandservice,thePartiesshallnegotiateacontractforthesaleofbackstandservicebyFPL

toOrlando,whichcontractshallprovidetherateandtermsandconditionsforsuchbackstandservice.IfthePartiesareunabletoagreeonthetermsofsuchacontract,FPLwillunilaterallyfileitsproposedcontractwiththeFERCat,least60daysbeforethedateofcommercialoperationofSt.'ucieUnitNo.2;providedthatFPIwillinnoeventberequiredtomakeanyfilinguntilatleast90daysafterthereceiptofthenoticeofexerciseofOrlando'soptionpursuanttoSection5.1ofthisAgreement.SubjecttotheobligationsundertakenpursuanttoSection9ofthisAgreement,nothinginthiscovenant,shallpreventOrlandofromobject-ingtoanysuchrates,termsorconditionsbeforetheFERC.ShouldtheFERCdetermine,inafinalordernolongersubjecttojudicialreview,thatthechargesprovidedinsuchcontractfiledunilaterallybyFPLarenotjustandreasonable,FPLshallrefundanypaymentmadebyOrlandoinexcessofthechargefoundjustandreasonablebytheFERC,withinterestpaidinaccordancewithapplicableFERCregulations.ThecontractshallprovidethatFPL,atanytimeduringitsterm,mayunilaterallyfileforachangeinratesortermsandconditionsunderSection205oftheFederalPowerActorsuccessorlegislation,andthatsubjecttoSection9ofthisAgreementOrlandoshallhavetherighttoobjecttoanysuchrates,termsorconditionsbeforetheFERC.

Section6-AdditionalParticipationandUnitPowerSellback6.1AtOrlando'ssoleoption,Orlandomaypurchaseanadditional2.02781%ownershipinterestinSt.LucieUnitNo.2("AdditionalShare")overandabovethetotalownershipinterest.inSt.LucieUnitNo.2providedin1Secti'on3.1ofthisAgreement.OrlandomayexercisetheoptiontopurchasesuchAdditionalSharebynoticegiventoFPLatanytimepriortoJanuary1,1'983.Ifsuchoptionistimelyexercised,theparticipationagreementshallbedrawnoramendedtoprovidefortransfertoOrlandoofatotalownershipshareof8.11732%.6.2IfOrlandoexercisestheoptionset.forthinSection6.1ofthisAgreement,FPLshallrepurchasetwenty-fivepercent(25%)ofthecapacityandassociatedenergyderivedfromOrlando'stotal8.11732%ownershipshareofSt.LucieUnit.No.2,foratermequaltotheoperatinglifeofSt.LucieUnitNo.2.6.3IfOrlandoexercisestheoptionsetforthinSection6.1;thePartiesshallnegotiateacontractfortherepurchaseofOrlando'sSt.LucieUnitNo.2capacity("repurchaseagreement").TherepurchaseagreementshallprovidethatFPLshallpayOrlando,fortherepurchaseof

capacityandassociatedenergyprovidedinSection6.2ofthisAgreement,allofOrlando'scostsassociatedwiththecapacitysubjecttosuchrepurchase.Suchcostsaretoinclude,withoutlimitation,allcostsincurredbyOrlandoinconnectionwithoperationandmaintenance,fuel,andacapitalchargecalculatedonthebasisofonehundredpercent(100%)debtfinancing,thepercentagecostofsuchdebttobedeterminedonthebasisoftheaveragecostofOrlando'sdebtcapitalappliedtoOrlando'sacquisitionofitsownershipshareinSt.LucieUnitNo.2,towhichonepercent(1%)shallbeadded.6.4TheoptionandFPL'sagreementtorepurchasecapacityandenergyprovidedinthisSection6havebeenagreeduponbythePartiesbasedontheirmutualunderstand-ingthatinterestontheinstrumentsofdebtissuedbyOrlandotofinanceacquisitionofitsshareofSt.LucieUnitNo.2willbeexcludedfromthegrossincomeofthelenderforFederalIncomeTaxpurposes("taxexemptfinancing").OrlandoshallnotexercisetheoptionprovidedinthisSection6unlessit,believesingoodfaithatthetimeofitsexerciseoftheoptionthattherepurchasepricepaidbyFPLpursuanttoSection6.3willreflectacapitalchargebasedupontaxexemptfinancingbyOrlando.Inanyevent,

FPLshallnot.berequiredtoenterintotherepurchaseagreementprovidedinthisSection6unlessithasreasonableassurancethatthecapitalchargeprovidedthereinshallbebasedupontaxexemptfinancing.Section7-NuclearReliabilitExchaneI7.1AtOrlando'ssoleoption,saidoptiontobeexercisedbynoticetoFPLgivennotlaterthanJanuary1,1983,'hePartiesshallnegotiateanuclearreliabilityexchangeagreementunderwhichOrlandowillexchangethree-quartersofthecapacityandassociatedenergyfromitsownershipshareofSt.'ucieUnitNo.2foranequalamountofcapacityandassociatedenergyfromTurkeyPointUnitNos.3and4andSt.LucieUnitNo.1("exchangeunits").Thecapacitysoexchangedwillbedividedequallyamongtheexchangeunits.Forpurposesofthenuclearreliabilityexchangeagreement,"capacity"shallbeexpressedinkilowatts.Orlando'srightsat,anygiventimetothecapacityandassociatedenergyofanysuchexchangeunitshallbe.aper-centageofsuchunit'snetcapabilityatsuchtime,calculatedasfollows:(i)Orlando'skilowattentitlementtothecapacityandenergyofSt.LucieUnitNo.2shallbedeterminedbyapplyingitspercentageownership'hareofSt.LucieUnitNo.2(priortotheexchange)totheanticipatedmaturesummer

I~~~I~l10seasonalnetcapabilityofSt.LucieUnitNo.2asdeterminedbyFPLasofthedateFPLdeclaresSt.LucieUnitNo.2incommercialoperation,applyingthestandardsusedbyFPLtoestablishtheseasonalnetgeneratingcapabilityofallofitsnucleargeneratingfacilities;(ii)TodetermineOrlando'spercentageentitlementtothenetcapacityandenergyofsuchexchangeunit,one-fourthofthekilowattentitlementdeterminedunder(i)shallbedividedbythenormalsummer.seasonalnetcapabilityinkilowattsforeachsuchunit(with"normalsummerseasonalnetcapability"determined,ineachinstance,byFPLasofthedatethatFPLdeclaresSt.LucieUnitNo.2incommercialoperation,applyingthestandards'usedbyFPLtoestablishtheseasonalnetgeneratingcapabilityofallofitsnucleargeneratingfacilities).Thenuclearreliabilityexchangeagreementshallprovidethat:(a)nochangeinownershipofanygeneratingfacilityshallbeinvolved,(b)eachPartyshallcontinuetobearallinvestmentandotherfixedcostsassociatedwiththegeneratingfacilitiesownedbyit,(c)eachPartyshallberesponsibleforthefuelandothervariablecostsassociatedwiththecapacityandenergyavailabletoit,and(d)thenuclearreliabilityexchangeshallcommenceifandwhenFPLdeclaresSt.LucieUnitNo.2incommercialoperationandshall

terminatewhenFPLretiresSt.LucieUnitNo.2.TheoptionprovidedinthisSectionmaybeexercisedonlyifOrlando,atorpriortothetimeoftheexerciseofthisoption,exercisestheoptionprovidedinSection6ofthisAgreement.Section8-ReimbursementofLitiationExenses8.1Uponclosing,FPLshallreimburseOrlandoforcertainlitigationexpenseswhichithasincurredthroughparticipationintheproceedingsbeforetheNRCnamedinSection9.2ofthisAgreement,aswellassuchexpensesincurredinpreparingfororexploringthe.possibilityofjoininginthesuitpendingintheUnitedStatesDistrictCourtfortheSouthernDistrictofFlorida,CivilActionNo.79-5101-Civ-JLK.FPLshallreimburseOrlandoforall1suchexpensesuptoamaximumlimitof$100,000.8.2Atleast10businessdayspriortotheclosingprovidedinSection10ofthisAgreement,OrlandoshallpresenttoFPLabillingfortheexpensesprovidedinSection8.1.Suchbillshallincludejustificationfortheamountclaimedtotheextentthesameisevidencedbytheinvoicesandpaymentthereof.FPLshallmakethepaymentprovidedinSection8.1attheclosing.

Section9-ReleaseandWithdrawalofClaims9.1OrlandoagreestoexecutetheRelease,appendedtothisAgreementasAttachmentA,anddeliverittoFPLatthetimeofclosing.9.2Uponclosing(a)OrlandoshalltakesuchstepsasarenecessarytowithdrawitsinterventionintheNRCantitrustlicensingproceedingstyledFloridaPowerLightCompany(St.LuciePlant,UnitNo.2)DocketNo.50-389A;(b)Orlandoshallwithdrawitsrequest,submittedinresponsetoaJuly27,1978,OrderoftheNRCinamatterstyledFloridaPoweraLightCompany(St.LuciePlant,UnitNos.1and2)DocketNos.50-335A,50-389A;FloridaPoweraLiqhtCompany(TurkeyPointPlant,UnitNos.3and4)Docket.Nos.50-250A,50-251A,thattheNRCconduct,aproceedingwithrespecttoFPLunderSection105aoftheAtomicEnergyAct,andifanysuchproceedingiscommenced,Orlandoshallnotparticipatetherein.9.3OrlandoshallnotbringsuitorotherwiseassertagainstFPL,FPL'spast,presentandfutureparents,subsidi-aries,affiliates,orsuccessors,ortheofficers,directors,employees,partners,oragentsofFPL'ndsuch'arents, i

-13subsidiaries,affiliates,orsuccessors,ortheheirsandlegalrepresentativesofsuchofficers,directors,employees,partnersoragents,inanycourt,administrativeforum,proceedingorhearingoftheUnitedStatesoranystate,anyclaim,contention,ordefenseunderorgroundeduponthosestatutesrecitedintheReleaseappendedasAttachmentAtothisAgreement,baseduponanyactionorinactionbyFPLorbyreasonofanycause,matterorthingwhatsoever,fromthebeginningoftheworldtothedate'fthisAgreement.9.4Negotiation,execution,oracceptanceofthisAgreementisnotanadmissionof,nordoesitcreateapresumptionof,anyviolationofanylawonthepartofeitherParty.Section10-Closin10.1ThereshallbeaclosingatthetimedesignatedinaccordancewithSection3ofthisAgreement,attheGeneralOfficesofFPL,9250N.FlaglerStreet,Miami,Florida.Atthetimeofclosing,FPLshallmakethepaymenttoOrlandoasprovidedinSection8ofthisAgreement.OrlandoshalldelivertoFPLanexecutedRelease(AttachmentA)asprovidedinSection9.1ofthisAgreement.FPL'sobligationsunderSections4,5,6,7,8andllandOrlando' Il',IL=

covenantsunderSection9ofthisAgreementshallnotbeeffectiveuntilclosing,butshallbeeffectiveuponandafterclosing.SectionllParitwithPartiestoSubseuentSettlementAreements11.1ShouldFPLenterintoanegotiatedagreementsubsequenttothisAgreement(subsequentagreement)withanymunicipalityinFloridainsettlementofthesuitdescribedinSection8.1ofthisAgreementoreitheroftheNRCpro-'\ceedingsdescribedinSection9.2ofthisAgreement,FPL/shalltransmitanysuchsubsequentagreement.toOrlando.IftheconsiderationgrantedbyFPLinanysubsequentagreementforsettlementoftheproceedingslistedintheforegoingsentenceprovidesanysuchmunicipalitywithdifferent,orquantitativelygreater,benefitsthanthisAgreementprovidesOrlando,Orlandomay,bynoticegiventoFPLnotmorethan90daysafterthedateonwhichFPLhastransmittedsuchsubsequentagreementtoOrlando,requestthatFPLamendthisAgreementtoincorporatethetermsofsuchsubsequentagreementrequestedbyOrlando;inwhichevent,FPLshallsoamendthisAgreement,providedthatFPLmayrequirethatsuchamendmentincorporateanytermsofsuchsubsequentagreementdesiredbyFPL.

XndeterminingwhetheraprovisioninasubsequentAgreementgrantinganownershipinterestinSt.LucieUnitNo.2providesadifferent,orquantitativelygreaterbenefitthanisprovidedbythegrantingofownershipinterestinSt.LucieUnitNo.2inthisAgreement,thefollowingprinciplewillapply:lfsuchsubsequentAgreementprovidesanysuchmunicipalitywithashareofSt.'ucieUnitNo.2(exclusiveofanyownershipsharegrantedinconjunctionwitha"sellback"arrangementsimilartothatdescribedinSection6ofthisAgreement)whichconstitutesapercentageofsuchmunicipality's1977peakelectricloadwhichisgreaterthantheparticipationshareprovidedinSection3.1ofthisAgreementexpressedasapercentageofOrlando'1977peakelectricload,Orlandomayrequest.theopportunityforownership,ofaninterestin'St.LucieUnitNo.2equaltothehigherpercentageappliedtoOrlando's1977peakload.Forpurposesofthisdetermination,anyentity'sshareinSt.LucieUnitNo.2shallbeexpressedinkilowattsbyapplyingitsownershippercentageinSt.LucieUnitNo.2to802megawatts.Asettlementagreementmadeinconsiderationofaparticularmunicipality'sagreeingnottobecomeapartytotheproceedingsdescribedaboveshallbetreatedasanagreementinsettlementofsuchproceedings.

-16ThisprovisionandanyprovisionoftheparticipationagreementbetweenFPLandOrlandoforSt.LucieUnitNo.2whichpermitsOrlandotoobtainparitywiththetermsofaparticipationagreementexecutedbetweenFPLandathirdpartyareintendedtooperateindependently,andeachshallremaininfullforceandeffect.Suchprovisionoftheparticipationagrebmentshallnot.beconstruedtoaffecttheoperationofthisprovision,andthisprovisionshall~'rnotbeconstruedtoaffecttheoperationofsuchprovisionoftheparticipationagreement.Section12-Remedies12.1ThePartiesagreethatspecificperformance,andnot,rescissionandrestitutionordamages,shallbethesoleremedyforanybreachofthisAgreementbyeitherParty',whetherthatbreachispartialortotal,exceptinsofarasthisAgreementexplicitlysetsforthotherremedies.Section13-GeneralProvisions13.1Ifanypart,termorprovisionofthisAgreementoroftheReleaseappendedasAttachmentAisheldtobeillegalorinconflictwithanyofthelawsoftheStateofFloridaoroftheUnitedStatesinanygivencircumstanceunderanyset.offacts(a)the'validityoftheremainingportionsorprovisionsastothosecircumstancesorsetof

-17factsshallnotbeaffected,(b)thevalidityoftheentireAgreementorReleaseastoanyothercircumstancesorsetoffactsshallnotbeaffectedand(c)therightsandobligationsofthePartiesshallbeconstruedandenforcedastothesecircumstancesorsetoffactsasiftheAgreementorReleasedidnotcontaintheparticularpart,term,orprovisionheldtobeinvalidasappliedtothesecircumstancesorsetoffacts.13.2ThePartiesshallcooperatetoexpedite'ndresolveanymattersbeforeanystateorfederalregulatoryforumwhichmaybenecessarytoimplementanyprovisionofthisAgreement,eachpartytobearitsownrespectivelegalexpensesandcostsincurredinsuchmatters.13.3ThisAgreementshallbegovernedbythelawsoftheStateofFlorida,orbyUnitedStatesfederallaw,asapplicable.13.4NeitherthisAgreementnoranypartthereofshallbeassignedbyeitherPartywithoutpriorwrittenconsentoftheotherParty.13.5WaiverofanyprovisionorprovisionsofthisAgreementbyaPartyorthePartiesshallnotaffecttheremainingprovisionsoftheAgreement.13.6AllnoticestobegivenunderthisAgreementshallbeinwritingandshallbe'deemedtobegivenwhenmailed.
