made1980,isbetweentheCityofOrlando,Florida,amunicipal corporation, andOrlandoUtilities Commission, astatutory commission underthelawsoftheStateofFlorida(collectively "Orlando"

),andFloridaPowerLightCompany(FPL),acorporation dulyorganized, created,andexistingunderandbyvirtueofthelawsoftheStateofFlorida,whoarethe"Parties."

Section2-Premises2.1Orlandohasintervened inanantitrust proceeding nowpendingbeforetheU.S.NuclearRegulatory Commission (NRC)involving theconstruction permitforSt.LuciePlant,Unit.No.2(St.LucieUnitNo.2),anucleargenerating unitownedbyFPLandcurrently underconstruction.

Orlandahasalsosuggested totheNRCthatitshouldinitiatepro-ceedingsunderSection105aoftheAtomicEnergyActtodetermine whetherthelicensesofFPL'sthreeoperating nuclearplantsshouldberevokedormodified.

Finally,Orlandohasconsidered enteringapendingcivilantitrust actionintheUnitedStatesDistrictCourtfortheSouthern80061VOVJq'OUNC11-'ATE Mtt~Pt',ltltl~~DOCUMENTARY P

~~DistrictofFloridafiledagainstFPLbycertainFloridamunicipalities.

2.2ThePartiesagreetoresolvetheseandallsuchclaimsthatOrlandohasassertedormightassertasofthedateofthisAgreement onthebasisofthecovenants contained herein,whichincludeprovisions forFPLtoofferOrlandoanownership interestinSt.LucieUnitNo.2alongwithcertainotherrelatedservicesandarrangements, FPLtodefraycertainexpensesincurredbyOrlandoinpreparation forlitigation, andforOrlandotowithdrawfrom'participation incertainregulatory proceedings andtoreleaseFPLfromallclaims,contentions ordefensesgroundedupontheantitrust lawsandcertainotherregu-latorystatutes, whichOrlandocouldassertagainstFPLasofthedateofthisAgreement, allsuchcovenants tobecomeeffectiveandsuchpaymenttobemadeuponclosingasprovidedherein.Section3-Participation inSt.LucieUnitNo.23.1FPLshallaffordOrlandotheoppoitunity topurchasea6.08951%ownership shareofSt.LucieUnitNo.2.Thepartiesshallnegotiate aparticipation agreement forthepurchaseofsuchownership shareandparticipation byOrlandoinSt.LucieUnitNo.2.TheclosingprovidedinSection10ofthisAgreement e

shalltakeplaceatthetimeofexecution ofsuchparticipa-tionagreement, oratamutuallyagreedtimewithin5businessdaysthereafter.

3.2Ifnoparticipation agreement, asdescribed inSection3.1ofthisAgreement, isexecutedbyJune6,1980,thentheprovisions ofthisAgreement maybeterminated attheoptionofeitherpartybynoticegiveninwritingtotheotherparty.Section4-DeliverService4.1FromthedateFPLdeclaresSt.LucieUnitNo.2tobeincommercial operation, untiltheretirement ofSt.LucieUnitNo.2,FPLshalldelivertoOrlando,atoneormorepointswheretheelectricsystemsofthePartiesareinterconnected, anycapacityorenergytowhichOrlandoisentitledbyvirtueofthisAgreement.

4.2ThePartiesshallnegotiate acontractforthedeliveryserviceprovidedinSection4.1ofthisAgreement, whichcontractshallprovidetherateandtermsandconditions forsuchdeliveryservice.XfthePartiesareunabletoagreeontherate,termsorconditions ofsuchacontract, FPLshallfileunilaterally itsproposedcontractwiththeFederalEnergyRegulatory Commission (FERC)atleast60daysbefore lI FPLdeclaresSt.LucieUnitNo.2tobeincommercial operation.

Subjecttotheobligations undertaken pursuanttoSection9ofthisAgreement, nothinginthiscovenantshallpreventOrlandofromobjecting toanysuchrates,'termsorconditions beforetheFERC.ShouldtheFERCdetermine, inaf'naldecisionnolongersubjecttojudicialreview,thatthechargeprovidedinsuchcontractfiledunilaterally byFPLisnotjustandreasonable, FPLshallrefundanypaymentmadebyOrlandoinexcessofthechargefoundjustandreasonable bytheFERC,withinterestpaidinaccordance'ith applicable FERCregulations.

Thecon-tractshallprovidethatFPL,atanytimeduringitsterm,mayunilaterally fileforachangeinratesortermsandconditions underSection.205oftheFederalPowerActorsuccessor legislation, andthatOrlando,subjecttotheobligations undertaken pursuanttoSection9ofthisAgreement, shallhavetherighttoobjecttoanysuchratesortermsandconditions beforetheFERC.Section5-St.LucieUnit,No.2'Backstand Services5.1AtOrlando's soleoption,FPLshallselltoOrlandoreplacement powerandenergy("backstand"),

fromotherresources available toFPLattimesthatSt.LucieUnit.No.2iswhollyorpartially unavailable togenerateelectricity.

Orlandoshallbeentitledtosuchbackstand whenandtotheextentthattheseasonalnetcapability ofitspercentage entitlement totheoutputofSt.LucieUnitNo.2(asdeter-minedfromtimetotimebyFPLapplyingthestandards usedbyFPLtoestablish theseasonalnetcapability ofallofitsnucleargenerating facilities),

exceedsthenetpowerandenergyactuallyavailable toOrlandofromSt.LucieUnitNo.2.Ifsuchoptionisexercised, suchbackstand shallbeavailable toOrlandobeginning atthetimeFPLdeclaresSt.LucieUnitNo.2tobeincommercial operation untilSt.LucieUnitNo.2isretiredbyFPL;however,innocircumstances willFPLberequiredtoprovideOrlandoupwithtotalbackstand formorethan365consecutive days,foranysingleinstanceoroccurrence thatcausesthenetpowerandenergyavailable toOrlandofromSt.LucieUnitNo.2tobelessthantheseasonalnetcapability ofOrlando's ownership shareofsuchunit.OrlandomayexercisetheoptioninthiscovenantbynoticetoFPLgivenatanytimepriortothedateFPLdeclaresSt.LucieUnitNo.2tobeincommercial operation.

5.2UpontimelynoticeunderSection5.1ofthisAgreement thatOrlandodesiresbackstand service,thePartiesshallnegotiate acontractforthesaleofbackstand servicebyFPL

toOrlando,whichcontractshallprovidetherateandtermsandconditions forsuchbackstand service.IfthePartiesareunabletoagreeonthetermsofsuchacontract, FPLwillunilaterally fileitsproposedcontractwiththeFERCat,least60daysbeforethedateofcommercial operation ofSt.'ucieUnitNo.2;providedthatFPIwillinnoeventberequiredtomakeanyfilinguntilatleast90daysafterthereceiptofthenoticeofexerciseofOrlando's optionpursuanttoSection5.1ofthisAgreement.

Subjecttotheobligations undertaken pursuanttoSection9ofthisAgreement, nothinginthiscovenant, shallpreventOrlandofromobject-ingtoanysuchrates,termsorconditions beforetheFERC.ShouldtheFERCdetermine, inafinalordernolongersubjecttojudicialreview,thatthechargesprovidedinsuchcontractfiledunilaterally byFPLarenotjustandreasonable, FPLshallrefundanypaymentmadebyOrlandoinexcessofthechargefoundjustandreasonable bytheFERC,withinterestpaidinaccordance withapplicable FERCregulations.

ThecontractshallprovidethatFPL,atanytimeduringitsterm,mayunilaterally fileforachangeinratesortermsandconditions underSection205oftheFederalPowerActorsuccessor legislation, andthatsubjecttoSection9ofthisAgreement Orlandoshallhavetherighttoobjecttoanysuchrates,termsorconditions beforetheFERC.

Section6-Additional Participation andUnitPowerSellback6.1AtOrlando's soleoption,Orlandomaypurchaseanadditional 2.02781%ownership interestinSt.LucieUnitNo.2("Additional Share")overandabovethetotalownership interest.

inSt.LucieUnitNo.2providedin1Secti'on3.1ofthisAgreement.

OrlandomayexercisetheoptiontopurchasesuchAdditional SharebynoticegiventoFPLatanytimepriortoJanuary1,1'983.Ifsuchoptionistimelyexercised, theparticipation agreement shallbedrawnoramendedtoprovidefortransfertoOrlandoofatotalownership shareof8.11732%.

6.2IfOrlandoexercises theoptionset.forthinSection6.1ofthisAgreement, FPLshallrepurchase twenty-fivepercent(25%)ofthecapacityandassociated energyderivedfromOrlando's total8.11732%ownership shareofSt.LucieUnit.No.2,foratermequaltotheoperating lifeofSt.LucieUnitNo.2.6.3IfOrlandoexercises theoptionsetforthinSection6.1;thePartiesshallnegotiate acontractfortherepurchase ofOrlando's St.LucieUnitNo.2capacity("repurchase agreement").

Therepurchase agreement shallprovidethatFPLshallpayOrlando,fortherepurchase of

capacityandassociated energyprovidedinSection6.2ofthisAgreement, allofOrlando's costsassociated withthecapacitysubjecttosuchrepurchase.

Suchcostsaretoinclude,withoutlimitation, allcostsincurredbyOrlandoinconnection withoperation andmaintenance, fuel,andacapitalchargecalculated onthebasisofonehundredpercent(100%)debtfinancing, thepercentage costofsuchdebttobedetermined onthebasisoftheaveragecostofOrlando's debtcapitalappliedtoOrlando's acquisition ofitsownership shareinSt.LucieUnitNo.2,towhichonepercent(1%)shallbeadded.6.4TheoptionandFPL'sagreement torepurchase capacityandenergyprovidedinthisSection6havebeenagreeduponbythePartiesbasedontheirmutualunderstand-ingthatinterestontheinstruments ofdebtissuedbyOrlandotofinanceacquisition ofitsshareofSt.LucieUnitNo.2willbeexcludedfromthegrossincomeofthelenderforFederalIncomeTaxpurposes("taxexemptfinancing").

OrlandoshallnotexercisetheoptionprovidedinthisSection6unlessit,believesingoodfaithatthetimeofitsexerciseoftheoptionthattherepurchase pricepaidbyFPLpursuanttoSection6.3willreflectacapitalchargebasedupontaxexemptfinancing byOrlando.Inanyevent,

FPLshallnot.berequiredtoenterintotherepurchase agreement providedinthisSection6unlessithasreasonable assurance thatthecapitalchargeprovidedthereinshallbebasedupontaxexemptfinancing.

Section7-NuclearReliabilit ExchaneI7.1AtOrlando's soleoption,saidoptiontobeexercised bynoticetoFPLgivennotlaterthanJanuary1,1983,'hePartiesshallnegotiate anuclearreliability exchangeagreement underwhichOrlandowillexchangethree-quartersofthecapacityandassociated energyfromitsownership shareofSt.'ucieUnitNo.2foranequalamountofcapacityandassociated energyfromTurkeyPointUnitNos.3and4andSt.LucieUnitNo.1("exchangeunits").Thecapacitysoexchanged willbedividedequallyamongtheexchangeunits.Forpurposesofthenuclearreliability exchangeagreement, "capacity" shallbeexpressed inkilowatts.

Orlando's rightsat,anygiventimetothecapacityandassociated energyofanysuchexchangeunitshallbe.aper-centageofsuchunit'snetcapability atsuchtime,calculated asfollows:(i)Orlando's kilowattentitlement tothecapacityandenergyofSt.LucieUnitNo.2shallbedetermined byapplyingitspercentage ownership'hare ofSt.LucieUnitNo.2(priortotheexchange) totheanticipated maturesummer

I~~~I~l10seasonalnetcapability ofSt.LucieUnitNo.2asdetermined byFPLasofthedateFPLdeclaresSt.LucieUnitNo.2incommercial operation, applyingthestandards usedbyFPLtoestablish theseasonalnetgenerating capability ofallofitsnucleargenerating facilities; (ii)Todetermine Orlando's percentage entitlement tothenetcapacityandenergyofsuchexchangeunit,one-fourth ofthekilowattentitlement determined under(i)shallbedividedbythenormalsummer.seasonalnetcapability inkilowatts foreachsuchunit(with"normalsummerseasonalnetcapability" determined, ineachinstance, byFPLasofthedatethatFPLdeclaresSt.LucieUnitNo.2incommercial operation, applyingthestandards'used byFPLtoestablish theseasonalnetgenerating capability ofallofitsnucleargenerating facilities).

Thenuclearreliability exchangeagreement shallprovidethat:(a)nochangeinownership ofanygenerating facilityshallbeinvolved, (b)eachPartyshallcontinuetobearallinvestment andotherfixedcostsassociated withthegenerating facilities ownedbyit,(c)eachPartyshallberesponsible forthefuelandothervariablecostsassociated withthecapacityandenergyavailable toit,and(d)thenuclearreliability exchangeshallcommenceifandwhenFPLdeclaresSt.LucieUnitNo.2incommercial operation andshall

terminate whenFPLretiresSt.LucieUnitNo.2.TheoptionprovidedinthisSectionmaybeexercised onlyifOrlando,atorpriortothetimeoftheexerciseofthisoption,exercises theoptionprovidedinSection6ofthisAgreement.

Section8-Reimbursement ofLitiationExenses8.1Uponclosing,FPLshallreimburse Orlandoforcertainlitigation expenseswhichithasincurredthroughparticipation intheproceedings beforetheNRCnamedinSection9.2ofthisAgreement, aswellassuchexpensesincurredinpreparing fororexploring the.possibility ofjoininginthesuitpendingintheUnitedStatesDistrictCourtfortheSouthernDistrictofFlorida,CivilActionNo.79-5101-Civ-JLK.

FPLshallreimburse Orlandoforall1suchexpensesuptoamaximumlimitof$100,000.8.2Atleast10businessdayspriortotheclosingprovidedinSection10ofthisAgreement, OrlandoshallpresenttoFPLabillingfortheexpensesprovidedinSection8.1.Suchbillshallincludejustification fortheamountclaimedtotheextentthesameisevidenced bytheinvoicesandpaymentthereof.FPLshallmakethepaymentprovidedinSection8.1attheclosing.

Section9-ReleaseandWithdrawal ofClaims9.1OrlandoagreestoexecutetheRelease,appendedtothisAgreement asAttachment A,anddeliverittoFPLatthetimeofclosing.9.2Uponclosing(a)Orlandoshalltakesuchstepsasarenecessary towithdrawitsintervention intheNRCantitrust licensing proceeding styledFloridaPowerLightCompany(St.LuciePlant,UnitNo.2)DocketNo.50-389A;(b)Orlandoshallwithdrawitsrequest,submitted inresponsetoaJuly27,1978,OrderoftheNRCinamatterstyledFloridaPoweraLightCompany(St.LuciePlant,UnitNos.1and2)DocketNos.50-335A,50-389A;FloridaPoweraLiqhtCompany(TurkeyPointPlant,UnitNos.3and4)Docket.Nos.50-250A,50-251A,thattheNRCconduct,aproceeding withrespecttoFPLunderSection105aoftheAtomicEnergyAct,andifanysuchproceeding iscommenced, Orlandoshallnotparticipate therein.9.3Orlandoshallnotbringsuitorotherwise assertagainstFPL,FPL'spast,presentandfutureparents,subsidi-aries,affiliates, orsuccessors, ortheofficers, directors, employees,

partners, oragentsofFPL'ndsuch'arents, i

-13subsidiaries, affiliates, orsuccessors, ortheheirsandlegalrepresentatives ofsuchofficers, directors, employees, partnersoragents,inanycourt,administrative forum,proceeding orhearingoftheUnitedStatesoranystate,anyclaim,contention, ordefenseunderorgroundeduponthosestatutesrecitedintheReleaseappendedasAttachment AtothisAgreement, baseduponanyactionorinactionbyFPLorbyreasonofanycause,matterorthingwhatsoever, fromthebeginning oftheworldtothedate'fthisAgreement.

9.4Negotiation, execution, oracceptance ofthisAgreement isnotanadmission of,nordoesitcreateapresumption of,anyviolation ofanylawonthepartofeitherParty.Section10-Closin10.1Thereshallbeaclosingatthetimedesignated inaccordance withSection3ofthisAgreement, attheGeneralOfficesofFPL,9250N.FlaglerStreet,Miami,Florida.Atthetimeofclosing,FPLshallmakethepaymenttoOrlandoasprovidedinSection8ofthisAgreement.

OrlandoshalldelivertoFPLanexecutedRelease(Attachment A)asprovidedinSection9.1ofthisAgreement.

FPL'sobligations underSections4,5,6,7,8andllandOrlando' Il',IL=

covenants underSection9ofthisAgreement shallnotbeeffective untilclosing,butshallbeeffective uponandafterclosing.SectionllParitwithPartiestoSubseuentSettlement Areements11.1ShouldFPLenterintoanegotiated agreement subsequent tothisAgreement (subsequent agreement) withanymunicipality inFloridainsettlement ofthesuitdescribed inSection8.1ofthisAgreement oreitheroftheNRCpro-'\ceedingsdescribed inSection9.2ofthisAgreement, FPL/shalltransmitanysuchsubsequent agreement.

toOrlando.Iftheconsideration grantedbyFPLinanysubsequent agreement forsettlement oftheproceedings listedintheforegoing sentenceprovidesanysuchmunicipality withdifferent, orquantitatively greater,benefitsthanthisAgreement providesOrlando,Orlandomay,bynoticegiventoFPLnotmorethan90daysafterthedateonwhichFPLhastransmitted suchsubsequent agreement toOrlando,requestthatFPLamendthisAgreement toincorporate thetermsofsuchsubsequent agreement requested byOrlando;inwhichevent,FPLshallsoamendthisAgreement, providedthatFPLmayrequirethatsuchamendment incorporate anytermsofsuchsubsequent agreement desiredbyFPL.

Xndetermining whetheraprovision inasubsequent Agreement grantinganownership interestinSt.LucieUnitNo.2providesadifferent, orquantitatively greaterbenefitthanisprovidedbythegrantingofownership interestinSt.LucieUnitNo.2inthisAgreement, thefollowing principle willapply:lfsuchsubsequent Agreement providesanysuchmunicipality withashareofSt.'ucieUnitNo.2(exclusive ofanyownership sharegrantedinconjunction witha"sellback" arrangement similartothatdescribed inSection6ofthisAgreement) whichconstitutes apercentage ofsuchmunicipality's 1977peakelectricloadwhichisgreaterthantheparticipation shareprovidedinSection3.1ofthisAgreement expressed asapercentage ofOrlando'1977peakelectricload,Orlandomayrequest.theopportunity forownership, ofaninterestin'St.LucieUnitNo.2equaltothehigherpercentage appliedtoOrlando's 1977peakload.Forpurposesofthisdetermination, anyentity'sshareinSt.LucieUnitNo.2shallbeexpressed inkilowatts byapplyingitsownership percentage inSt.LucieUnitNo.2to802megawatts.

Asettlement agreement madeinconsideration ofaparticular municipality's agreeingnottobecomeapartytotheproceedings described aboveshallbetreatedasanagreement insettlement ofsuchproceedings.

-16Thisprovision andanyprovision oftheparticipation agreement betweenFPLandOrlandoforSt.LucieUnitNo.2whichpermitsOrlandotoobtainparitywiththetermsofaparticipation agreement executedbetweenFPLandathirdpartyareintendedtooperateindependently, andeachshallremaininfullforceandeffect.Suchprovision oftheparticipation agrebment shallnot.beconstrued toaffecttheoperation ofthisprovision, andthisprovision shall~'rnotbeconstrued toaffecttheoperation ofsuchprovision oftheparticipation agreement.

Section12-Remedies12.1ThePartiesagreethatspecificperformance, andnot,rescission andrestitution ordamages,shallbethesoleremedyforanybreachofthisAgreement byeitherParty',whetherthatbreachispartialortotal,exceptinsofarasthisAgreement explicitly setsforthotherremedies.

Section13-GeneralProvisions 13.1Ifanypart,termorprovision ofthisAgreement oroftheReleaseappendedasAttachment AisheldtobeillegalorinconflictwithanyofthelawsoftheStateofFloridaoroftheUnitedStatesinanygivencircumstance underanyset.offacts(a)the'validity oftheremaining portionsorprovisions astothosecircumstances orsetof

-17factsshallnotbeaffected, (b)thevalidityoftheentireAgreement orReleaseastoanyothercircumstances orsetoffactsshallnotbeaffectedand(c)therightsandobligations ofthePartiesshallbeconstrued andenforcedastothesecircumstances orsetoffactsasiftheAgreement orReleasedidnotcontaintheparticular part,term,orprovision heldtobeinvalidasappliedtothesecircumstances orsetoffacts.13.2ThePartiesshallcooperate toexpedite'nd resolveanymattersbeforeanystateorfederalregulatory forumwhichmaybenecessary toimplement anyprovision ofthisAgreement, eachpartytobearitsownrespective legalexpensesandcostsincurredinsuchmatters.13.3ThisAgreement shallbegovernedbythelawsoftheStateofFlorida,orbyUnitedStatesfederallaw,asapplicable.

13.4NeitherthisAgreement noranypartthereofshallbeassignedbyeitherPartywithoutpriorwrittenconsentoftheotherParty.13.5Waiverofanyprovision orprovisions ofthisAgreement byaPartyorthePartiesshallnotaffecttheremaining provisions oftheAgreement.

13.6AllnoticestobegivenunderthisAgreement shallbeinwritingandshallbe'deemedtobegivenwhenmailed.
