Your letter dated August 1,1997, as supplemented on October 30,1997, requested consent of

l the Nuclear Regulatory Commission, pursuant to Section 50.80 of Title 10 of the Code of Federal Regulations, of the indirect transfer of the Perry Nuclear Power Plant, Unit No.1, Facility Operating License No. NPF-53 to the extent held by Duquesne Light Company, that will occur under the proposed merger of DOE, Inc. and Allegheny Power System, Inc. By letter dated January 23,1998, the staff issued an Order approving the proposed merger on the Beaver Valley Power Station docket. Similarly, by letter dated March 11,1998, the staff issued an Order approving the proposed merger on the Perry Nuclear Power Plant docket.

On March 31,1998, we were informed that we inadvertently did not include you in our distribution for the Order approving this merger on the Perry docket. Accordingly, a copy of the staff's Order is attached.

We regret any inconvenience we may have caused.

The enclosed Order is in response to a request dated August 1,1997, as supplemented October 30,1997, from Duquesne Light Company, for consent of the Nuclear Regulatory Commission (NRC), pursuant to Section 50.80 of Title 10 of the Code of Federal Regulations.

of the indirect transfer of the Perry Nuclear Power Plant, Unit No.1, Facility Operating License No. NPF-58 to the extent held by Duquesne Light Company (DLC), that will occur under a proposed merger of DQE, Inc. (the parent holding company of DLC) and Allegheny Power System, Inc. DQE, Inc. will become a wholly owned subsidiary of Allegheny Power System, Inc., which will be renamed Allegheny Energy, Inc. DLC will remain a direct subsidiary of DQE, Inc., but will become an indirect subsidiary of Allegheny Energy, Inc. The NRC staffs safety evaluation in support of the Order is also enclosed.

The Order is being forwarded to the Office of the Federal Register for publication.
