50.80, and NRC Administ'ati e Letter 96 02, Duquesne L4ht Company ("Duquesne Light")

hereby submits an application for transfer of control of its Interests in Operating Licenses Nos.

DPR-66 and NPF-73 for the Beaver Valley Power Station ( Beaver Valley") and NPF 58 for the Perry Nuclear Power Plant (" Perry"). Tlic Application requests the consent of the Nuclear Regulatory Commission ("NRC") to the indirect tansfers of control of Duquesne Light's interests in the Beaver Valley and Perry licenses that will occur under a proposed merger of DQE, Inc.

(the parent holding company of Duquesn' Light) and Allegheny Power System, Inc.

The merger will achieve significant cost savings and efficiencies and create a stronger, more competitive enterprise, it is expected to generate about $1 billion in net savings during the first ten years, thereby enhancing Duquesne Light's financial resources to possess its interests in the Beave: Valley and Perry units. Duquesne Light believes that the NRC should be able to consent to the indirect transfers of control occasioned by the proposed merger, since the merger will have no adverse affect on either the technical management or operation of Duquesne 1.ight's Beaver Valley or Perry, will not require a specific demonstration of financial qualifications since Duquesne Light's status as an electric utility under 10 C.F.R {

50.2 will remain unchanged, and will not require any NRC antitrust review because no new license is being issued.

The proposed merger requires approval of other regulatory agencies in addition to consent from the NRC. The NRC Project Managers for Beaver Valley and Perry will be kept informed of the progress made by the other regulatory agencies. The merger is expected to be
