Dear Mr. Myers:

The enclosed Order is in response to a request dated August 1,1997, as supplemented October 30,1997, from Duquesne Light Company, for consent of the Nuclear Regulatory Commission (NRC), pursuant to Section 50.80 of Title 10 of the Code of Federal Reaulations.

of the indirect transfer of the Perry Nuclear Power Plant, Unit No.1, Facility Operating License No. NPF-58 to the extent held by Duquesne Light Company (DLC), that will occur under a l

proposed merger of DQE, Inc. (the parent holding company of DLC) and Allegheny Power System, Inc. DOE, Inc. will become a wholly owned subsidiary of Allegheny Power System, Inc., which will be renamed Allegheny Energy, Inc. DLC will remain a direct subsidiary of DQE, Inc., but will become an indirect subsidiary of Allegheny Energy, Inc. The NRC staffs safety evaluation in support of the Order is also enclosed.

The Order is being forwarded to the Office of the Federal Register for publication.
