Documentary Evidence of Commitments in Application for Order Consenting to Transfer of Control of Licensed Authority to Palisades Energy, LLC Holtec Palisades hereby provides documentary evidence to satisfy the commitments set forth in Attachment E to Enclosure 1 of the pending license transfer application (Reference 1 ).
Commitment 1: notice of the planned closing date for proposed transaction and transfer of operating authority so that NRC can issue the license amendment.
The planned date for the transfer of operational authority from Holtec Decommissioning International ("HDI") to Palisades Energy is August 25, 2025. The parties plan to consummate the license transfer at the same time the Palisades Nuclear Plant ("PNP")
transitions back to operational status and reinstates the power operations licensing basis for the facility. The timing of the transition from decommissioning to operational status is subject to issuance of other regulatory approvals by NRC and a final determination by the Director of the Office of Nuclear Reactor Regulation and the NRC Region Ill Regional Administrator. Subject to issuance of these anticipated NRC approval(s), Holtec Palisades expects to provide a final notice to NRC to support NRC's issuance of the relevant license amendment(s), which will include the Renewed Facility Operating License ("RFOL")
changes to reflect the transition of operational authority from HDI to Palisades Energy.
Commitment 2: proof that on-site property damage insurance coverage and off-site nuclear liability coverage, as required by NRC, has been obtained and that coverage will be in place on the effective date of the transfer. includes documentary evidence of the on-site property damage insurance coverage and off-site nuclear liability coverage required by 10 CFR 140.11(a)(4) and 10
CFR 50.54(w)(1) has been obtained and will be in place on the effective date of the transfer. Holtec Palisades requests that NRC issue the conforming amendment to the Price-Anderson indemnity agreement for PNP-to add Palisades Energy as a licensee for the facility and name Palisades Energy as an indemnified entity-on the same date NRC issues the conforming amendments to the RFOL reflecting the transfer of operational authority to Palisades Energy.
Commitment 3: evidence that Holtec Palisades has provided sufficient financial assurance for decommissioning to satisfy the requirements applicable to an operating reactor pursuant to 10 CFR 50.75 and 72.30.
In Reference 2, HDI submitted its annual decommissioning funding report, which provided the formula amount for PNP under 10 CFR 50. 75(c) and the estimated ISFSI decommissioning costs under 10 CFR 72.30-both in 2024 dollars. Enclosure 2 provides an updated calculation of the minimum funding amount required by 10 CFR 50.75(c) and an escalated ISFSI decommissioning cost estimate through May 31, 2025, along with documentary evidence showing that the PNP decommissioning trust fund is sufficiently funded to cover both amounts.
Commitment 4: evidence that the Palisades organization meets the staffing and qualification requirements set forth in the power operations Technical Specifications, Physical Security Plan, Emergency Plan, Quality Assurance Program Manual, and Updated Final Safety Analysis Report. provides evidence that the PNP organization meets the referenced staffing and qualification requirements. Certain information contained in this evidence constitutes personally identifiable information, the disclosure of which would constitute a clearly unwarranted invasion of personal privacy. Holtec has redacted such personally identifiable information from Enclosure 3. A non-public version of Enclosure 3 is provided as a. Holtec requests that the NRC withhold Enclosure 3a from public disclosure pursuant to 10 CFR 2.390(a)(6).
This letter contains no new commitments.
Holtec Palisades will notify the NRC of any developments that impact the schedule for consummating the transfer of these licenses.

- b. Master Worker Certificate No. NW -0566: ANI will amend the named insureds to "Holtec Palisades, LLC and Palisades Energy, LLC" in lieu of "Holtec Palisades, LLC and Holtec Decommissioning International, LLC". The operator of the facility will also change to Palisades Energy, LLC.

SFP Certificate No. N -0020: ANI will amend the named insureds to "Holtec Palisades, LLC and Palisades Energy, LLC" in lieu of "Holtec Palisades, LLC and Holtec Decommissioning International, LLC".

This Attachment provides the methodology used to calculate the formula cost per 10 CFR 50.75(c) for Palisades.
The labor, energy and burial indexes used are consistent with those described in NUREG-1307, Revision 20, issued February 2025. The current labor cost indexes used are obtained from the Employment Cost Index published by the U.S. Department of Labor, Bureau of Labor Statistics (BLS). Specifically, the Employment Cost Index for total compensation for private industry workers in the Midwest regions. The labor adjustment factors were calculated according to Section 3.2 of NUREG-1307, Revision 20 using first quarter 2025 data. Table 1 shows the data used for this calculation.
