B c s-(V Aoreement for Installation of Modified Ristroch Screens at Indian Point Uq.its 2& 3 The Parties to the Hudson River Settlement Agreement (the " Parties"), have agreed to complete the actions anticipated by Section 2.F in accordance with the Princip'.es set forth below. This Agreement further defines the .ights and responsibilities of the Parties and supersedes tha language of Section 2.P of the Hudson River Settlement Agreement wherever there is an inconsistency between that Section 2.F and titis Agreement.

Principles

1. The Parties authorize Con Edison and the New York Power Authority ("NYPA"), hereinafter referred to jointly as L

! the " Indian Point Utilities", to design and install l

l modified Ristroph Screen Projects (the " Projects") as

} soon as practicable at Indian Point Units 2 and 3 1, n

1 The Project at Unit 2 will includet 6 modified Ristroph Screens installed in the test screen locations, .the test screen upgraded to serve as a spare, bar racks, dedicated spray wash pumps, 2 dual-flow screens at the Unit-1 service water intake to supply filtored spray wash water for the Project, fish / debris return systems,-electrical equipment, piping, other asenclated facilities, and replacement parts necessary to maintain manufacturers' warranties.

-months of this agreement and NYPA will make best efforts to compl6te' installation of the screens at Unit 3 during-the outage currently scheduled for December of 1990.

The Parties further agree that both Projects will be

funded-from the Indian Point Utilities * $20 million (1980 dollars)' commitment to angled screens or alternative mitigation measures under Section 2.F of the Hudson River Settlement Agreement, .

2. The Indian Point Utilities agree to jointly make the

'following payments to the Hudson River Fishermen's-Association ("HRFA"), the Natural Resources Defe'nse s Council'("NRDC"), and Scenic Hudson as costs of the-Projects:-

(a) feimbursement of adequately documented costs, not to; exceed _S180,000 in aggregate, incurred prior to this Agreement by HRFA, NRDC, and Scenic Hudson in ,

reviewing and modifying the test Ristroph Screen.

-(b) Reimbursement;of adequately documented costs, not to exceed $100,000 in aggregate for'both' units, incurred subsequent to,this Agreement.by HRFA,

The Projects will incorporate the fish saving features shown to be effcetive with the test screen at Indian Point and as recommended by Dr. Ian Fletcher, consultant to HRFA, in his December 1, 1986 report and identified as "Royce version 2" depicted as Figure 2 on page 9 and described under the expanded caption " Figure 2" on page 7. ,

4. cxcept.as set forth in the Principles below the Indian Point Utilities will have full authority to proceed with all activities needed to complete the Projects, except that the parties agree that this paragraph shall not be construed as a waiver of Con Edison's or NYPA's .

final contract terms for the Projects, including warranty provisions, all consistent with the Projects' schedules.

The Indian Point Utilities agree to consult and reach

, mutual agreement with interested Parties on the design of the fish and debris return systetas for the Projects, Including fish and debris flaps on the screens. The Indian Point Utilities agree to conduct tests that may reasonably be required to design those systems prior to ,

installation, such tests will be carried out-as mutually agreed upon by the interested Parties, giving appropriate consideration to their costs and potential fish-protective benefits. Such tests, the costs of which are not expected to exceed $200,000 for both units, including reimbursement of HRFA, NRDC and Scenic Hudson for their participation, will be dine concurrently with fabrication and installation of the' Projects and may be charged to the Projects. The Indian Point Utilities agree to install the agreed upon fish and debris return systems on a prompt and reasonable schedule. 9. The Indian Point Utilities agree to operate the screens and other cc ponents of the Projects when the associated circulating water pumps are operating during tho term of the existing SPDES permit (until October ); 1992) to -

optimize fish survival, except whens such operation 1

might result in damage to a screen; a scroon must bo taken out of service for repair or maintenance of one or F

4 or Unit 3. Any repairs required to restore failed components to service will be promptly undertaken. In the event that such repairs cannot be completed within 15 unit operating days, notification with a brief explanation of the problem and its expected duration will be made to the Parties by the operator of the affected Project in accordance with Section 4.J of the Hudson River Settlement Agreement.

10. .Upon completion of the installation phase of each Project, the Indian Point Utilities agree to spend remaining funds as appropriate for tests of and inodifications to the Projects. Remaining funds will be those from the S20 million (1980 dollars) commitment s pursuant to Section 2.P of the Settlemer.t Agreement, less all costs of the Projects and expenditures by the Indian Point utilities prior to this agreement on designing angled screens, designing and testing Modified Ristroph Screens, and designing and determining optimum locations for fish / debris return systems. Con Edison and HYPA each agree to guarantee that $600,000 will be avail &ble to its Project for both pre-installation testing required to design the fish and debris return systems for its unit and such post-installation tests and n.odifications as the Parties may mutually agree upon, including reimbursement of HRFA, NRDC and Scenic Hudson pursuanc to paragraph 2(b) above. / will be made available even if the Indian Point jo-- Utilities must expend funds beyond the $20 million commitment pursuant to Section 2.F of the liudson niver Settlement Agreement. Post-installaticn tests of the Projects, as mutually agreed upon by the Parties after appropriate consideration of c'osts and potential fish-protective benefits, will be carried out by.the Indian Point Utilities. Data collected from such tests will be made available to all the Parties. The Indian Point Utilities agree to provide the Parties with access to the Projects, at reasonable times and consistent with Nuclear Regulatory Commission security requirements, for the express purpose of assessing their operation and effectiveness. Such access will be provided whenever an

m. explicit test is being carried out pursuant to this Agreement, and notice of the timing of such tests will be provided to the Parties by the Indian Point Utilities in a timely fashion. These provisions do not affect access to Indian Point provided to regulatory agencies.

Based upon the results of su:h tests, the Indian Point Utilities will make modifications to the Projects as matually agreed upon by the Parties. Such' modifications would not affect the operation of the units or invalidate manufacturers' warranties.

11. After the Parties agree that tests and modifications of the Projects have been comploted, the Indian Point jo l

Utilities will make any remaining funds from their $20 J s_<

T million (1980 dollars) :ommitment pursuant to Soction 2.r of the Hudson River Settlement Agreomr#nt available to be used at the diecretion of the Parties for researching, testing, and developing cost-nffective methods for mitigating the effects of power plant operation on the Hudson River fishery whether or not such funds are transferred to the Hudson River roundation.
