No. 94-0742640 16 CHARLES RIVER ASSOCIATES INCORPORATED COVER SHEET APPLICATION 17 FOR ALLOWANCE AND PAYMENT OF INTERIM COMPENSATION AND REIMBURSEMENT OF EXPENSES FOR JULY 2002 18 19 Charles River Associates Incorporated (the "Firm") submits its Cover Sheet 20 Application (the "Application") for Allowance and Payment of Interim Compensation and 21 Reimbursement of Expenses for the Period July 1, 2002 through July 31, 2002 (the 22 "Application Period"). In support of the Application, the Firm respectfully represents as 23 follows:

24 1. The Firm is providing expert economic advise to Pacific Gas and Electric 25 Company, the debtor and debtor-in-possession in the above-referenced bankruptcy case (the 26 "Debtor"). The Firm hereby applies to the Court for allowance and payment of interim 27 compensation for services rendered and reimbursement of expenses incurred during the 28 Application Period.

1 2. The Firm billed a total of $54,689.50 in fees and expenses during the 2 Application Period. The total fees represent 178.45 hours5.208333e-4 days <br />0.0125 hours <br />7.440476e-5 weeks <br />1.71225e-5 months <br /> expended during the Application 3 Period. These fees and expenses break down as follows:

6. With regard to the copies of this Application served on counsel for the HOVIM 13 CA 14 Committee, counsel for the Debtor and the Office of the United States Trustee, attached as PIK Exhibit 1 hereto is the name of each professional who performed services in connection with

,A..,M-.15 this case during the period covered by this Application and the hourly rate for each such 16 professional; and attached as Exhibit 2 is an Account Summary. The detailed time and 17 expense statements for the Application Period that comply with all Northern District of 18 California Bankruptcy Local Rules and Compensation Guidelines and the Guidelines of the 19 Office of the United States Trustee have been submitted to the Office of the United States 20 Trustee and mailed to counsel for the Committee and to the Debtor.

7. The Firm is serving a copy of this Application (without Exhibits) on the 22 Special Notice List in this case.

8. Pursuant to this Court's "SECOND AMENDED ORDER ESTABLISHING 24 INTERIM FEE APPLICATION AND EXPENSE REIMBURSEMENT PROCEDURE,"

25 which was entered on or about March 18, 2002, the Debtor is authorized to make the payment 26 requested herein without a further hearing or order of this Court, unless an objection to this 27 Application is filed with the Court by the Debtor, the Committee or the United States Trustee 28 WD 021202/1-1419904/975452/vl 1 and served by the fifteenth day of the month following the service of this Application. If such 2 an objection is filed, Debtor is authorized to pay the amounts, if any, not subject to the 3 objection. The Firm is informed and believes that this Cover Sheet Application was mailed 4 by first class mail, postage prepaid, on or about October 31, 2002.

5 9. The interim compensation and reimbursement of expenses sought in this 6 Application is on account and is not final. Upon the conclusion of this case, the Firm will 7 seek fees and reimbursement of the expenses incurred for the totality of the services rendered 8 in the case. Any interim fees or reimbursement of expenses approved by this Court and 9 received by the Firm (along with the Firm's retainer) will be credited against such final fees 10 and expenses as may be allowed by this Court.

The Firm represents and warrants that its billing practices comply with all 12 Northern District of California Bankruptcy Local Rules and Compensation Guidelines and 13 the Guidelines of the Office of the United States Trustee. Neither the Firm nor any members m 14 of the Firm has any agreement or understanding of any kind or nature to divide, pay over or 15 share any portion of the fees or expenses to be awarded to the Firm with any other person or 16 attorney except as among the members and associates of the Firm.

17 WHEREFORE, the Firm respectfully requests that the Debtor pay compensation 18 to the Firm as requested herein pursuant to and in accordance with the terms of the 19 "SECOND AMENDED ORDER ESTABLISHING INTERIM FEE APPLICATION AND 20 EXPENSE REIMBURSEMENT PROCEDURE."
