BACKGROUNDOnSeptember28,1976,DadeCountyandResourcesRecovery(DadeCounty),Inc.("RRD"),enteredintoapurchasecontractandamanagementandoperationscontractpursuanttowhichRRDagreedtoconstructforsaletoDadeCountyandtooperateandmanageovera20-yearperiod,respectively,asolidwasteprocessingandresourcerecoveryfacility..Thefacilitywastobecomprisedofequipmentcapableofprocessingsolidwasteintofuelandofburningthisfuelinboilerstoproducesteam.Arelatedpartofthefacilitywastoconsistoftwosteam-turbinegeneratorswithacombinedcapacityof76megawattsandrelatedtransmissionfacilities.WhenthesubjectfacilitiesweresubstantiallycompleteandothercontractualrequirementshadbeenfulfilledbyRRD,RRDwastobecompensatedpursuanttothetermsofanEscrowAgreementatwhichtimeRRDwastotransfertitletothefacilitytoDadeCounty.InNovember,1977,DadeCountyenteredintoacontractwithFPLprovidingthatDadeCountywouldsellandFPLwouldbuythereferencedelectricalgenerationfacilitiesandthesteamproducedbytheresourcerecoveryfacility'sboilers.DadeCounty'sobligationsunderthisagreementwereassumedinthemainbyRRDandarelatedcompanybyseparateagreementbetweenDadeCountyandRRD.FPLwouldoperatetheelectricalgenerationfacilitestoproduceelectricityusingthesteamproducedinthesolidwastefacilitybeingoperatedbyRRDandrelatedcompanies.In1980adisputearoseregardingperformanceunderthesecontractsbyRRDanditsrelatedcompanies.Atpresent,RRDandDadeCountyareinvolvedinarbitrationbeforetheAmericanArbitrationAssociationconcerningthisdispute.OnMarch13,1981,ResourcesRecovery(DadeCounty),Inc.(RRD)fileda"NoticeofQualificationofSmallPowerProductionFacility"pursuanttoSection292.207(a)ofthe
~~EnFederalEnergyRegulatoryCommission's("FERC")Rules.InitsNotice,RRDstatedthatitownsandoperatesasmallpowerproductionfacilityinDadeCounty,Florida.OnMay6,1981,FPLfileda"Protest,PetitionforDeclaratoryOrder,andPetitiontoIntervene"inthisproceeding.OnJuly9,1981,DadeCountyfiledaPetitiontoInterveneintheseFERCpro-.ceeding.AtthistimeFERChasnotactedonthesepetitions.Becauseofthependencyofthearbitrationproceeding,DadeCountyatthistimeexpressesnopositionastowhetherornotthefacilityisaqualifyingfacility.InviewofthereferencedcontractualdisputebetweenDadeCountyandRRDanditsrelatedcompanies,andthere-sultantuncertaintyastowhetherthefacilityisorwillbeaqualifyingfacilityundertheFERCrules,andsince'heoutcomeofthisproceedingmayaffecttherightsandopportunitiesIaffordedDadeCountywithregardtothesubjectfacility,DadeCountyseeksleavetointerveneinthisproceeding,ifRRD'sinterventionpetitionisgranted.IV.TheGroundsforInterventionResolutionofthereferencedcontractualdisputeandtheoutcomeoftheFERC'sproceedingmayresultinthefacility'sbeingdeterminedtobeaqualifyingfacility.Ifsodetermined,electricityproducedatthisfacilitymightbeofferedforsaletoFPLortootherelectricutilities.Iftheutilitiestowhichthispoweristobesoldarenotdirectlyinterconnectedwiththefacility,FPLmayberequiredtofurnishtransmissionservices,ifthepoweristoreach"theseutilities.AsdiscussedinRRD'spetitionforleavetointervene,withoutaccesstoFPL'stransmissionfacilities,powerfromthefacilitymaybepreventedfrombeingsoldtowillingbuyers.Withoutaccesstosuchbuyers,asdiscussedbelow,thefacilitymaybepreventedfromreceivingtherevenuesnecessarytocoveritsoperatingandmaintenancecostsanditsdebtservice.
V.InterestofthePetitionerinthisProceedingThesubjectfacility,isintendedtohelpdisposeofDadeCounty'ssolidwaste,andtoproducesteamandultimatelyelectricity.Inorderforthefacilitytoperformthesefunctions,itsownersmustreceiverevenuessufficienttocoveritsoperatingandmaintenancecosts.Onesourceofsuchrevenuesisthesaleofelectricity;clearly,therateatwhichelectricitygeneratedbythefacilitycanbesoldwillaffecttheviabilityoftheproject.IfFERCholdsthatthefacilityisa"qualifyingfacility",then'nderFERCrulesthisratewilldependonthepurchasingutilitysystem's"avoidedcost"(theincrementalcostoftheelectricitywhich,butforthepurchasefromthequalifyingfacility,suchutilitywouldgenerateitselforpurchasefromanothersource).Becauseofthesignificantdifferencesinthesecostsamongvariousutilities,therevenuesavailabletothefacility'sownerandthusthe'viabilityoftheprojectmaybegreatlyaffectedbythefacility'saccesstotransmissionfacilitiesrequiredtodeliverpowerfromthefacilitytopotentialutilitycustomers.VI.GroundsforNon-TimelyInterventionAsnotedinRRD'spetitionforleavetointerveneinthisproceeding<theCommission'sRulesforuntimelypetitionstointervenemaybegrantedbaseduponabalancingofcertaincriteria.Thesearesetforthin10C.F.R.Section2.714(a)(1):(i)Goodcausefornotfilingontime:DadeCounty'interestinthisproceedingisbasedonRRD'spetitionforleavetointervene.ThatpetitionwasnotfileduntilApril24,l98l;asaresult,priortothattime,DadeCountyhadnoreasontoseekinterventioninthisproceeding.(ii)Theavailability,ifany,ofothermeanstopro-tectthePetitioner'sinterests:ThisproceedingwillestablishcertainrequirementsregardingaccesstoFPL'stransmission system.DadeCountyisawareofnootherpendingproceedingsinwhichtheserequirementsarebeingestablished.(iii)TheextenttowhichPetitioner-'sParticipationmayreasonablybeexpectedindevelopinasoundrecord:AsdiscussedinRRD'spetitionforleavetointervene,DadeCounty'sinterestmaydiffersubstantiallyfromthoseofotherpartiesinthisproceeding,includingRRD.DadeCounty'sparticipationisthereforenecessaryforthedevelopmentofacompleterecordinthisproceeding.(iv)TheextenttowhichPetitioner'sinterestwillberepresentedbyexistinparties:Asnotedabove,,nootherqualifyingfacilitieshaverequestedinterventioninthisproceeding,andDadeCounty'sinterestsarenotnecessarilythesameasRRD'sorofthosepertainingtoanyotherqualifyingfacilities.Therefore,nootherpartywillrepresent,DadeCounty'sinterestsinthisproceeding.(v)TheextenttowhichPetitioner'sparticipationwillbroadentheissuesordelaytheproceedings:DadeCounty'sinterventionwillnotbroadentheissuesordelaytheproceeding.Asstatedabove,itsinterestinthispro-.ceedingisconditionedupontheCommission'streatmentof.RRD'srequestforleavetointervene.IftheCommissiondeterminesitappropriatetoconsiderRRD'sarguments,DadeCounty'sversionofsucheventswillbeamaterialfactorinthisproceeding.Iftheseissuesarealreadybeingconsidered,presentationofDadeCounty'sinterestswillnotdelayorbroadentheissues.
