Thesedocuments.confirmthetenuousnatureofP&W'sasser-tions.Consequently,FPLbelievesthatthelatePetitioncanbedismissedatthispointevenwithoutconsiderationofwhatstillremainsundisclosed.Second,apromptdisposi-tionofthisPetitionisintheinterestofallparties.WhiletheBoardisconsideringthisPartialResponse,FPLbelievesthatitssubpoenasshouldbeissued.IftheBoarddecides,asFPLbelievesismerited,that.thelatePetitioncanbedisposedofwithoutawaitingadditionalinformationadversetothePetition,theBoardcanissueitsordertothateffectandtherebyexpediteresolutionofthematter.If,ontheotherhand,theBoardwishestowaitforFPL'scompleteresponsetothelatePetition,FPLwillfilesucharesponsewithintendaysofexecutingthesub-poenasandreceivingthedocumentswhichP&Whasrefusedtodisclose.HadnotP&Wopposedthesesubpoenas,thiscouldhavebeenaccomplishedlongago,andFPL'scompleteresponsewouldalreadyhavebeenonfile.I.IntroductionandBackroundInordertoplacethePetitioninitsproperperspectiveinthisproceeding,FPLwillsummarizebrieflytheproceduralhistoryandthecurrentstatusoftheproceeding,Petitioner'sfilingsinthisandotherlicensingproceedingsforSt.LucieIIUnitNo.2,andtherequirementswh'ichtheinstantPetitionmustmeet.
A.TheInstantProceedinThisproceedinginvolvestheantitrustreviewassociatedwithissuanceoftheconstructionpermitforSt.LucieUnitNo.2.Itbeganinlate1973whentheCommissionofferedanopportunityforanyinterestedpersontofile,nolaterthanDecember28,1973,apetitiontointerveneonantitrustgrounds.Nopetitionswerefiled,andinMayof1977theCommissionissuedaconstructionpermitforSt.LucieUnitNo.2.InAugust1976,beforeissuanceoftheconstructionper-mitbutsome31monthsafterthetimeforfilingapetitiontointerveneonantitrustgroundshadexpired,FloridaCitiesfiledsuchapetition.ThatpetitionwasreferredtoanAtomicSafetyandLicensingBoardwhichgrantedtheCities'equestforlateintervention.(FloridaPoweraLihtCo.(St.LuciePlants,Units1and2),LBP-77-23,5NRC789(1977)).ThegrantofinterventionwassubsequentlyupheldbytheAppealBoard(FloridaPower&LihtCo.(St.LucieNuclearPowerPlant,UnitNo.2),ALAB-420,6NRC8(1977))andtheCom-mission(FloridaPower&LihtCo.(St.LuciePlant,UnitNo.2),CLI-78-12,7NRC939(1978)).Inthecourseofthesub-sequentproceeding,FPL,theUnitedStatesDepartmentofJustice(Justice)andtheNRCStaffenteredintoasettlementagreementwhichresolvedthedifferencesamongthem.Thesettlementagreementimposes':uponFPLasetoflicense,tconditionsforSt.LucieUnitNo.2.TheintervenorCitiesdidnotjoininthesettlementamongJustice,theStaffand FPL,andthese'ttlementexplicitlyrecognizestheBoard'sauthoritytoimposeadditionalordifferentlicenseconditionsafterahearingiscompleted,shouldthatbenecessary.JusticeandtheStaffhaveadvisedtheBoardoftheirviewthatiftheconditionsprovidedinthesettlementareattachedtotheSt.LucieUnitNo.2constructionpermit,activitiesunderthatlicensewillnotcreateormaintainasituationinconsistentwiththeantitrustlaws.OnApril24,1981theBoardissuedaMemorandumandOrderwhichacceptedtheSettlementAgreementasfiled,madeeffec-tiveimmediatelytheproposedlicenseconditions,andallowedIntervenorCities30days"toproceedwithanylitigationinthisproceedingtheybelievenecessarytocurethesituationinconsistentwiththeantitrustlawsallegedbythemtobecreatedormaintainedbytheactivitiesundertheSt.LucieUnit2license."(MemorandumandOrder,pp.12-13).B.ThePetitioner'sFilinsTheinstantPetitionisthesecondfilingwhichPetitionerhasmadewiththisCommissionseekingtointervene,onanti-trustgrounds,inalicensingproceedingforSt.LucieUnitNo.2.-OnApril7,1981,Petitionersoughttointervene,solelyonantitrustgrounds,inthehealth,safety,andenviron-mentalproceedingtoconsidertheissuanceofanoperating"/Moreover,onJune22,1981,PetitionersubmittedtotheDirectorofNuclearReactorRegulationafilingre-questinginstitutionofanenforcementactionagainst,FPLvis-a-vistheconditionsapprovedbythisBoardonApril24,1981.FPLbelievesthisfilingtobepatentlywithout.meritandwillrespondaccordingly.
licenseforSt.LucieUnitNo.2.OnMay6FPLfileditsresponsetothatintervention,pointingoutthatantitrustissuescouldnotbe..consideredinsuchaproceeding;thatPetitionerhasnointerestinanylicensingproceedingforSt.LucieUnitNo.2;thatthereisnoantitrustreviewnowpendingfortheSt.LucieUnitNo.2operatinglicense,andthepleadingsofPetitionerprovidednogroundsforiniti-atingsuchareview;andthattheantitrustallegationswhichPetitionerhadputforthwerenotsufficienttopro-videabasisforanyNRCantitrust,proceeding,andwereunmeritoriousinanyevent.ThePetitionwasproperlydeniedbytheoperatinglicenseBoardbyOrderdatedJune3,1981.P&Whasnoticedanappeal.OnApril24,1981,Petitionermadetheinstantfiling,inwhichitrequestedleavetointervene"inthisconstructionlicensingproceeding"andrequestedtheCommissiontoholda".limited"antitrusthearing.ThepurposeofthePetitionistosupportPetitioner'srequestforlateinterventioninthisconstructionpermitproceedingand,tothatend,thePetition"focusesuponthereasonsforPetitioner'sdelayedfilingofitsinterventionpapersinthisconstructionlicensingpro-1ceeding."(Petition,p.3).Assupport,forthesubstanceofitsintervention,Petitionerrelieson,andincorporatesbyreference,itsApril7filingsbeforetheLicensingBoarddesignatedtohearthehealth,safety,andenvironmentalaspectsoftheSt.LucieUnitNo.2operating'icense.'"/"/ForpurposesofidentificationwewillrefertotheApril24construction.permitfilingasthe"Petition."TheApril7filingswillbereferredtoasthe"OLPetition"andthe"OLBrief,"andcollectivelyasthe"OLFiling.'-'
TheOLFilingInitsApril7..filingintheoperatinglicensereview,Petitionerassertsaninterestbasedexclusivelyontheclaimthatitisaqualifyingsmallpowerproductionfacilityen-titledtocertainbenefitsunderPURPAandthatoperationofSt.LucieUnitNo.2underthetermsofthelicenseconditionswillbeinimicaltothosebenefits.Morespecifically,Peti-tionerstatesthatithas"recentlycompleted"constructionofasolidwasteprocessingfacilityinDadeCounty,Florida,whichwillprocesssolidwaste,convertcombustiblesintofuel,andburnthefueltocreatesteam(OLPetition,p.2).Inconjunctionwiththesolidwasteprocessingfacility,anelectricgeneratorwillusethesteamtogenerateelectricity.Petitionercontendsthatit"ownsandistestoperating"theelectricgenerator.(OLBrief,p.5).PetitionerassertsthatthefacilityisaqualifyingsmallpowerproductionfacilitywithinthemeaningofSection201ofPURPA,16U.S.C.5796,andtheimplementingregulations(18CFRPart292)promulgatedbytheFederalEnergyRegulatoryCommission(FERC),andcon-tendsthat"[It]hascompliedwiththerequirementsofPURPAandhastakenthenecessarystepstosecurethebenefitstowhichitisentitled,"bynotifyingtheFERCthatitisaqualifyingfacilityunderPURPA,andnotifyingFPLthatit"'willbeginsalesofelectricenergytoFloridaPoweraLightCo.'"withinashorttime.(OL'Brief,p.6),.Peti-tionerfurthercontendsthatithasalsosoughttoexplorecompetitiveopportunitiesforsalestootherelectricutilities andtothatendhasaskedFPLtoconfirmthatit"'willtrans-mitelectricityinbehalfof[Petitioner]topotentialcustomersotherthanFPaL.'"(OLPetition,p.3).PetitionerallegesthatifFPLispermittedtooperateSt.LucieUnitNo.2underthetermsofthelicenseconditionswhichwereattachedtotheconstructionpermitforSt.LucieUnitNo.2pursuanttotheApril24,'1981orderbythisBoard,a"'situationinconsistentwiththeantitrustlaws'aybecreatedormaintained."(OLPetition,pp.2-3).Petitioner'scomplaintconcernsSectionXofthelicenseconditions,whichfamongotherthings,requiresthatFPLprovidetransmissionservicesforelectricityproducedbyqualifyingsmallpowerproductionfacilitiesincircumstancesandunderconditionswhichPetitionercontendsareundulylimited.(OLPetition,p4)~Onthisbasis,Petitionercontendsitshouldbegrantedinterventionfor"thelimitedpurpose"ofbeingheardonthe"potentiallydetrimentalimpact"ofSectionXofthelicenseconditionsonitsPURPArightsandcompetitiveinterests.(OLPetition,p.9).TheInstantFilinPetitionerassertsthatitfiledthePetitionsevenyearsandfourmonthslateduetoa"lackofknowledgeattributabletothesecrecyofthesettlementprocess,"andallegesthat,~fbecauseofthissecrecy,itwasnot,awareofanypossibleCeffectoftheproceedingonits"rights"untilit."unearthed" theproposedsettlementagreementwhichitclaimswasonlyrecentlymadepublic.-(Petition,pp.7-8).*/Petitionerarguesthattheonlymeanswhichithasavail-abletoprotectitsinterestisthroughparticipationinthisproceeding(orthehealth,safety,andenvironmentalproceed-ing)andcontendsthatifitisnotallowedtointervene,FPLwillsucceedin"using"theNRCtohelpitmaintainandenhanceitsmonopolypower"inthewaysoutlinedin[theOL]BriefinsupportoftheApril7Petitioner(sic]."(Petition,p.8).Petitionerstatesthatitsrightsare"deeplyaffected"bytheproposedsettlementbecausesuchsettlementhasappar-entlybeennegotiatedwithoutregardtorightswhichqualifyingfacilitiespossessunderPURPA.Thus,Petitionerallegesthatitsparticipationinthisproceedingisnecessarytodevelop-mentofasoundrecord,andthatnootherpartyisavailabletorepresentthoseinterests.(Petition,p.9).Finally,Petitionercontendsthatitsinterventionwillneitherbroadennordelaytheproceeding,becausetheissueswhichithasraisedinitsfilingswillbebeforetheCommis-sioninanyevent,andadeterminationonthemmustbemade.(Petition,p.10).C.''StandardsA'lic'able4othePe'titionTheCommission'srulesrequirethat,inordertobesuc-cessful,aPetitionmustdemonstrate,(l).thenatureofPetitioner's"/'Petitioneralsocontendsthat"requisiteformalities"werelackinginthe'"publicnotice,"thoughitfailstoidentifywhatitbelievestho'seformalitiestobe.

12takenthenecessarystepstosecurethebenefitstowhichitisentitled[underPURPA]."(OLPetition,p.3).Such"necessarysteps"includeanotificationtotheFERCthatitisaqualifyingfacilityunderPURPA,-andnotifyingFPLthatitwillbegintosellelectricenergytoFPLwithinashorttime.Petitioneralsoallegesthatithassoughtassur-ancefromFPLthatitwilltransmitelectricityforPetitionertopotentialcustomersotherthanFPL.(OLPetition,p.3).WhatPetitionerhasfailedtodisclosetotheCommissionisthatcontractsareinexistencewhichdefeatanylegalright'nPetitioner'sparttotitletotheelectricgeneratorandtoanyright,title,orinterestintheelectricoutputfromthefacility.Whatfollowsisabriefaccountofthepertinentfacts.OnMayll,1976theBlackClawsonParsons-WhittemoreOrganizationsubmitteda"Proposal"toMetropolitanDadeCountyfora"ResourceRecoveryPlant."TheProposalencompassedtheconstructionofasolidwasteprocessingfacility(SWPF),whichwouldbeownedbytheCountyandoperatedbythe'contractorforanagreeduponfee,andanelectricalgeneration"/PetitionersubmittedaNoticetoFERConMarch13,1981,claimingitmetPURPAsmallpowerproducerqualifications.Petitionerapparentlycontendsthatthemerefilingofsuchanoticeentitlesittosmallpowerproducerstatus,irrespectiveoftheimplications,'ftheunderlyingfacts.FPLdisagrees.OnMay7,1981FPLfiledaProtest,PetitionforaDeclaratoryOrder,andPetitiontoIntervene,arguingthatPetitionerisnotsoqualified'andthatFERCshouldsodeclare.,FERChasnotyetruledonthematter.

-14facility,DadeCountywilltransfertoFPLthetitletotheIelectricgeneratorandthosedirectlyassociatedtransmissionlinesrequiredtoconnecttheelectricgeneratortotheFpLgrid.Thereafter,FPLwillownandoperatetheelectricgeneratorsandassociatedtransmissionfacilities.TheelectricenergywillgointoFPL'ssystemand.betreatedthesameasallotherenergywhichFPLgeneratestoservetheneedsofitscustomers.DadeCountyhasalsocontractedtoleasetoFPLthoseportionsofthesiteonwhichtheelectricgeneratorislocated,sothatFPLmayuseandoccupythesitetooperatetheelectricgeneratorandassociatedtransmissionlinestogenerateandtransmitelectricenergy.Asiscommoninmajorcommercialcontractsofthisnature,DadeCountyhaswarrantedthatitislegallyauthorizedtoperformitsobligationsunderthecontractandislegallyobligatedtocomplywiththetermsandconditionssetouttherein.-Znshort,thecontractreflectsthatDade*/Countycontemplatesholdingsufficienttitletothesite,theelectricgenerator,andthetransmissionfacilitiestopermittheCountytoperformunconditionallyitsobligationstotransfertoFPLownershipofsuchfacilitiesandaleaseholdinterestintheunderlyingrealestate.Moreover,FPLhasnowbeenabletoobtainfromDadeCountyacopyofa"RestatedAssumptionAgreement."Bythatcontract,"/AcopyofthecontractbetweenFPLandDadeCountyisattachedtotheaffidavitofJ.T.Blount,FPL'sAssistantCorporateSecretary,andwasprovidedtothisBoardasAppendixAtotheresponsefiledbyFPLonMay6,1981,inDocketNo.50-389-0L.

-16vestinFPLtheownershipandoperationoftheelectricgeneratingfacility,andhasitselfconfirmedthatFPLhasthevalidlegalrighttothegeneratingfacilityanditsoutput.-YetitisthatoutputwhichPetitionernowseekstoappropriate,inderogationoftherightsofFPL(andthecitizensofDadeCountyaswell).AttheheartofthematteristhecontractualdisputebetweenPetitionerandDadeCounty.AccordingtoaComplaintfiledbyDadeCountyintheU.S.DistrictCourtinMiami,DadeCountyhasplacedinescrowtheentirepurchasepriceoftheSWPFfacilityandequipment--$128million--tobepaiduponadequateassuranceofperformancebyPetitioner;however,Petitionerhasfailedtoprovidethoseassurancesandhaspur-**/portedtorepudiateitscontractualcommitments.-Petitionerisrefusingtohonoritslegalobligationsuntilandunlesssomeone-perhapstheCounty,perhapsFPL-paysPetitionermoremoneythanitscontractprovides.FPLisinformedthatthesecontractualdisputesbetweenPetitionerandtheCounty***/arenowinarbitration.-FPLstandsreadytoperform,pursuanttothosecontracts,assoonasPetitionerfulfillsitsobligations-eithervoluntarilyorbyadjudicateddecree.Complaint,paras.33,38-40.AcopyoftheComplaintisannexedtoFPL'sApplicationforIssuanceofSubpoenas,datedMay8,1981.DadeCounty'slawsuitwasdismissedonthegroundoflackofdiversityofcitizenshipbetweentheparties.(MetroolitanDade'Countv.Parsons6Whitte-more,Inc.,No.80-333-Civ.-EDSS.D.'la.)."**/Atthesametime,FPLisengagedinsettlementnegotiationsinvolvingParsons&WhittemoreandDadeCounty.
17Petitioner'sqlaimofinterestinthisproceedingisthatitcurrently"owns"theSWPFandEGFfacilitiesbecauseitisretainingthelegaltitletothem.Whatthisargumentignorescompletelyisthat,Petitionerretainssuch"title"bybreachingitscontractualobligationstoFPLandDadeCounty.Petitionerhasnolawfulrighttotho'sefacilitiesortoappropriatetheiroutput.TheburdenisonthePetitionertodemonstratethelegiti-macyofitsclaimofinterestinanyNRCproceedinginwhichitseekstoparticipate.Here,Petitioner'sabilitytodosodependsuponitsabilitytodemonstratebeforethisCommissiontheinvalidityofsolemncontractualcommitmentswhich,ontheirface,defeatPetitioner'sclaim.-ItisnotthefunctionoftheNRCtoresolveacommercialcontractualdisputeamongprivateparties.ButthatiswhatitwouldhavetodotodeterminethatPetitionerhasacognizableinteresthere.Inthisinstance,thePetitioneravoideddealingwiththesequestionsinitsPetitionbysimplynotapprisingtheCommissionoftheexistenceofcontractswhich**/placeaseriouscloudovertheclaimsmadeinthePetition.-"/Inessence,PetitionerasktheBoardtoassumethosecontracts,which~areinfullforceandeffect,areinvalid.InitsBriefinOppositiontoApplicationforIssuanceofSubpoenas,PetitionercitesRule:25(c)oftheFederalRulesofCivilProcedureforthe'ropositionthatithasaviable"interest."Thisargumentismisconceived.Rule25(c)providesthatwhenalitiganttransfershisinteresttoathirdpartysubsequenttocommencementofalawsuit,thethirdpartymaybesubstitutedinthediscretionofthecourt.Theruleisintendedtoprovide(footnotecontinued)
-18Petitioner'sfailuretosubstantiatetheclaimsonwhichitsassertiono'f'interestisbasedisreasonenoughfordenialofthePetition,standingalone.Moreover,evenifPetitioner'scontentionswereacceptedarcruendo,itsinterestwouldbetootenuoustosupportaPetitionaslateandasdeficient.inother'respectsasthisoneunderanycircumstances.III.TheAntitrustClaimsStatedinthePetitionAreNotSufficienttoJustifyGrantingofthePetitionA.TheImpositionofSettlementLicenseConditionsCannotJustifyPetitioner'sInterventionTheallegationsinthelatePetitionaregroundeduponthepropositionthatifFPLispermittedtooperateSt.LucieUnitNo.2onthebasisofthelicenseconditionsprovidedinthesettlementamongFPL,theDepartmentofJusticeandtheNRCStaff,thiswill"diminishqualifyi'ngfacilities'enefitsunderPURPA."(Petitionat5).Thatisnotsoandcannotbesoasamatteroflaw.(footnotecontinued).anorderlymethodfordealingwithsubstitutingnewparties.Thatrulehasnoapplicationhere.Whatisinvolvedhereisathresholdquestionastowhichofthetwolitigants,complainantorrespondent,hastheequitableandcognizableinterestinthepowerinquestion.Thatisamatterwhichinvolvesnota"transfer"ofinterest,butadeterminationastowhethersuchinterestexists.Moreover,whatPetitionercontemplatesisnotsubstitutionofathirdpartytoassertacontinuingclaim,buttheextinctionofitsallegedclaimaltogether.Fin-ally,theNRCRulescontainnoexpressanaloguetofederalRule25(c),hencetheCommission'videntlydid'aotintendforsucharuletocontxolitsproceedingsinanyevent,even-leavingasidePetitioner'smisconceptionastoitsapplica-tion.'(Gen'era'1'l'ectricCompany(VallecitosNuclearCenter,GeneralElectra.cTestReactor),LBP-78-.33,8NRC461,466(1978).
19AnyconditionsattachedtoFPL'slicenseforSt.LucieUnitNo.2willservesolelytoenjoinFPL.ItisanobviouspropositionoflawthatnoinjunctionplaceduponFPLbytheNRCcandefeattheauthorityofanotherfederalagencywithcompetentjurisdictiontoimposedifferent,andperhapsmorestringent,regulatoryrequirementsuponFPL.ThesettlementlicenseconditionsexpresslyacknowledgethisinSectionXIII(c),whichprovides:"NothinghereinshallbeconstruedtoaffectthejurisdictionofFERCoranyotherregulatoryagency."PURPAcontainsacomprehensiveregulatoryschemeregardingtheobligationsofelectricutilitiestodealwithsmallpowerproducers,includingtheobligationstoprovidewheelingandbackupservices.ThatschemeisunaffectedbyanylicenseconditionsimposedbythisCommission.ThelicenseconditionsdonotandcannotmitigateFPL'sobligationtocomplywiththesmallpowerproducerregulationsissuedunderPURPA.Petitioner'scomplaintisnothingmorethanthatthesettlementconditionsdonotprovideitwithsignificantadvan-tagesinadditiontothoseitreceivesunderPURPAregulations.Thecontentionthataninjunctiveconditiondoesnotgoasfarasonewouldlikeisnobasisfortheallegationthatactivitiesunderthelicensewouldcreateormaintainasituationincon-sistentwiththeantitrustlaws.Thus,totheextentthatthe'.Petitionmaybexeadascorn>>plainingthatthelicenseconditionsthemselvescreateormaintainasituationinconsistentwiththeantitrustlaws 20becausetheydiminishPetitioner'srightsundersomeotherregulatoryscheme,thatcontentionisgroundlessasamatteroflaw.B.ThePetitionFailstoMeet,theSubstantiveStandardsforInter-ventioninan.AntitrustProceedinAsnotedabove,theOLPetitionisdevotedalmostentirelytoairingPetitioner'sdissatisfactionwithoneoftheprovisionsofthesettlementlicenseconditions.Nomeaning-fuleffortismadetoallegetheindependentexistenceofasituationinconsistentwiththeantitrustlawswhichwouldbecreatedormaintainedbyactivitiesunderthelicenseandwouldcallforremediallicenseconditions.:ItisincumbentuponPetitionertocomeforwardwithsuchallegationsasaconditiontointerventioninanNRCantitrustproceeding.WhereoneseekstointerveneinanNRCantitrustpro-ceeding,hispetitionmustidentifywithspecificitythe"situationinconsistentwiththeantitrustlaws"whichwillbecreatedormaintainedbyactivitiesunderthelicense.Substantiallymorethanbareallegationsmustbepleaded,forsimplyalleginga"situationinconsistent"andmouthinginaritualisticfashionthatthatsituationwillbecreatedormaintainedbytheactivitiesunderthelicenseisinsufficient.Tobesuccessful,thepetitionmustataminimumidentifythespecificprovisionsoft'eantitrustlawswhichitisfclaimedwillbeoffendedbytheactivities,identifytherelevantmarketswhichitcontendsareatissue,anddescribehow 21activitiesunderthelicensewilloffendthoseprovisionsintherelevantmarket,(WolfCreek,ALAB-279,1NRCat559;WolfCreek,ALAB-299,2NRCat740).ThePetitionfailstomaketheseshowings.Moreover,thesuccessfulpetitionmustshowa"meaning-fulnexus"betweentheactivitiesunderthenuclearlicenseandthe"situation."(LouisianaPowerandLihtCo.(Water-fordSteamElectricGeneratingStation,Unit3),CLI-73-25,6AEC619(1973);WolfCreek,ALAB-279,1NRCat566).PetitionermakesnoefforttoallegeanynexusbetweenthesituationinconsistentwiththeantitrustlawsandactivitiesundertheoperatinglicenseforSt.LucieUnitNo.2.Thisisnotsurprisinginviewoftheabsenceofanyfactualbasisfordemonstratingsuchanexus.TheclosestthatPetitionercomestoacknowledginganysuchrequirementisinparagraphs(18)and(19)oftheOLPetition,whereitstates,inessence,that'itsinterestwillbeaffectedbyFPL's"intendedimplementation"ofthesettlementconditions.(OLPetition,pp.8-9).Asisdemonstratedabove,thesettlementconditionsaffectPetitioneronlyinthattheydonotgoasfarasPetitionerwouldlikeinaddressingwhatPetitionercontendsisasituationinconsistentw'ththeantitrustlaws--a"situation"whichisnotallegedtobearanynexustoactivitiesunderthelicense.Therequire-mentofsuchanexusisjurisdictional,-andPetitioner'sfailuretoallegeanysuchnexusisfa'taltothesubstanceof(itsallegations."/Waterford,6AECat619.
22IV.TheAntitrustAllegationsContainedinthePetitionAreWithoutMeritAstheforegoingsectiondemonstrates,Petitionerhasfailedutterlytoallegeasituationinconsistentwiththeantitrustlawswhichwouldbecreatedormaintainedbyactivitiesunderthelicense,andFPLdeniesthatanysuchsituationcouldbeshown.Thefew,scatteredreferencestosubstantiveantitrustissuescontainedinthePetitionaretransparentlywithoutbasisormerit.PetitionerrefersintheOLBrieftotheFifthCircuit'sdecisioninGainesvilleUtilitiesv.FPL,573F.2d292,cert.denied,439U.S.966(1978)(OLBrief,p.4),withoutpro-vidinganyclueastohowthatdecisionrelatestoitsclaims.AlsoincludedintheOLBriefwithoutanyilluminatingexplan-ation(pp.12-13)isalistofallegationswhich'theCitieshavemade,andFPLhasdenied,inthisproceedingandinasuit,pendingintheU.S.districtcourtinMiami,Florida.Peti-tionerdoesnotassertthatitcanproduceanyevidenceinsupportoftheseallegations.TheonlyreferencestoanyrelationshipbetweenFPLandPetitionerwhichmight,havecompetitiveimplicationsare*/confusedandinternallyinconsistent.-Atpage17oftheOL"/Theonlyreferencetomarketstru'cturefoundinPetitioner'sfilingsisParagraph(13)ofthe'OLPetitionwhichchargesthatFPL"possessesmonopolisticcontrolovertheprovisionoftransmissionservicesinsouthern'andeasternFlorida."FpLdeniesthatallegationandaversthatitcannotcrediblybemaintainedinanyeventbyonewhichassertsthatitisasmallpowerproducer,andthuswouldbeentitledtotheassuranceofaccesstotransmissionfacilities,regardlessoftheirownership,whichPURPAprovidestotheownersofsmallpowerproductionfacilities.
23BriefPetitionerstatesthat:"FP&L,ofcourse,wouldratherbuyelectricpowerfromqualifiedPURPAfacilitiesthancom-petewiththosefacilitiesforsalestoFP&L'sothercustomers."ThefallacyofthisassertionisdemonstratedbythefootnoteonthesamepageoftheOLBrief,whichacknowledgesthatanelectricutilityisrequiredbyFERCrulestopurchaseelec-tricityfromsmallpowerproducersattheutility'savoidedcost.Thusautilitycannotunderthelawprofitorreducethecostswhichitscustomersmustpayasaresultofmakinganysuchpurchase.ContrarytoPetitioner'sglibassertion,FPLhasnoincentiveto"compete"tomakepurchasesunderthesecircumstances.Moreover,Petitionerimpliesthat'FPLseekstowithholdtransmissionservicessothatFPLwillnotlosewholesalesalestomunicipalutilities.Tothecontrary,FPLhassoughtrelieffromtheobligationtomakeadditionalwholesalesales,ontheground,interalia,thatthecostofprovidingsuchserviceexceedsincrementalrevenuesderivedbyFPL.TheFERCproceedinginwhichthatreliefwasdeniedtoFPListhatreferencedinthefootnoteonpage9oftheOLBrief.Apparently,Petitioner,initshastetocaptureaquoteoutofthatcontext,failedtoacquaintitselfwiththesub-jectmatteroftheFERCproceeding.Thetransparentweaknessoftheseallegationsisnotsurprising.ThereisnodisputebetweenPetitionerandFPLwhichhascompetitiveimplications.Norhasanyonewholaw-fullycontrolsaqualifyingsmallpowerproductionfacility 24complainedofFPLsdealingswithhim.ThisPetitionispromptedbyPetitioner'sapparentdesiretoescapefromitscontractualobligationstoDadeCountyandtotakesomethingthatdoesnotrightfullybelongtoit,buttowhichFPLisentitledunderitsowncontractwithDadeCounty.Theideaofassertingantitrustclaimsisbutanafterthought.V.ThePetitionFailsToMeet.TheStandardsForLateInterventionThePetitionfails,onallcounts,tomaketherequisiteshowingsforlatepetitionstointervene,andmustthereforebedenied.ThePetitioniswoefullydeficientindemon-stratinggoodcauseforfailure"totimelyfile.Moreover,thePetitionfurtherfailstomakeanadequateshowingontheotherfourfactorswhicharenecessarytojustifyalatepetitiontointervene.Petitionstointerveneoutoftimebearasubstantial275),andpetitionswhicharefiledegregiouslylate-suchasthisPetition,whichwasfiledsevenyearsandfourmonthslate--bearanextremelyheavyburdenofpersuasion.Lucie,CLI-78-12,7atNRC939).A.ThePetitionFailsToDemonstrateGoodCauseForFailureToFileOnTime',:TheinstantPetitionisfiledsomesevenyearsandfourmonthslate.Therecanbenoexcuseforsuchtardiness,andindeedPetitionerhasfailedtoprovideone.
25TheCommissionhasdirectedthatitsregulationswithrespect,tolateinterventions(10CFR2.714(d))shouldbestringentlyapplied,"particularlyinassessingthegoodcausefactor"andthatsuchscrutinyshouldbecomemorerigoroustheclosertheproceedingdrawstocompletion.ln-deed,theCommissionhassaidthat"Averylatepetitionmustpresentaverystrongreasonforlateintervention."St.Lncie,CLI-78-12,7RRCat946-947.Petitioner'sattempttoshowgoodcauseforitslatefilingfailstosurviveacloselook.Petitionerclaimsthatits"delay[inrequestinginter-vention]wascausedbyalackofknowledgeattributabletothesecrecyofthesettlementprocess"(Petition,p.8),statingthatitwasonlywhenit"unearthed"thesettlementagreementthatit"realized"FPLwasusing"thisproceeding"toundercutits"rightsasaqualifyingPURPAfacility."(Petition,p.7).Petitionexclaimsthat,ithadnonoticeofthesettlementnegotiations,andthateventhoughSectionXofthelicenseconditions"directlybearsuponPetitioners'ompetitiveinterestsandPURPArights...theAgreementa/wasonlyrecentlymadepublic."-(Petition,p.7)."/Petitionerappearstoallegethatsomesortofpublic"notice"wasrequiredwithrespecttothesettlementagreement,complainingthatsuch,'notice"consistedoffilingacopyoftheAgreementintheNRC'docketroom,butdoingsowithoutattendantpublicityortherequisiteformalities."(Petition,pp.7-8).Petitionerfailstospecifywhat"formalities"itbelieveswererequired.
-26Evenifthisweretrue,itcouldnotservetoexcusePetitioner'stardiness.Petitionerbasesitsclaimtolateinterventiononthesettlementalone,andthatisfatal.EvenifPetitioner'sfilingisreadinthelightmostfavor-abletoPetitioner,themostthatitsaysisthattheinjunc-tionimposedonFPLinSectionXofthesettlementlicenseconditionsisnotbroadenoughtosuitPetitioner.,ItisindisputablethatPetitionerisatleastaswelloffwiththeprotectionofanallegedlyinadequateinjunctionasitwaswithnoinjunctionatall.Petitionerhasnotcontended*/otherwise.-IfPetitionerhasanyclaimthattheNRCcanentertainitmustbebaseduponallegationsofasituationinconsistentwiththeantitrustlawswhichpre-existedimpositionofthesettlementlicenseconditionsandwhichtheconditionsdonotadequatelycure.Inshowinggoodcauseforextremelateness,Petitionermustexplainwhyitnevercameforwardtocomplainofthesituation,notwhyitonlynowcomplainsofthebreadthofremedialconditions.Onthatpoint,thereisnocasetobemade.Theproceedingitselfhasbeenpend-ingsinceanoticeinvitingsubmissionsofpetitionsforleavetointervenewaspublishedintheFederalReisterin1973,andthisBoard'sordergrantingCities'atepetitionandL'Irequestforanantitrusthearingwas:publishedinApril1977."/ThelargelyrhetoricalclaimthatconditionsimposedonFPL'sNRClicensecouldaffectPetitioner'srightsunderPURPAasadministeredbytheFERCisobviouslywrongasamatteroflaw.Beepp.18-20,~sura 27ViewingPetitioner'sclaimsinthebestpossiblelight,theBoardispresentedwithapetitionerwhichknowinglyorthoughtlesslysatonthesidelineswhileaproceedingwasrunningitslengthycourseandisnowdissatisfiedwiththescopeofreliefobtainedbythosewhoparticipatedaspartiesintheproceeding.Suchdissatisfactioncannotbeaccepted*/asgoodcauseforextremelateness.-Inaddition,arulingon"goodcause"forlatenessneces-sarilyinvolveselementsofsubjectivejudgmentbytheBoard.ItisproperfortheBoardtotakeintoaccounttheevidencethat,thisPetitionerseekstousetheprocessesofthisCom-missiontogaintacticaladvantageinacommercialcontractualdisputeinwhichithasbecomeinvolved.(Seepp.10-14,~sura).AsonewhoseekstosheditselfofitscontractualobligationsandtointerferewiththeperformanceofthecontractbetweenFPLandDadeCounty,PetitionerdoesnotcometotheNRCwithcleanhands-aconclusionwhichisbuttressedbytheabsencefromanyofPetitioner'sfilingsofacandidaccountofthecommercialsituation.AnotherfactorwhichweighsheavilyagainstPetitionerisitsrecalcitrantattitudetowardsopendisclosure.AlatePetitionerhasanobligationtocomeforwardwiththefactsuponwhichhisPetitionforlateinterventioncanbeobjectivelyevaluated.Fromtheoutset,PENhas"/E.g.,PuetSoundPower6LihtCo.(SkagitNuclearPowerProject,Unitsan,ALAB-5,10NRC-162(1979)..~Naderv.NRC,513F.2d1045,1054-55O).C.Cir.1975$.
28soughttohaveitsPetitionevaluatedonthebasisofonlythosefactsithaselectedtovolunteer.InitsPetitionandsupportingpapers,P&N'failedeventomentiontheexistenceofthecontractualdisputesoutlineu,supra,whichhaveheenthecenterofallitsdealingswithFPL.ThisomissioncannotpersuasivelybedefendedbyPetitioner'sargumentthatthesefactsaresomehow"extraneous."ThatisadeterminationwhichistheCommission',notPetitioner'tomake,andshouldbedeterminedonarecordwhichisfullyandfairlyinformed.ThefactisthatPetitionerdecideditspetitionwouldnotbeadvancedbyhavingthesefactsbroughtforward.Tothisday,PetitioneradamantlyresistsFPL'seffortstohaveequalaccesstothefactsinitspossession.Thiscontinuedresis-tancetoafullyinformedevaluationofitsassertionsisamattertheBoardmayweighheavilyinassessingwhetherPetitionerha'scomeforwardwithashowingthatwouldjustifyacceptanceofitsextraordinarilylatePetition.B.ThePetitionFailsToMakeAnAdequateShowingOnAnOfTheFourFactorsFailuretoshowgoodcauseforUntimelyfilingofapetitionisnotnecessarilyfataltoarequest,forlateintervention.However,theburdenofjustifyingsuchaninterventionthenfallsupontheremainingfourfactorsin10CFR52.714(a),andtheshowingwhichisrequiredunderthosefactorsthenbecomesconsiderablygreaterthanit
-29showbelow,Petitionerfailstojustifyitslateinterventiononthebasisofanyofthefourfactors.1.OtherMeansareAvailabletoProtectPetitioner'sInterestItisFPL'sposition,forthereasonsgivenonpp.10-14/~sura,thatPetitionerhasfailedtomakeashowingofinter-estsufficienttosupportitsinterventioninanyNRCpro-ceeding.However,evenifPetitioner'sassertionsareacceptedarcruendo,itisclearthattheinterestthatitseekstopro-*/tectarisesunderPURPAandnottheAtomicEnergyAct.-TotheextentthatPURPA,oritsunderlyingpolicies,oranyimplementaryregulationsadoptedbytheFERCentitlePeti-tionertoreceivetransmissionservicefromFPL,PetitionerisfreetoassertitsrightsbeforetheFERC.Indeed,PURPAcontainsprovisions(16U.S.C.824;(Supp.III1979))fwhichempowerFERCtoorderanyelectricutilitytoprovidetransmissionserviceupontheapplicationofanyqualifyingsmallpowerproducer.Itisnotnecessarytoconsiderherewhethertheexis-tenceofsuchprovisionsinPURPAwouldrequireorpermitinactionbytheNRConthemeritsofissuesproperlybeforeit.AllthatmustbeconsideredhereiswhetherifthePe-titionisdeniedongroundsofuntimelinessthePetitionerwillItisalsoFPL'spositionthatPetitionerhasfailedtoallege,andcannottruthfullyallege,anysubstantialnexusbetweenitscomplaintsandactivitiesunderthelicenseinissuehere.See,pp.17-18,~sura.
30beleftwithoutanylegalforum.Clearly,thatwillnotbethecase.2.ParticipationbyPetitionerWouldNotAssistinDeve'loina''SoundRecordPetitionerarguesthatitsparticipationwould.assistindevelopingasoundrecordbecauseQualifyingPURPAFacili-tieshave"beenaffordedlessfavorabletreatmentthanotherelectricgenerators"underthe"SettlementAgreement.AndonlyPetitionerhasintervenedtorepresenttheinterestsofsuchfacilities.Asnoted,Petitioner'scomplaintisthatthesettlementlicenseconditionssomehowadverselyaffecttherightswhichqualifyingfacilitiesaregivenunderPURPA.Asshownabove,thatisnotthecase,andthoserightsarenotaffectedinanyrespect.-Moreover,FERCexercisescomprehensive*/oversightauthorityvis-a-vissuchfacilitiesandcandevelopwhateveradditionalorlesserregulatoryrequirementsappearappropriateascasesarisebeforeit.Petitioner'sargumentthattheNRCshouldendeavortodelineatetheproperregulatorytreatmentofthosefacilitieshere,"sincePURPAwasenactedbuttwoyearsago,"ismisconceived.Thedevelop-mentoftheproperregulatoryrequirementsconcerningsuchfacilitieswillbechartedbyFERCas,,experiencewarrants."/Furthermore,Petitioner,relyingasitdoesonawrongfulbreachofitscontractualcommitmentsnowinarbitrationasthegenesisforallofitsclaims,isimplicatedincongeriesoffactswhichhardlymakePetitionerarepre-sentativeforanyothers.
31ThelicenseconditionsneitherinhibitthisdevelopmentnorinsulateFPLinanywayfromitseffect.Asidefromitscomplaintaboutthebreadthofonefeatureofthesettlementlicenseconditions,Petitionerdoesnotsuggestthatithasanyevidencetocontributetoresolutionofthesubstantiveissuesremainingintheproceeding,whichconcernswhetheractivitiesunderthelicensewouldcreateormaintainasituationinconsistentwiththeantitrustlaws.Rather,Petitioner'sinvolvementwouldrequireanextremelycomplicatedinquiryintothecommercialdealings(regardingwastedisposalfacilities)betweenPetitioner,DadeCounty,FloridaFPL)andperhapsothers,extendingbackto1974~ThusPetitionex''sparticipationwouldnotenhancethedevelopmentoftherecordinthiscase.3.ReresentationbExistinPartiesBecausePetitionerhasnolegallycognizableinterestintheseproceedings,andhasnotproperlyallegedasituation~inconsistentwiththeantitrustlawswhichbearsa"substantialnexus"toactivitiesunderthelic'enseforSt.LucieUnitNo.2,thisissueisirrelevanttotheconsiderationofwhether*/Petitionershouldbeallowedtointervene.-"/lnanyevent,thisfactorisone'hichisgiven"relativelylesserweight"thanthoserelatingtodelayorbroadeningSummer,~aura,mimeoopinionat23-24.
324.BroadeningofIssuesorDelayofProceedinPetitionerarguesthatitsinterventionwouldnotbroadentheissuesordelaytheproceeding,becauseithasdone"nomorethanarticulateexistingissueswhichNRCmustdecidewithorwithoutourparticipation."Thisiswrong,ineveryrespect.First,itisnottruethattheNRCwillbecalledupontodecidetheissueswhichPetitionerseekstoraise,"withorwithoutfits]participation."TheissuesbeforetheBoardnowconcernwhethertheCitiescanestablishasituationinconsistentwiththeantitrustlawswhichwouldbecreatedormaintainedbyactivitiesunderthelicense,and,ifso,whetheranyrelief'nadditiontothatprovidedinthesettlementconditionsisappropriatetoremedythatsitu-ation.ThereisnoneedfortheBoardtogivefurtherattentiontothesettlementconditions,excepttotheextentthatthepro-ceedingsonthemeritsleadittodoso.Theevolvingrelation-shipbetweenFPLandthosewhoareaccordedcertainprivilegesas"smallpowerproductionfacilities"undernewanduntestedfederalandstateregulatoryschemesemanatingfromPURPAisacomplexsubject,whichisnotlikelytobedirectlyinissueinthisproceedingunlessthePetitionisgranted.FPLbelievesthatthereisvirtuallynorelationshipbetweenthatsubjectandtheantitrustissueswithwhichthisproceedingiscon-Second,asdiscussedpreviously,thedealingsbetweenPetitionerandFPLcannotbeconsideredinanymeaningfulway
-33withouttheBoard'aconsideringandresolving,atleastforpurposesoftheproceeding,thecommercialdisputewhichsur-roundstheDadeCountyfacility.Plainly,airingofthiscommercialdisputewouldsubstantiallybroadentheissuesinthisproceedingandthusprolongit.Finally,theriskofdelayinissuanceoftheoperatinglicenseforSt.LucieUnitNo.2wouldbesubstantialifthePetitionweretobegranted.FPLestimatesthatconstructionofthefacilitywillproceedonaschedulewhichwouldrequirethatanoperatinglicensebeissuedbyOctober1982inordertoavoiddelayincommercialoperationofSt.LucieUnitNo.2.Ifthisalreadycomplexproceedingwerebroadenedtoincludeexaminationofissueswhichmayaffectsmallpowerproductionfacilitiesaswellasconsiderationofthecommercialarrange-mentssurroundingtheDadeCountyfacility,therewouldbereasonforconcernthattheproceeding,includingdiscoveryofthenewpartyandevidentiaryhearings,couldnotbecompletedbythatdate.IfgrantingofthisPetitionweretodelaycommercialoperationofSt.LucieUnitNo.2,FPL,itscustomersandthepublicinterestwouldsuffergrievousharm.Thatriskshouldbeweighedheavilyagainstgrantingapetitionreceivedmorethansevenyearslate.Conclusion<gfForthereasonsgivenabove,FPLurgesthatthePetitionbedenied.

(b)ThetermofthisAgreementcanbeextendedbythemutualagreementbetweentheparties.12.Reresentations.TheCountyrepresentsandwar-rantstotheContractorthattheexecutionanddeliveryofthisAgreementhasbeendulyauthorizedbyallappropriateactionsofitsgoverningbody,andthisAgreementconsti-tutesthelegal,validandbindingobligationoftheCountyenforceableinaccordancewithitsterms.TheContractorrepresentsandwarrantstotheCountythattheexecutionanddeliveryofthisAgreement,andtheexecutionanddeliveryoftheguarantyofperformanceofthisAgreementbytheGuarantorhavebeendulyauthorizedbyallnecessarycorporateactionofeachcorporationandtheAgreementandguarantyconstitutelegalandbindingobligationsofeachcorporationinaccordancewiththeirrespectiveterms.13.SecificPerformanceorPerformancebtheCountThepartiesal'soacknowledgethatmoneydamagesmaynotbeadequateintheeventofabreachofthisAgree-mentduetothespecialnatureoftheSolidWasteProcessingIFacilityandthetechnologyrequiredtoconstructtheSolidWasteProcessingFacility,andtheCountyshallhavetherig"tiatitsoption,tobringanactionforspecificper-for>>nceintheeventthattheContractorfailstoperform>tsobligationsunderthisAgreement.16 Inthealternative,intheeventthattheCountyterminatesthisAgreementinaccordancewiththetermshereoftheCountymayelect,uponnoticetotheContractorgtoenterthesiteandcompleteconstructionoftheEGFwithitsownpersonneloragents.Insuchevent,theContractorshallturnovertotheCountyoritsagentsallproprietaryinformationnecessaryforcompletingtheElectricalGenera-tionFacility,allmachinery,equipmentandmaterialspurchasedfororinstalledintheEGFandshallassigntotheCountyrightstouseallpatents,processes,tradesecretsandknow-howrequiredforconstructionandoperationoftheEGFandanycontracts,purchasesorsubcontractsmadebytheContractor.-fortheconstructionof,theEGF.TheCountyshallpay'heContractoranamountequaltothecostsoftheContractorexpendedtothedateofnotice,subjecttooffsetbyanyactualdamagesincurredbytheCountyasaresultofnonperformancebytheContractor.IfFPLexer-cises"itsrightsundergl5.5oftheEGFContractpriortoacceptanceoftheEGFinaccordancewiththetermsthereof,anymoniespaidbyFPLtotheCountyshallbepaidtotheContractor.TherightsprovidedtheCountybythisSection13shallnotbeinlieuofanyotherrightsandremediesthatth<<ountymayhave,includingmoneydamages.14PerformancebtheContractor.Inthe.eventof>>YdisputearisingovertheprovisionsofthisAgreement,17 theContractorshallproceedwiththetimelyperformanceofitsobligationshereunderduringthependencyofanylegalprothersimilar.proceedingstoresolvesuchdispute.1.~h'h11bbyandconstruedinaccordancewiththelawsoftheStateofFlorida.SubjecttoSection16hereof,theContractorbyexecutionofthisAgreement,andParsons&Nhittemore,Incorporated,byexecutionoftheguarantyofperformanceofthisAgreement,agreetosubmittoserviceofprocessandjurisdictionoftheStateofFloridaforanycontroversyorclaimarisingoutoforrelatingtothisAgreementorsuckguaranty,oriftheFederalcourtsshallhavejurisdictionthereof,tothe,jurisdictionoftheFederalSouthernDistrictCourtofFlorida.16.Arbitration.AnycontroversyorclaimarisingoutoforrelatingtothisAgreement,orbreachhereof,shallbesettledbyarbitrationinaccordancewiththesameproce-dures;.setforthinSection25oftheEGFContract.17.Amendments.Theobligationsofthepartiesmaybemodifiedoradditionalundertakingsmaybeagreedupononlybywritteninstrumentssignedbytheparties,andintheeventthatitisnecessaryordesirableto.amendtheEGFContract,thepartiesheretoshallactreasonablyandingoodfaithwithrespecttoanyamendment(s)ofthisAgree-mentnecessaryto.reflecttheproposedamendmenttotheEGFContract.

Thesedocuments.confirmthetenuousnatureofP&W'sasser-tions.Consequently,FPLbelievesthatthelatePetitioncanbedismissedatthispointevenwithoutconsiderationofwhatstillremainsundisclosed.Second,apromptdisposi-tionofthisPetitionisintheinterestofallparties.WhiletheBoardisconsideringthisPartialResponse,FPLbelievesthatitssubpoenasshouldbeissued.IftheBoarddecides,asFPLbelievesismerited,that.thelatePetitioncanbedisposedofwithoutawaitingadditionalinformationadversetothePetition,theBoardcanissueitsordertothateffectandtherebyexpediteresolutionofthematter.If,ontheotherhand,theBoardwishestowaitforFPL'scompleteresponsetothelatePetition,FPLwillfilesucharesponsewithintendaysofexecutingthesub-poenasandreceivingthedocumentswhichP&Whasrefusedtodisclose.HadnotP&Wopposedthesesubpoenas,thiscouldhavebeenaccomplishedlongago,andFPL'scompleteresponsewouldalreadyhavebeenonfile.I.IntroductionandBackroundInordertoplacethePetitioninitsproperperspectiveinthisproceeding,FPLwillsummarizebrieflytheproceduralhistoryandthecurrentstatusoftheproceeding,Petitioner'sfilingsinthisandotherlicensingproceedingsforSt.LucieIIUnitNo.2,andtherequirementswh'ichtheinstantPetitionmustmeet.

A.TheInstantProceedinThisproceedinginvolvestheantitrustreviewassociatedwithissuanceoftheconstructionpermitforSt.LucieUnitNo.2.Itbeganinlate1973whentheCommissionofferedanopportunityforanyinterestedpersontofile,nolaterthanDecember28,1973,apetitiontointerveneonantitrustgrounds.Nopetitionswerefiled,andinMayof1977theCommissionissuedaconstructionpermitforSt.LucieUnitNo.2.InAugust1976,beforeissuanceoftheconstructionper-mitbutsome31monthsafterthetimeforfilingapetitiontointerveneonantitrustgroundshadexpired,FloridaCitiesfiledsuchapetition.ThatpetitionwasreferredtoanAtomicSafetyandLicensingBoardwhichgrantedtheCities'equestforlateintervention.(FloridaPoweraLihtCo.(St.LuciePlants,Units1and2),LBP-77-23,5NRC789(1977)).ThegrantofinterventionwassubsequentlyupheldbytheAppealBoard(FloridaPower&LihtCo.(St.LucieNuclearPowerPlant,UnitNo.2),ALAB-420,6NRC8(1977))andtheCom-mission(FloridaPower&LihtCo.(St.LuciePlant,UnitNo.2),CLI-78-12,7NRC939(1978)).Inthecourseofthesub-sequentproceeding,FPL,theUnitedStatesDepartmentofJustice(Justice)andtheNRCStaffenteredintoasettlementagreementwhichresolvedthedifferencesamongthem.Thesettlementagreementimposes':uponFPLasetoflicense,tconditionsforSt.LucieUnitNo.2.TheintervenorCitiesdidnotjoininthesettlementamongJustice,theStaffand FPL,andthese'ttlementexplicitlyrecognizestheBoard'sauthoritytoimposeadditionalordifferentlicenseconditionsafterahearingiscompleted,shouldthatbenecessary.JusticeandtheStaffhaveadvisedtheBoardoftheirviewthatiftheconditionsprovidedinthesettlementareattachedtotheSt.LucieUnitNo.2constructionpermit,activitiesunderthatlicensewillnotcreateormaintainasituationinconsistentwiththeantitrustlaws.OnApril24,1981theBoardissuedaMemorandumandOrderwhichacceptedtheSettlementAgreementasfiled,madeeffec-tiveimmediatelytheproposedlicenseconditions,andallowedIntervenorCities30days"toproceedwithanylitigationinthisproceedingtheybelievenecessarytocurethesituationinconsistentwiththeantitrustlawsallegedbythemtobecreatedormaintainedbytheactivitiesundertheSt.LucieUnit2license."(MemorandumandOrder,pp.12-13).B.ThePetitioner'sFilinsTheinstantPetitionisthesecondfilingwhichPetitionerhasmadewiththisCommissionseekingtointervene,onanti-trustgrounds,inalicensingproceedingforSt.LucieUnitNo.2.-OnApril7,1981,Petitionersoughttointervene,solelyonantitrustgrounds,inthehealth,safety,andenviron-mentalproceedingtoconsidertheissuanceofanoperating"/Moreover,onJune22,1981,PetitionersubmittedtotheDirectorofNuclearReactorRegulationafilingre-questinginstitutionofanenforcementactionagainst,FPLvis-a-vistheconditionsapprovedbythisBoardonApril24,1981.FPLbelievesthisfilingtobepatentlywithout.meritandwillrespondaccordingly.

licenseforSt.LucieUnitNo.2.OnMay6FPLfileditsresponsetothatintervention,pointingoutthatantitrustissuescouldnotbe..consideredinsuchaproceeding;thatPetitionerhasnointerestinanylicensingproceedingforSt.LucieUnitNo.2;thatthereisnoantitrustreviewnowpendingfortheSt.LucieUnitNo.2operatinglicense,andthepleadingsofPetitionerprovidednogroundsforiniti-atingsuchareview;andthattheantitrustallegationswhichPetitionerhadputforthwerenotsufficienttopro-videabasisforanyNRCantitrust,proceeding,andwereunmeritoriousinanyevent.ThePetitionwasproperlydeniedbytheoperatinglicenseBoardbyOrderdatedJune3,1981.P&Whasnoticedanappeal.OnApril24,1981,Petitionermadetheinstantfiling,inwhichitrequestedleavetointervene"inthisconstructionlicensingproceeding"andrequestedtheCommissiontoholda".limited"antitrusthearing.ThepurposeofthePetitionistosupportPetitioner'srequestforlateinterventioninthisconstructionpermitproceedingand,tothatend,thePetition"focusesuponthereasonsforPetitioner'sdelayedfilingofitsinterventionpapersinthisconstructionlicensingpro-1ceeding."(Petition,p.3).Assupport,forthesubstanceofitsintervention,Petitionerrelieson,andincorporatesbyreference,itsApril7filingsbeforetheLicensingBoarddesignatedtohearthehealth,safety,andenvironmentalaspectsoftheSt.LucieUnitNo.2operating'icense.'"/"/ForpurposesofidentificationwewillrefertotheApril24construction.permitfilingasthe"Petition."TheApril7filingswillbereferredtoasthe"OLPetition"andthe"OLBrief,"andcollectivelyasthe"OLFiling.'-'

TheOLFilingInitsApril7..filingintheoperatinglicensereview,Petitionerassertsaninterestbasedexclusivelyontheclaimthatitisaqualifyingsmallpowerproductionfacilityen-titledtocertainbenefitsunderPURPAandthatoperationofSt.LucieUnitNo.2underthetermsofthelicenseconditionswillbeinimicaltothosebenefits.Morespecifically,Peti-tionerstatesthatithas"recentlycompleted"constructionofasolidwasteprocessingfacilityinDadeCounty,Florida,whichwillprocesssolidwaste,convertcombustiblesintofuel,andburnthefueltocreatesteam(OLPetition,p.2).Inconjunctionwiththesolidwasteprocessingfacility,anelectricgeneratorwillusethesteamtogenerateelectricity.Petitionercontendsthatit"ownsandistestoperating"theelectricgenerator.(OLBrief,p.5).PetitionerassertsthatthefacilityisaqualifyingsmallpowerproductionfacilitywithinthemeaningofSection201ofPURPA,16U.S.C.5796,andtheimplementingregulations(18CFRPart292)promulgatedbytheFederalEnergyRegulatoryCommission(FERC),andcon-tendsthat"[It]hascompliedwiththerequirementsofPURPAandhastakenthenecessarystepstosecurethebenefitstowhichitisentitled,"bynotifyingtheFERCthatitisaqualifyingfacilityunderPURPA,andnotifyingFPLthatit"'willbeginsalesofelectricenergytoFloridaPoweraLightCo.'"withinashorttime.(OL'Brief,p.6),.Peti-tionerfurthercontendsthatithasalsosoughttoexplorecompetitiveopportunitiesforsalestootherelectricutilities andtothatendhasaskedFPLtoconfirmthatit"'willtrans-mitelectricityinbehalfof[Petitioner]topotentialcustomersotherthanFPaL.'"(OLPetition,p.3).PetitionerallegesthatifFPLispermittedtooperateSt.LucieUnitNo.2underthetermsofthelicenseconditionswhichwereattachedtotheconstructionpermitforSt.LucieUnitNo.2pursuanttotheApril24,'1981orderbythisBoard,a"'situationinconsistentwiththeantitrustlaws'aybecreatedormaintained."(OLPetition,pp.2-3).Petitioner'scomplaintconcernsSectionXofthelicenseconditions,whichfamongotherthings,requiresthatFPLprovidetransmissionservicesforelectricityproducedbyqualifyingsmallpowerproductionfacilitiesincircumstancesandunderconditionswhichPetitionercontendsareundulylimited.(OLPetition,p4)~Onthisbasis,Petitionercontendsitshouldbegrantedinterventionfor"thelimitedpurpose"ofbeingheardonthe"potentiallydetrimentalimpact"ofSectionXofthelicenseconditionsonitsPURPArightsandcompetitiveinterests.(OLPetition,p.9).TheInstantFilinPetitionerassertsthatitfiledthePetitionsevenyearsandfourmonthslateduetoa"lackofknowledgeattributabletothesecrecyofthesettlementprocess,"andallegesthat,~fbecauseofthissecrecy,itwasnot,awareofanypossibleCeffectoftheproceedingonits"rights"untilit."unearthed" theproposedsettlementagreementwhichitclaimswasonlyrecentlymadepublic.-(Petition,pp.7-8).*/Petitionerarguesthattheonlymeanswhichithasavail-abletoprotectitsinterestisthroughparticipationinthisproceeding(orthehealth,safety,andenvironmentalproceed-ing)andcontendsthatifitisnotallowedtointervene,FPLwillsucceedin"using"theNRCtohelpitmaintainandenhanceitsmonopolypower"inthewaysoutlinedin[theOL]BriefinsupportoftheApril7Petitioner(sic]."(Petition,p.8).Petitionerstatesthatitsrightsare"deeplyaffected"bytheproposedsettlementbecausesuchsettlementhasappar-entlybeennegotiatedwithoutregardtorightswhichqualifyingfacilitiespossessunderPURPA.Thus,Petitionerallegesthatitsparticipationinthisproceedingisnecessarytodevelop-mentofasoundrecord,andthatnootherpartyisavailabletorepresentthoseinterests.(Petition,p.9).Finally,Petitionercontendsthatitsinterventionwillneitherbroadennordelaytheproceeding,becausetheissueswhichithasraisedinitsfilingswillbebeforetheCommis-sioninanyevent,andadeterminationonthemmustbemade.(Petition,p.10).C.StandardsA'lic'able4othePe'titionTheCommission'srulesrequirethat,inordertobesuc-cessful,aPetitionmustdemonstrate,(l).thenatureofPetitioner's"/'Petitioneralsocontendsthat"requisiteformalities"werelackinginthe'"publicnotice,"thoughitfailstoidentifywhatitbelievestho'seformalitiestobe.

-11-II.Petitioner.LacksTheStatusOnWhichItsClaimOfInterestInAnNRCProceedi;n':IsBa'sedPetitionerlackstherequisiteinteresttointervene,becausePetitionerhasnolegallycognizableinterestinthesubjectmatterofthisproceeding,oranylicensingproceedingforSt.LucieUnitNo.2.Asnotedabove,theCommission'srulesrequirethat,inordertohesuccessful,thePetitionermustdemonstrate,among.otherthings,itsinterestintheproceeding.(10CFR52.714(d).)..Withoutsuchashowing,thePetitionshouldbedismissedattheoutset.DuetoPetitioner'srefusaltodiscloseanyofthefactsinitspossession,FPLdoesnotyethavealloftheinformationwhichbearsonthisquestion.Buttheinformationthatisavail-ableestablishesthatPetitionercannotsatisfythiscriterion.Petitioner'sassertionofinterestinanylicensingproŽceedingconcerningSt.LucieUnitNo.2restsonitsrepre-sentationstotheeffectthatitlawfullyownsandcontrolsasolidwasteprocessingfacilityinDadeCounty,Florida,aswellasanelectricgeneratorwhicnwillproduceelectricityfromsteamraisedbythesolidwastefacility(OLBrief,p.5)andthatthefacilityisa"qualifyingsmallpowerproduction*/facility"withinthemeaningofPURPA.~Petitionerstatesthatithas"compliedwiththerequirementsofPURPAandhas"/SuchafacilityisentitledtocertainbenefitsunderPURPAanditsimplementingregulations.16U.S.C.g824a-3(Supp.III1979);18CFR5292.101,etseq.

12takenthenecessarystepstosecurethebenefitstowhichitisentitled[underPURPA]."(OLPetition,p.3).Such"necessarysteps"includeanotificationtotheFERCthatitisaqualifyingfacilityunderPURPA,-andnotifyingFPLthatitwillbegintosellelectricenergytoFPLwithinashorttime.Petitioneralsoallegesthatithassoughtassur-ancefromFPLthatitwilltransmitelectricityforPetitionertopotentialcustomersotherthanFPL.(OLPetition,p.3).WhatPetitionerhasfailedtodisclosetotheCommissionisthatcontractsareinexistencewhichdefeatanylegalright'nPetitioner'sparttotitletotheelectricgeneratorandtoanyright,title,orinterestintheelectricoutputfromthefacility.Whatfollowsisabriefaccountofthepertinentfacts.OnMayll,1976theBlackClawsonParsons-WhittemoreOrganizationsubmitteda"Proposal"toMetropolitanDadeCountyfora"ResourceRecoveryPlant."TheProposalencompassedtheconstructionofasolidwasteprocessingfacility(SWPF),whichwouldbeownedbytheCountyandoperatedbythe'contractorforanagreeduponfee,andanelectricalgeneration"/PetitionersubmittedaNoticetoFERConMarch13,1981,claimingitmetPURPAsmallpowerproducerqualifications.Petitionerapparentlycontendsthatthemerefilingofsuchanoticeentitlesittosmallpowerproducerstatus,irrespectiveoftheimplications,'ftheunderlyingfacts.FPLdisagrees.OnMay7,1981FPLfiledaProtest,PetitionforaDeclaratoryOrder,andPetitiontoIntervene,arguingthatPetitionerisnotsoqualified'andthatFERCshouldsodeclare.,FERChasnotyetruledonthematter.

-13-facility(EGF)whichwouldbeownedandoperatedbyFPL.-*/Itfollowedtwoyearsofnegotiations.Ultimately,thesearrangementsbecamediscreteformalcontractualcommitments,coveringtheSWPFandthegeneratingfacility,respectively.InthecontractrelatingtotheSWPF,Petitioner,throughoneofitssubsidiaries,agreedtobuildtheSWPFandvesttitleandownershipinittoDadeCounty.PurchaseContractforSolidWasteDisposalFacility(Sept.28,1976)atg5.02.Eventhatcontract,however,containspro-visionsestablishingthattheelectricalgeneratingfacilityistobeownedandoperatedbyFPL.~*'ThiscommitmenttovestownershipoftheelectricgeneratingfacilitiesinFPLwassealedbyacontractbetweenFPLandDadeCounty,executedinlate1977[theEGFAgreement].Thatcontractprovidesthatuponcompletionofconstructionandaftercertaintechnicaltestshavebeensatisfactorilycompleted,butbeforeanyelectricenergyhasbeenproducedbythe<</ThustheProposalrepresented,interalia,that:"nturbogeneratormodule,completewithtransmissionfacilities,willbeprovidedfortheaccountofFloridaPower6LightCompany."ProposaldatedMayll,1976,DescriptionofProcessandEquipment,pageno.2-12.ExhibitAhereto."*/ThusthePurchaseContractprovides:l.05ElectricalGeneration~FacilitThe"ElectricalGenerationFacility"shallmentheturbo-generatorandthefacilitiesrelatingtheretotobeownedbyFloridaPower&Lightandtobebuiltpur'suanttoanagreementtobeenteredintowithFloridaPower"6LightCompanyasprovidedinSection11.02hereofandasmoreparticularlydescribedinsuchagreement.ThepertinentportionsofthePurchaseContractareannexedheretoasExhibitB.

-14facility,DadeCountywilltransfertoFPLthetitletotheIelectricgeneratorandthosedirectlyassociatedtransmissionlinesrequiredtoconnecttheelectricgeneratortotheFpLgrid.Thereafter,FPLwillownandoperatetheelectricgeneratorsandassociatedtransmissionfacilities.TheelectricenergywillgointoFPL'ssystemand.betreatedthesameasallotherenergywhichFPLgeneratestoservetheneedsofitscustomers.DadeCountyhasalsocontractedtoleasetoFPLthoseportionsofthesiteonwhichtheelectricgeneratorislocated,sothatFPLmayuseandoccupythesitetooperatetheelectricgeneratorandassociatedtransmissionlinestogenerateandtransmitelectricenergy.Asiscommoninmajorcommercialcontractsofthisnature,DadeCountyhaswarrantedthatitislegallyauthorizedtoperformitsobligationsunderthecontractandislegallyobligatedtocomplywiththetermsandconditionssetouttherein.-Znshort,thecontractreflectsthatDade*/Countycontemplatesholdingsufficienttitletothesite,theelectricgenerator,andthetransmissionfacilitiestopermittheCountytoperformunconditionallyitsobligationstotransfertoFPLownershipofsuchfacilitiesandaleaseholdinterestintheunderlyingrealestate.Moreover,FPLhasnowbeenabletoobtainfromDadeCountyacopyofa"RestatedAssumptionAgreement."Bythatcontract,"/AcopyofthecontractbetweenFPLandDadeCountyisattachedtotheaffidavitofJ.T.Blount,FPL'sAssistantCorporateSecretary,andwasprovidedtothisBoardasAppendixAtotheresponsefiledbyFPLonMay6,1981,inDocketNo.50-389-0L.

Petitioneragreed4oassumealloftheprincipalobligationsofDadeCountyunderitscontractwithFPL.-Thepertinent**/provisionsareasfollows:2.ConstructionoftheFacilit(a)theContractorshalldesign,finance(duringconstruction)andconstructtheElectricalGenerationFacility,asprovidedintheEGFContract[accordingtovariousprovisionsoftheEGFContractbetweenFPLandDadeCounty].TheContractor[i.e.,Petitioner)shallalsotransfertitletotheEGFTransmit.ssa.onFacxlztxesandtheFaczlzttotheCountortoFPL,asdirectedxnwritingbytheCounty,xnaccordancewithSections7.0and19.2oftheEGFContract.[Emphasisadded].3.SaleofEGFandSteam.After'constructionobliatedundertheEGFContracttoselltheElectricalGenerationFacilxttoFPLandtodeliverandsellQualitSteamtoFPLznaccordancewithSections5.12,5.13and5.14oftheEGFContract,including,butnotlimitedto,obli-gationstomakepaymentstoFPLinaccordancewithSection5.19oftheEGFContractandtoberesponsi-blefordamagesresultingfromthefaultyoperationsoftheSWPFandnonqualitysteaminaccordancewithSections8.4and5.15oftheEGFContract,'andtheContracto'r'[i.e.,Peti'tip'nerj'shal'1'assumea'IMoMtheCountsob'liatmo'nsu'nder'such'sect~on'sas'iftheContractorwereaa'rt:tothe'GFContractxnxeuofteCount.EmpasksaeUndertheRestatedAssumptionAgreement,Petitioner,byassumingtheobligationsofDadeCounty,hascommittedtoOfcourse,FPLstillhasnoaccesstoanyoftheagreementsgmemorandaandotherdocumentsrelatingtothisagreementwhichareinthesolepossession-'ofPetitioner.;fTheexcerptsinthetextaretakenfromthe"RestatedandAmendedAgreementforAssumptionofRightsandObligationsUnderElectricalGenerationFacilityandSteamDeliveryAgreement,datedMay5,1978,andannexedheretoasExhibitC.

-16vestinFPLtheownershipandoperationoftheelectricgeneratingfacility,andhasitselfconfirmedthatFPLhasthevalidlegalrighttothegeneratingfacilityanditsoutput.-YetitisthatoutputwhichPetitionernowseekstoappropriate,inderogationoftherightsofFPL(andthecitizensofDadeCountyaswell).AttheheartofthematteristhecontractualdisputebetweenPetitionerandDadeCounty.AccordingtoaComplaintfiledbyDadeCountyintheU.S.DistrictCourtinMiami,DadeCountyhasplacedinescrowtheentirepurchasepriceoftheSWPFfacilityandequipment--$128million--tobepaiduponadequateassuranceofperformancebyPetitioner;however,Petitionerhasfailedtoprovidethoseassurancesandhaspur-**/portedtorepudiateitscontractualcommitments.-Petitionerisrefusingtohonoritslegalobligationsuntilandunlesssomeone-perhapstheCounty,perhapsFPL-paysPetitionermoremoneythanitscontractprovides.FPLisinformedthatthesecontractualdisputesbetweenPetitionerandtheCounty***/arenowinarbitration.-FPLstandsreadytoperform,pursuanttothosecontracts,assoonasPetitionerfulfillsitsobligations-eithervoluntarilyorbyadjudicateddecree.Complaint,paras.33,38-40.AcopyoftheComplaintisannexedtoFPL'sApplicationforIssuanceofSubpoenas,datedMay8,1981.DadeCounty'slawsuitwasdismissedonthegroundoflackofdiversityofcitizenshipbetweentheparties.(MetroolitanDade'Countv.Parsons6Whitte-more,Inc.,No.80-333-Civ.-EDSS.D.'la.)."**/Atthesametime,FPLisengagedinsettlementnegotiationsinvolvingParsons&WhittemoreandDadeCounty.

17Petitioner'sqlaimofinterestinthisproceedingisthatitcurrently"owns"theSWPFandEGFfacilitiesbecauseitisretainingthelegaltitletothem.Whatthisargumentignorescompletelyisthat,Petitionerretainssuch"title"bybreachingitscontractualobligationstoFPLandDadeCounty.Petitionerhasnolawfulrighttotho'sefacilitiesortoappropriatetheiroutput.TheburdenisonthePetitionertodemonstratethelegiti-macyofitsclaimofinterestinanyNRCproceedinginwhichitseekstoparticipate.Here,Petitioner'sabilitytodosodependsuponitsabilitytodemonstratebeforethisCommissiontheinvalidityofsolemncontractualcommitmentswhich,ontheirface,defeatPetitioner'sclaim.-ItisnotthefunctionoftheNRCtoresolveacommercialcontractualdisputeamongprivateparties.ButthatiswhatitwouldhavetodotodeterminethatPetitionerhasacognizableinteresthere.Inthisinstance,thePetitioneravoideddealingwiththesequestionsinitsPetitionbysimplynotapprisingtheCommissionoftheexistenceofcontractswhich**/placeaseriouscloudovertheclaimsmadeinthePetition.-"/Inessence,PetitionerasktheBoardtoassumethosecontracts,which~areinfullforceandeffect,areinvalid.InitsBriefinOppositiontoApplicationforIssuanceofSubpoenas,PetitionercitesRule:25(c)oftheFederalRulesofCivilProcedureforthe'ropositionthatithasaviable"interest."Thisargumentismisconceived.Rule25(c)providesthatwhenalitiganttransfershisinteresttoathirdpartysubsequenttocommencementofalawsuit,thethirdpartymaybesubstitutedinthediscretionofthecourt.Theruleisintendedtoprovide(footnotecontinued)

-18Petitioner'sfailuretosubstantiatetheclaimsonwhichitsassertiono'f'interestisbasedisreasonenoughfordenialofthePetition,standingalone.Moreover,evenifPetitioner'scontentionswereacceptedarcruendo,itsinterestwouldbetootenuoustosupportaPetitionaslateandasdeficient.inother'respectsasthisoneunderanycircumstances.III.TheAntitrustClaimsStatedinthePetitionAreNotSufficienttoJustifyGrantingofthePetitionA.TheImpositionofSettlementLicenseConditionsCannotJustifyPetitioner'sInterventionTheallegationsinthelatePetitionaregroundeduponthepropositionthatifFPLispermittedtooperateSt.LucieUnitNo.2onthebasisofthelicenseconditionsprovidedinthesettlementamongFPL,theDepartmentofJusticeandtheNRCStaff,thiswill"diminishqualifyi'ngfacilities'enefitsunderPURPA."(Petitionat5).Thatisnotsoandcannotbesoasamatteroflaw.(footnotecontinued).anorderlymethodfordealingwithsubstitutingnewparties.Thatrulehasnoapplicationhere.Whatisinvolvedhereisathresholdquestionastowhichofthetwolitigants,complainantorrespondent,hastheequitableandcognizableinterestinthepowerinquestion.Thatisamatterwhichinvolvesnota"transfer"ofinterest,butadeterminationastowhethersuchinterestexists.Moreover,whatPetitionercontemplatesisnotsubstitutionofathirdpartytoassertacontinuingclaim,buttheextinctionofitsallegedclaimaltogether.Fin-ally,theNRCRulescontainnoexpressanaloguetofederalRule25(c),hencetheCommission'videntlydid'aotintendforsucharuletocontxolitsproceedingsinanyevent,even-leavingasidePetitioner'smisconceptionastoitsapplica-tion.'(Gen'era'1'l'ectricCompany(VallecitosNuclearCenter,GeneralElectra.cTestReactor),LBP-78-.33,8NRC461,466(1978).

19AnyconditionsattachedtoFPL'slicenseforSt.LucieUnitNo.2willservesolelytoenjoinFPL.ItisanobviouspropositionoflawthatnoinjunctionplaceduponFPLbytheNRCcandefeattheauthorityofanotherfederalagencywithcompetentjurisdictiontoimposedifferent,andperhapsmorestringent,regulatoryrequirementsuponFPL.ThesettlementlicenseconditionsexpresslyacknowledgethisinSectionXIII(c),whichprovides:"NothinghereinshallbeconstruedtoaffectthejurisdictionofFERCoranyotherregulatoryagency."PURPAcontainsacomprehensiveregulatoryschemeregardingtheobligationsofelectricutilitiestodealwithsmallpowerproducers,includingtheobligationstoprovidewheelingandbackupservices.ThatschemeisunaffectedbyanylicenseconditionsimposedbythisCommission.ThelicenseconditionsdonotandcannotmitigateFPL'sobligationtocomplywiththesmallpowerproducerregulationsissuedunderPURPA.Petitioner'scomplaintisnothingmorethanthatthesettlementconditionsdonotprovideitwithsignificantadvan-tagesinadditiontothoseitreceivesunderPURPAregulations.Thecontentionthataninjunctiveconditiondoesnotgoasfarasonewouldlikeisnobasisfortheallegationthatactivitiesunderthelicensewouldcreateormaintainasituationincon-sistentwiththeantitrustlaws.Thus,totheextentthatthe'.Petitionmaybexeadascorn>>plainingthatthelicenseconditionsthemselvescreateormaintainasituationinconsistentwiththeantitrustlaws 20becausetheydiminishPetitioner'srightsundersomeotherregulatoryscheme,thatcontentionisgroundlessasamatteroflaw.B.ThePetitionFailstoMeet,theSubstantiveStandardsforInter-ventioninan.AntitrustProceedinAsnotedabove,theOLPetitionisdevotedalmostentirelytoairingPetitioner'sdissatisfactionwithoneoftheprovisionsofthesettlementlicenseconditions.Nomeaning-fuleffortismadetoallegetheindependentexistenceofasituationinconsistentwiththeantitrustlawswhichwouldbecreatedormaintainedbyactivitiesunderthelicenseandwouldcallforremediallicenseconditions.:ItisincumbentuponPetitionertocomeforwardwithsuchallegationsasaconditiontointerventioninanNRCantitrustproceeding.WhereoneseekstointerveneinanNRCantitrustpro-ceeding,hispetitionmustidentifywithspecificitythe"situationinconsistentwiththeantitrustlaws"whichwillbecreatedormaintainedbyactivitiesunderthelicense.Substantiallymorethanbareallegationsmustbepleaded,forsimplyalleginga"situationinconsistent"andmouthinginaritualisticfashionthatthatsituationwillbecreatedormaintainedbytheactivitiesunderthelicenseisinsufficient.Tobesuccessful,thepetitionmustataminimumidentifythespecificprovisionsoft'eantitrustlawswhichitisfclaimedwillbeoffendedbytheactivities,identifytherelevantmarketswhichitcontendsareatissue,anddescribehow 21activitiesunderthelicensewilloffendthoseprovisionsintherelevantmarket,(WolfCreek,ALAB-279,1NRCat559;WolfCreek,ALAB-299,2NRCat740).ThePetitionfailstomaketheseshowings.Moreover,thesuccessfulpetitionmustshowa"meaning-fulnexus"betweentheactivitiesunderthenuclearlicenseandthe"situation."(LouisianaPowerandLihtCo.(Water-fordSteamElectricGeneratingStation,Unit3),CLI-73-25,6AEC619(1973);WolfCreek,ALAB-279,1NRCat566).PetitionermakesnoefforttoallegeanynexusbetweenthesituationinconsistentwiththeantitrustlawsandactivitiesundertheoperatinglicenseforSt.LucieUnitNo.2.Thisisnotsurprisinginviewoftheabsenceofanyfactualbasisfordemonstratingsuchanexus.TheclosestthatPetitionercomestoacknowledginganysuchrequirementisinparagraphs(18)and(19)oftheOLPetition,whereitstates,inessence,that'itsinterestwillbeaffectedbyFPL's"intendedimplementation"ofthesettlementconditions.(OLPetition,pp.8-9).Asisdemonstratedabove,thesettlementconditionsaffectPetitioneronlyinthattheydonotgoasfarasPetitionerwouldlikeinaddressingwhatPetitionercontendsisasituationinconsistentw'ththeantitrustlaws--a"situation"whichisnotallegedtobearanynexustoactivitiesunderthelicense.Therequire-mentofsuchanexusisjurisdictional,-andPetitioner'sfailuretoallegeanysuchnexusisfa'taltothesubstanceof(itsallegations."/Waterford,6AECat619.

22IV.TheAntitrustAllegationsContainedinthePetitionAreWithoutMeritAstheforegoingsectiondemonstrates,Petitionerhasfailedutterlytoallegeasituationinconsistentwiththeantitrustlawswhichwouldbecreatedormaintainedbyactivitiesunderthelicense,andFPLdeniesthatanysuchsituationcouldbeshown.Thefew,scatteredreferencestosubstantiveantitrustissuescontainedinthePetitionaretransparentlywithoutbasisormerit.PetitionerrefersintheOLBrieftotheFifthCircuit'sdecisioninGainesvilleUtilitiesv.FPL,573F.2d292,cert.denied,439U.S.966(1978)(OLBrief,p.4),withoutpro-vidinganyclueastohowthatdecisionrelatestoitsclaims.AlsoincludedintheOLBriefwithoutanyilluminatingexplan-ation(pp.12-13)isalistofallegationswhich'theCitieshavemade,andFPLhasdenied,inthisproceedingandinasuit,pendingintheU.S.districtcourtinMiami,Florida.Peti-tionerdoesnotassertthatitcanproduceanyevidenceinsupportoftheseallegations.TheonlyreferencestoanyrelationshipbetweenFPLandPetitionerwhichmight,havecompetitiveimplicationsare*/confusedandinternallyinconsistent.-Atpage17oftheOL"/Theonlyreferencetomarketstru'cturefoundinPetitioner'sfilingsisParagraph(13)ofthe'OLPetitionwhichchargesthatFPL"possessesmonopolisticcontrolovertheprovisionoftransmissionservicesinsouthern'andeasternFlorida."FpLdeniesthatallegationandaversthatitcannotcrediblybemaintainedinanyeventbyonewhichassertsthatitisasmallpowerproducer,andthuswouldbeentitledtotheassuranceofaccesstotransmissionfacilities,regardlessoftheirownership,whichPURPAprovidestotheownersofsmallpowerproductionfacilities.

23BriefPetitionerstatesthat:"FP&L,ofcourse,wouldratherbuyelectricpowerfromqualifiedPURPAfacilitiesthancom-petewiththosefacilitiesforsalestoFP&L'sothercustomers."ThefallacyofthisassertionisdemonstratedbythefootnoteonthesamepageoftheOLBrief,whichacknowledgesthatanelectricutilityisrequiredbyFERCrulestopurchaseelec-tricityfromsmallpowerproducersattheutility'savoidedcost.Thusautilitycannotunderthelawprofitorreducethecostswhichitscustomersmustpayasaresultofmakinganysuchpurchase.ContrarytoPetitioner'sglibassertion,FPLhasnoincentiveto"compete"tomakepurchasesunderthesecircumstances.Moreover,Petitionerimpliesthat'FPLseekstowithholdtransmissionservicessothatFPLwillnotlosewholesalesalestomunicipalutilities.Tothecontrary,FPLhassoughtrelieffromtheobligationtomakeadditionalwholesalesales,ontheground,interalia,thatthecostofprovidingsuchserviceexceedsincrementalrevenuesderivedbyFPL.TheFERCproceedinginwhichthatreliefwasdeniedtoFPListhatreferencedinthefootnoteonpage9oftheOLBrief.Apparently,Petitioner,initshastetocaptureaquoteoutofthatcontext,failedtoacquaintitselfwiththesub-jectmatteroftheFERCproceeding.Thetransparentweaknessoftheseallegationsisnotsurprising.ThereisnodisputebetweenPetitionerandFPLwhichhascompetitiveimplications.Norhasanyonewholaw-fullycontrolsaqualifyingsmallpowerproductionfacility 24complainedofFPLsdealingswithhim.ThisPetitionispromptedbyPetitioner'sapparentdesiretoescapefromitscontractualobligationstoDadeCountyandtotakesomethingthatdoesnotrightfullybelongtoit,buttowhichFPLisentitledunderitsowncontractwithDadeCounty.Theideaofassertingantitrustclaimsisbutanafterthought.V.ThePetitionFailsToMeet.TheStandardsForLateInterventionThePetitionfails,onallcounts,tomaketherequisiteshowingsforlatepetitionstointervene,andmustthereforebedenied.ThePetitioniswoefullydeficientindemon-stratinggoodcauseforfailure"totimelyfile.Moreover,thePetitionfurtherfailstomakeanadequateshowingontheotherfourfactorswhicharenecessarytojustifyalatepetitiontointervene.Petitionstointerveneoutoftimebearasubstantial275),andpetitionswhicharefiledegregiouslylate-suchasthisPetition,whichwasfiledsevenyearsandfourmonthslate--bearanextremelyheavyburdenofpersuasion.Lucie,CLI-78-12,7atNRC939).A.ThePetitionFailsToDemonstrateGoodCauseForFailureToFileOnTime',:TheinstantPetitionisfiledsomesevenyearsandfourmonthslate.Therecanbenoexcuseforsuchtardiness,andindeedPetitionerhasfailedtoprovideone.

-26Evenifthisweretrue,itcouldnotservetoexcusePetitioner'stardiness.Petitionerbasesitsclaimtolateinterventiononthesettlementalone,andthatisfatal.EvenifPetitioner'sfilingisreadinthelightmostfavor-abletoPetitioner,themostthatitsaysisthattheinjunc-tionimposedonFPLinSectionXofthesettlementlicenseconditionsisnotbroadenoughtosuitPetitioner.,ItisindisputablethatPetitionerisatleastaswelloffwiththeprotectionofanallegedlyinadequateinjunctionasitwaswithnoinjunctionatall.Petitionerhasnotcontended*/otherwise.-IfPetitionerhasanyclaimthattheNRCcanentertainitmustbebaseduponallegationsofasituationinconsistentwiththeantitrustlawswhichpre-existedimpositionofthesettlementlicenseconditionsandwhichtheconditionsdonotadequatelycure.Inshowinggoodcauseforextremelateness,Petitionermustexplainwhyitnevercameforwardtocomplainofthesituation,notwhyitonlynowcomplainsofthebreadthofremedialconditions.Onthatpoint,thereisnocasetobemade.Theproceedingitselfhasbeenpend-ingsinceanoticeinvitingsubmissionsofpetitionsforleavetointervenewaspublishedintheFederalReisterin1973,andthisBoard'sordergrantingCities'atepetitionandL'Irequestforanantitrusthearingwas:publishedinApril1977."/ThelargelyrhetoricalclaimthatconditionsimposedonFPL'sNRClicensecouldaffectPetitioner'srightsunderPURPAasadministeredbytheFERCisobviouslywrongasamatteroflaw.Beepp.18-20,~sura 27ViewingPetitioner'sclaimsinthebestpossiblelight,theBoardispresentedwithapetitionerwhichknowinglyorthoughtlesslysatonthesidelineswhileaproceedingwasrunningitslengthycourseandisnowdissatisfiedwiththescopeofreliefobtainedbythosewhoparticipatedaspartiesintheproceeding.Suchdissatisfactioncannotbeaccepted*/asgoodcauseforextremelateness.-Inaddition,arulingon"goodcause"forlatenessneces-sarilyinvolveselementsofsubjectivejudgmentbytheBoard.ItisproperfortheBoardtotakeintoaccounttheevidencethat,thisPetitionerseekstousetheprocessesofthisCom-missiontogaintacticaladvantageinacommercialcontractualdisputeinwhichithasbecomeinvolved.(Seepp.10-14,~sura).AsonewhoseekstosheditselfofitscontractualobligationsandtointerferewiththeperformanceofthecontractbetweenFPLandDadeCounty,PetitionerdoesnotcometotheNRCwithcleanhands-aconclusionwhichisbuttressedbytheabsencefromanyofPetitioner'sfilingsofacandidaccountofthecommercialsituation.AnotherfactorwhichweighsheavilyagainstPetitionerisitsrecalcitrantattitudetowardsopendisclosure.AlatePetitionerhasanobligationtocomeforwardwiththefactsuponwhichhisPetitionforlateinterventioncanbeobjectivelyevaluated.Fromtheoutset,PENhas"/E.g.,PuetSoundPower6LihtCo.(SkagitNuclearPowerProject,Unitsan,ALAB-5,10NRC-162(1979)..~Naderv.NRC,513F.2d1045,1054-55O).C.Cir.1975$.

28soughttohaveitsPetitionevaluatedonthebasisofonlythosefactsithaselectedtovolunteer.InitsPetitionandsupportingpapers,P&N'failedeventomentiontheexistenceofthecontractualdisputesoutlineu,supra,whichhaveheenthecenterofallitsdealingswithFPL.ThisomissioncannotpersuasivelybedefendedbyPetitioner'sargumentthatthesefactsaresomehow"extraneous."ThatisadeterminationwhichistheCommission',notPetitioner'tomake,andshouldbedeterminedonarecordwhichisfullyandfairlyinformed.ThefactisthatPetitionerdecideditspetitionwouldnotbeadvancedbyhavingthesefactsbroughtforward.Tothisday,PetitioneradamantlyresistsFPL'seffortstohaveequalaccesstothefactsinitspossession.Thiscontinuedresis-tancetoafullyinformedevaluationofitsassertionsisamattertheBoardmayweighheavilyinassessingwhetherPetitionerha'scomeforwardwithashowingthatwouldjustifyacceptanceofitsextraordinarilylatePetition.B.ThePetitionFailsToMakeAnAdequateShowingOnAnOfTheFourFactorsFailuretoshowgoodcauseforUntimelyfilingofapetitionisnotnecessarilyfataltoarequest,forlateintervention.However,theburdenofjustifyingsuchaninterventionthenfallsupontheremainingfourfactorsin10CFR52.714(a),andtheshowingwhichisrequiredunderthosefactorsthenbecomesconsiderablygreaterthanit

-29showbelow,Petitionerfailstojustifyitslateinterventiononthebasisofanyofthefourfactors.1.OtherMeansareAvailabletoProtectPetitioner'sInterestItisFPL'sposition,forthereasonsgivenonpp.10-14/~sura,thatPetitionerhasfailedtomakeashowingofinter-estsufficienttosupportitsinterventioninanyNRCpro-ceeding.However,evenifPetitioner'sassertionsareacceptedarcruendo,itisclearthattheinterestthatitseekstopro-*/tectarisesunderPURPAandnottheAtomicEnergyAct.-TotheextentthatPURPA,oritsunderlyingpolicies,oranyimplementaryregulationsadoptedbytheFERCentitlePeti-tionertoreceivetransmissionservicefromFPL,PetitionerisfreetoassertitsrightsbeforetheFERC.Indeed,PURPAcontainsprovisions(16U.S.C.824;(Supp.III1979))fwhichempowerFERCtoorderanyelectricutilitytoprovidetransmissionserviceupontheapplicationofanyqualifyingsmallpowerproducer.Itisnotnecessarytoconsiderherewhethertheexis-tenceofsuchprovisionsinPURPAwouldrequireorpermitinactionbytheNRConthemeritsofissuesproperlybeforeit.AllthatmustbeconsideredhereiswhetherifthePe-titionisdeniedongroundsofuntimelinessthePetitionerwillItisalsoFPL'spositionthatPetitionerhasfailedtoallege,andcannottruthfullyallege,anysubstantialnexusbetweenitscomplaintsandactivitiesunderthelicenseinissuehere.See,pp.17-18,~sura.

30beleftwithoutanylegalforum.Clearly,thatwillnotbethecase.2.ParticipationbyPetitionerWouldNotAssistinDeve'loinaSoundRecordPetitionerarguesthatitsparticipationwould.assistindevelopingasoundrecordbecauseQualifyingPURPAFacili-tieshave"beenaffordedlessfavorabletreatmentthanotherelectricgenerators"underthe"SettlementAgreement.AndonlyPetitionerhasintervenedtorepresenttheinterestsofsuchfacilities.Asnoted,Petitioner'scomplaintisthatthesettlementlicenseconditionssomehowadverselyaffecttherightswhichqualifyingfacilitiesaregivenunderPURPA.Asshownabove,thatisnotthecase,andthoserightsarenotaffectedinanyrespect.-Moreover,FERCexercisescomprehensive*/oversightauthorityvis-a-vissuchfacilitiesandcandevelopwhateveradditionalorlesserregulatoryrequirementsappearappropriateascasesarisebeforeit.Petitioner'sargumentthattheNRCshouldendeavortodelineatetheproperregulatorytreatmentofthosefacilitieshere,"sincePURPAwasenactedbuttwoyearsago,"ismisconceived.Thedevelop-mentoftheproperregulatoryrequirementsconcerningsuchfacilitieswillbechartedbyFERCas,,experiencewarrants."/Furthermore,Petitioner,relyingasitdoesonawrongfulbreachofitscontractualcommitmentsnowinarbitrationasthegenesisforallofitsclaims,isimplicatedincongeriesoffactswhichhardlymakePetitionerarepre-sentativeforanyothers.

31ThelicenseconditionsneitherinhibitthisdevelopmentnorinsulateFPLinanywayfromitseffect.Asidefromitscomplaintaboutthebreadthofonefeatureofthesettlementlicenseconditions,Petitionerdoesnotsuggestthatithasanyevidencetocontributetoresolutionofthesubstantiveissuesremainingintheproceeding,whichconcernswhetheractivitiesunderthelicensewouldcreateormaintainasituationinconsistentwiththeantitrustlaws.Rather,Petitioner'sinvolvementwouldrequireanextremelycomplicatedinquiryintothecommercialdealings(regardingwastedisposalfacilities)betweenPetitioner,DadeCounty,FloridaFPL)andperhapsothers,extendingbackto1974~ThusPetitionexsparticipationwouldnotenhancethedevelopmentoftherecordinthiscase.3.ReresentationbExistinPartiesBecausePetitionerhasnolegallycognizableinterestintheseproceedings,andhasnotproperlyallegedasituation~inconsistentwiththeantitrustlawswhichbearsa"substantialnexus"toactivitiesunderthelic'enseforSt.LucieUnitNo.2,thisissueisirrelevanttotheconsiderationofwhether*/Petitionershouldbeallowedtointervene.-"/lnanyevent,thisfactorisone'hichisgiven"relativelylesserweight"thanthoserelatingtodelayorbroadeningSummer,~aura,mimeoopinionat23-24.

324.BroadeningofIssuesorDelayofProceedinPetitionerarguesthatitsinterventionwouldnotbroadentheissuesordelaytheproceeding,becauseithasdone"nomorethanarticulateexistingissueswhichNRCmustdecidewithorwithoutourparticipation."Thisiswrong,ineveryrespect.First,itisnottruethattheNRCwillbecalledupontodecidetheissueswhichPetitionerseekstoraise,"withorwithoutfits]participation."TheissuesbeforetheBoardnowconcernwhethertheCitiescanestablishasituationinconsistentwiththeantitrustlawswhichwouldbecreatedormaintainedbyactivitiesunderthelicense,and,ifso,whetheranyrelief'nadditiontothatprovidedinthesettlementconditionsisappropriatetoremedythatsitu-ation.ThereisnoneedfortheBoardtogivefurtherattentiontothesettlementconditions,excepttotheextentthatthepro-ceedingsonthemeritsleadittodoso.Theevolvingrelation-shipbetweenFPLandthosewhoareaccordedcertainprivilegesas"smallpowerproductionfacilities"undernewanduntestedfederalandstateregulatoryschemesemanatingfromPURPAisacomplexsubject,whichisnotlikelytobedirectlyinissueinthisproceedingunlessthePetitionisgranted.FPLbelievesthatthereisvirtuallynorelationshipbetweenthatsubjectandtheantitrustissueswithwhichthisproceedingiscon-Second,asdiscussedpreviously,thedealingsbetweenPetitionerandFPLcannotbeconsideredinanymeaningfulway

-33withouttheBoard'aconsideringandresolving,atleastforpurposesoftheproceeding,thecommercialdisputewhichsur-roundstheDadeCountyfacility.Plainly,airingofthiscommercialdisputewouldsubstantiallybroadentheissuesinthisproceedingandthusprolongit.Finally,theriskofdelayinissuanceoftheoperatinglicenseforSt.LucieUnitNo.2wouldbesubstantialifthePetitionweretobegranted.FPLestimatesthatconstructionofthefacilitywillproceedonaschedulewhichwouldrequirethatanoperatinglicensebeissuedbyOctober1982inordertoavoiddelayincommercialoperationofSt.LucieUnitNo.2.Ifthisalreadycomplexproceedingwerebroadenedtoincludeexaminationofissueswhichmayaffectsmallpowerproductionfacilitiesaswellasconsiderationofthecommercialarrange-mentssurroundingtheDadeCountyfacility,therewouldbereasonforconcernthattheproceeding,includingdiscoveryofthenewpartyandevidentiaryhearings,couldnotbecompletedbythatdate.IfgrantingofthisPetitionweretodelaycommercialoperationofSt.LucieUnitNo.2,FPL,itscustomersandthepublicinterestwouldsuffergrievousharm.Thatriskshouldbeweighedheavilyagainstgrantingapetitionreceivedmorethansevenyearslate.Conclusion<gfForthereasonsgivenabove,FPLurgesthatthePetitionbedenied.

1.02CommencementDate.The"CommencementDate"shallmeanthedatethattheCountyissuesanoticetoproceedtotheSellerinaccordancewithSection11.03hereof.P1,03ComletionDate.The"CompletionDate"shallmeanthatdatewhentheFacilityandLandfillAreahavebeenconstructedinaccordancewiththespecificationsattachedheretoasAppendices"A","B","C"and"D"allstructures,equipmentandmaterialsareinplaceandallsiteandotherimprovementshavebeenmade;andtheLandfillAreahasbeenapprovedforoperationbytheFloridaDepartmentofEnvironmentalRegulation.TheCompletionDateshallbedeemedtohavebeenreachedwhentheSellercertifies,andtheIndependentEngineerrecommends,totheCountythattheFacilityandLandfillAreaarecompletein'heafore-describedmanner;provided,however,thatintQeeventthattheSellercertifiesonthe"CompletionDate"andtheIndependentEngineerdoesnotrecom-~endtotheCountythattheafore-describedconditionshavebeen~<<,theIndependentEngineershallspecifyinreasonabledetail<"ereasonsthattheFacilityandLandfillAreaarenotcompletei~<heabove-describedmannerwithinfifteen(15)daysafterthe>>~ependentEngineerhasreceivedwritten'noticeofcertificationbytheSellerortheIndependentEngineershallbedeemedtohave~a<<suchrecommendation.2 10'D'C'."D'gCP'y"111hcapacitytoProcess18,000TonsofSolidNasteperweekinaccor-dancewiththeAcceptanceCriteriaattachedheretoasAppendixIIEII1.05ElectricalGenerationFacilit.The"ElectricalGenera-tionFacility"shallmeantheturbo-generatorandthefacilitiesrelatingtheretotobeownedbyFloridaPowerandLightandtobebuiltpursuanttoanagreementtobeenteredintowithFloridaPower5LightCompanyasprovidedinSection11.02hereofandasnoreparticularlydescribedinsuchagreement.1.06~Facilit.The"Facility"shallmeanthestructures,equipmentandimprovementsformingpartoftheinstallationtobelocatedontheSite,designedtobecapableofprocessing18,000eTonsofSolidNasteperweekandreclaimingandrecyclingmateri-alsincludedthereinandburningthecombustibleportionthereoffortheproductionofsteam,includingaPathologicalWasteinciner-a<<rdesignedtobecapableofdisposingtwo(2)tonsofPatho-logicalWasteperday,butexcludingthe.ElectricalGeneration>>cility.TheFacilityismoreparticularlydescribedinthesP<cifications'attachedheretoasAppendices"A","B"and"C".3 1,07HdrasosalProcess.The"HydrasposalProcess"shallmealawetshreddingtechnologythatreducesthevolumeofSolidpastebyseparatingitintocombustibleandnoncombustiblecompo-gentsandafterreclamationofthenoncombustibleportionthereof,theremainingmaterialisintheformoffuelwhichiscapableofbeingburnedautogenously.1.08IndeendentEnineer.The"IndependentEngineer"shallmeanaFloridaRegisteredProfessionalEngineer,unaffiliatedwiththeCounty,whoisselectedbytheCountyandapprovedbytheSeller.TheCountyshallsubmittotheSelleralistofFloridaRegisteredProfessionalEngineersfromwhichtheCountyhasre-ceivedproposalsinaccordancewithDadeCountyOrdinance76-42,andtheSellershallhavetendaystonotifytheCountyoftheengineers,ifany,ofwhichSheSellerdoesnotapprove.There-a~ter,iftheCountyselectsanengineerfromsuchlist(otherthanthoseengineersofwhichtheSellerhasnotifiedtheCountyitdoesnotapprove),theSellershallbedeemedtohaveapproved<<suchengineer.IntheeventthattheIndependentEngineerresignsorbecomesincapableofundertakinghis.duties,theCountys>>11selectthesuccessorIndependentEngineerwiththeapproval<<theSellerintheafore-describedmanner.4 1.09Landfill."Landfill"or"Landfilling"shallmeantodisposeofSolidWasteormaterialswhichcannotbereclaimedfrom,orresidueremainingaftertheProcessingof,SolidWasteonlandinasanitarymannerbygradingandcoveringinconformityhdh717.7fhR1fhfld~Df3'~R1*'dhP4434hPld3andany.otherrulesandregulationsthereunderandanyandallsimilarorsuccessorstatutes,ordinances,rulesandregulationspfanypublicbodyhavingjurisdictionthereofapplicabletothedisposalofwaste.1.10LandfillArea.The"LandfillArea"shallmeantheareawithintheSitedesignatedforLandfillpurposesassetforthinSectionC.3ofAppendix"C"attachedheretotobeconstruedinaccordancewithspecificationsincludedinAppendix"D"attachedhereto.1.11ManaementContract.The"ManagementContract"shallmeantheagreementbetweenthesamepartiesheretoofevendate,PUrsuanttowhichtheCountyretai'nedtheSellertomanageandoperatetheFacilityandLandfillArea.1.12PatholoicalWaste."PathologicalWaste"shallmeanhU~anandanimalparts,animalcarcassesof125poundsorless,5 pathologicalspecimensandcontaminatedbandages,clothingandimplementsresultingfromtheoperationofhospitalsormedicalclinics.1.13Process."Process"or"Processing"shallmeantopro-cessanddisposeof,or'theprocessinganddisposalof,Solid4'astebytheHydrasposalProcessandtheproductionofsteambyburningtheautogeneousfuelcreatedthereby.1.14Sj.te.The"Site"shallmeansuchrealpropertyasisleasedtotheSellergytheCountyinaccordancewithSection3.01hereofandaleaseintheformofExhibit"C"attachedheretoandasparticularlydescribedtherein.1.15SolidNaste."SolidWaste"shallmeanallformsoftgarbage,gardentrash,commercialwaste,noncombustiblerefuse,rubbish,waste,bulkywaste(includingwhitegoods,furniture,andotherlargerubbishitems),bundledgardentrashandcontainerizedh'asteandminoramountsofPathologicalNaste(totheextentthattheyarecontainedinthenormalSolidNastestream);aseachof
