CONFIDENTIAL & COMPANY PRIVATE Hello Tom, I just wanted to update you and your team as to the status of our efforts to divest ourselves from Aerotest Operations, Inc.

Autoliv has been working through Due Diligence with X-Ray Industries toward a potential Stock Purchase agreement for the facility. We have made our counter proposal to XRI and will continue to work with them and the DoD to see if there is anyway forward for them with DoD assistance. Just to make it clear, we have not closed the door on XRI as a potential solution here.

During the XRI negotiation we had been contacted by another company that may also be interested in the purchase of the facility, when I advised XRI of our counter proposal we also stated our intentions to pursue any/all options that will facilitate the Licence Transfer (Sale) of the facility in order to comply with the NRC Foreign Ownership ruling.

We have recently opened discussions with a second interested party and in fact, received a signed NDA yesterday morning to initiate the Due Diligence process.

They are already a NRC Licensed group and we will be working hard to try to put something together very quickly.

I also want to assure you that we appreciate the extensions we have been provide to work through these commercial negotiations, and are well aware of pending deadlines.

I would personally like to thank the NRC for their considerations in timing that we have been granted to date and I promise to keep you informed of any immediate changes in status.
