InSeptember2021,KairosPowersubmittedaPreliminarySafetyAnalysisReport(PSAR)(Reference1)as partoftheConstructionPermitApplication(CPA)fortheHermesnonpowerreactor.Thisletter transmitsaresponsetoNRCquestiononDHRStestingprovidedaspartoftheSection6.3auditonthe KairosPowerHermesTestReactorPreliminarySafetyAnalysisReport(Reference2).KairosPower requestsNRCreviewoftheresponseinsupportofcontinuedreviewoftheHermesnonpowertest reactorconstructionpermitapplication.

Portionsoftheattachedresponseareconsideredproprietary,andKairosPowerrequeststhoseportions tobewithheldfrompublicdisclosureinaccordancewiththeprovisionsof10CFR2.390.Enclosure1 providestheproprietaryversionoftheresponse.Enclosure2providesthenonproprietaryversionof theresponse.AnaffidavitsupportingthewithholdingrequestisprovidedinEnclosure3.

Additionally,theinformationindicatedasproprietaryhasalsobeendeterminedtocontainExport ControlledInformation.Thisinformationmustbeprotectedfromdisclosurepursuanttothe requirementsof10CFR810.

I,DarrellGardner,herebystate:

1. IamSeniorDirector,Licensing,atKairosPowerLLC(Kairos),andassuchIhavebeenauthorized byKairostoreviewinformationsoughttobewithheldfrompublicdisclosureinconnectionwith thedevelopment,testing,licensing,anddeploymentoftheKairosreactoranditsassociated structures,systems,andcomponents,andtoapplyforitswithholdingfrompublicdisclosureon behalfofKairos.
2. Theinformationsoughttobewithheld,initsentirety,iscontainedinKairosEnclosure1tothis letter.
3. Iammakingthisrequestforwithholding,andexecutingthisaffidavitinsupportthereof,pursuant totheprovisionsof10CFR2.390(b)(1).
4. IhavepersonalknowledgeofthecriteriaandproceduresutilizedbyKairosindesignating informationasatradesecret,privileged,orasconfidentialcommercialorfinancialinformation.

SomeexamplesofinformationKairosconsidersproprietaryandeligibleforwithholdingunder

§2.390(a)(4)include:

a. Informationwhichdisclosesprocess,method,orapparatus,includingsupportingdataand analyses,wherepreventionofitsusebyKairoscompetitorswithoutlicenseorcontractfrom Kairosconstitutesacompetitiveeconomicadvantageoverothercompaniesintheindustry;
b. Information,whichifusedbyacompetitor,wouldreducehisexpenditureofresourcesor improvehiscompetitivepositionindesign,manufacture,shipment,installation,assuranceof quality;
c. Informationwhichrevealscostorpriceinformation,productioncapacities,budgetlevels,or commercialstrategiesofKairos,itscustomers,itspartners,oritssuppliers;
d. Informationwhichrevealsaspectsofpast,present,orfutureKairosorcustomerfunded developmentplansorprograms,ofpotentialcommercialvaluetoKairos;
e. Informationwhichdisclosespatentablesubjectmatterforwhichitmaybedesirableto obtainpatentprotection;and/or
f. InformationobtainedthroughKairosactionswhichcouldrevealadditionalinsightsinto reactorsystemdevelopment,testing,qualificationprocesses,and/orregulatoryproceedings, andwhicharenototherwisereadilyobtainablebyacompetitor.
5. KairosinformationcontainedinEnclosure1tothislettercontainsdetailsofKairosDHRStesting foraKairosPowerfluoridesaltcooledhightemperaturereactor.Thesedetailscouldprovidea competitorwithacommercialadvantageiftheinformationweretoberevealedpublicly.
6. Pursuanttotheprovisionsof§2.390(b)(4),thefollowingisfurnishedforconsiderationbythe Commissionindeterminingwhethertheinformationsoughttobewithheldfrompublicdisclosure shouldbewithheld:
a. Theinformationsoughttobewithheldfrompublicdisclosureisownedandhasbeenheldin confidencebyKairos.

b. TheinformationisofatypecustomarilyheldinconfidencebyKairosandnotcustomarily disclosedtothepublic.Kairoshasarationalbasisfordeterminingthetypesofinformation customarilyheldinconfidencebyitand,inthatconnection,utilizesasystemtodetermine whenandwhethertoholdcertaintypesofinformationinconfidence.Theapplicationofthat systemandthesubstanceofthatsystemconstituteKairospolicyandprovidetherational basisrequired.
c. TheinformationisbeingtransmittedtotheCommissioninconfidenceand,underthe provisionsof10CFR2.390,itistobereceivedinconfidencebytheCommission.
d. Thisinformationisnotreadilyavailableinpublicsources.
e. Publicdisclosureofthisproprietaryinformationislikelytocausesubstantialharmtothe competitivepositionofKairos,becauseitwouldenhancetheabilityofcompetitorsto providesimilarproductsandservicesbyreducingtheirexpenditureofresourcesusingsimilar projectmethods,equipment,testingapproach,contractors,orlicensingapproaches.This informationistheresultofconsiderableexpensetoKairosandhasgreatvalueinthatitwill assistKairosinprovidingproductsandservicestonew,expandingmarketsnotcurrently servedbythecompany.
f. Theinformationcouldrevealorcouldbeusedtoinferpriceinformation,costinformation, budgetlevels,orcommercialstrategiesofKairos.
g. Eachcomponentofproprietaryinformationpertinenttoaparticularcompetitiveadvantage ispotentiallyasvaluableasthetotalcompetitiveadvantage.Ifcompetitorsacquire componentsofproprietaryinformation,anyonecomponentmaybethekeytotheentire puzzle,therebydeprivingKairosofacompetitiveadvantage.
h. UnrestricteddisclosurewouldjeopardizethepositionofKairosintheworldmarket,and therebygiveamarketadvantagetothecompetitioninthosecountries.
