U.S. Geological Survey TRIGA Reactor, Docket Number 50-274, License Number R-113, License Amendment Request 2020-02, LAR 14, Rev. 00 Purpose By way of this letter, the U.S. Geological Survey (USGS) is requesting approval for a license amendment to the GSTR reactor facility license R-113 by the U. S. Nuclear Regulatory Commission to increase the amount of fuel that may be received and possessed by the GSTR.
Background
In accordance with 10 CFR 50.90, whenever a licensee desires to make changes to the technical specifications and/or license, an application for amendment must be filed.
The GSTR is currently licensed to receive, possess, and use up to 9 kilograms of contained uranium-235 enriched to less than 20 percent in the form of TRIGA-type reactor fuel. We are working to receive a shipment of 103 TRIGA fuel elements from the VTT Technical Research Centre of Finland FiR1 reactor, which are a mixture of 8 wt.% aluminum-clad, 8.5 wt.% stainless steel-clad, and 12 wt.% stainless steel-clad elements.
Discussion The GSTR requests a license amendment to the Facility Operating License No. R-113 allowing for the receipt and possession, but not use or separation, of 4 kilograms of U-235. The limit of this amount is prosed to cover any potential uncertainties in the total mass of U-235 in the inventory. None of the fuel acquired in this proposed transaction will be utilized until full analysis is completed and a follow-on license amendment request are approved. The proposed wording of the additional statement in section 2.B.2 of the R-113 operating license would be:
- f. to receive, possess, but not use or separate, in connection with the operation of the facility, up to 4 kilograms of contained uranium-235 enriched to less than 20 percent in the form of TRIGA-type reactor fuel.
In consideration of the special nuclear material and byproduct material present in fuel and non-fuel research reactor parts being transferred to the GSTR from another facility, current statements in the R-113 license as written in sections 2.B.2.e, 2.B.3.e, and 2.B.3.g apply and provide sufficient coverage for the materials to be received and possessed.
Page 2 of 7 Sections of this analysis have been kept intentionally vague in line with previously observed redaction practices.
Fuel Description In characterization of the fuel and certification that it is of TRIGA design and manufacturing in agreement with the types of fuel currently licensed for use in the GSTR, the fuel has been reported by the source facility that it was manufactured in San Diego, California at the General Atomics plant. An inquiry is currently out to Mr. Anthony Veca of General Atomics to provide associated documentation for the serial numbers of the fuel elements in this potential acquisition, which will be provided as a supplement to this license amendment request when available, as permitted by security provisions. Additionally, Department of Energy has conducted two separate visits to the FiR1 facility and representation from the GSTR is planned to be present for final inspection and loading of the fuel from the FiR1 facility. The first DOE visit was conducted from April 7th, 2016 through May 4th, 2016 in order to perform a fuel examination of 103 irradiated TRIGA elements and 24 unirradiated TRIGA elements. One element was known previously to have been failed and was already stored in a facility-designed canister in dry storage before the inspection, leaving 102 elements to be fully examined and verified. A full examination report was generated with a TRIGA Fuel Element Examination Sheet, FRM-898, for every element inspected, detailing the surface condition, element serial number, cladding type, date and time of the inspection, configuration of the element (IFE, standard, etc.), and other pertinent information for the condition of the element. A total of ten elements were found to be failed with an additional eight to be re-examined at a later date. The second visit by DOE to the FiR1 facility was conducted from June 10th, 2019 to June 18th, 2019 to re-examine all failed elements and the additional eight of concern with the exception of the previously known failed element in the facility-designed can. All ten elements previously determined as failed were again considered as failed. The other eight elements of concern were cleared and found not to be failed.
In both DOE fuel inspections, 100% of the surface of the elements were examined and serial numbers verified using a video scope capable of taking close (macro level) pictures of surface flaws on the cladding of an element. This video scope provided the ability to perform actual depth, length, width, and height measurements of anomalies on the fuel element cladding, which such capability had not been previously available to examiners and provided for a much higher level of scrutiny of the fuel. As part of the acquisition contract of this fuel, GSTR personnel as well as DOE personnel, if opted and available, will be present for the final inspection and loading of the fuel from FiR1 prior to transport.
The breakdown of elements to be acquired in this transaction include:
- 67 Aluminum-clad 8.0 wt.% / < 20 enrichment % standard TRIGA fuel elements.
- 2 Aluminum-clad 8.0 wt.% / < 20 enrichment % instrumented TRIGA fuel elements.
- 7 Stainless steel-clad 8.5 wt.% / < 20 enrichment % standard TRIGA fuel elements.
- 1 Stainless steel-clad 8.5 wt.% / < 20 enrichment % instrumented TRIGA fuel element.
- 25 Stainless steel-clad 12 wt.% / < 20 enrichment % standard TRIGA fuel elements.
- 1 Stainless steel-clad 12 wt.% / < 20 enrichment % instrumented TRIGA fuel element.
Comprehensive burnup calculations utilizing both SERPENT and ORIGEN codes have also been performed and provided to the GSTR for review and acceptability determination of the fuel. The

A comparison between current GSTR fuel element types permitted by the facility license and safety analysis report and those to be received from FiR1 in Table 1 shows that they are certifiably of TRIGA design and manufacture. The documentation provided of the DOE fuel inspections also corroborates this conclusion. A list of element serial numbers is provided as an attachment to this amendment request for verification purposes.
As stated before, ten elements have been characterized as failed and are not intended to be used at the GSTR. The elements in question are listed in Table 2, which will be permanently stored at the GSTR until such time that DOE removes them for ultimate disposal. All 10 elements listed in Table 2 will be packaged into sealed damaged fuel canisters (SDFC), two elements per SDFC, by the Nuclear Assurance Corporation prior to shipping in order to comply with shipping requirements and their NRC issued Certificate of Compliance (Number 9225, revision 69, docket 71-9225, package ID USA/9225/B(U)F-96). The SDFCs are documented in the NAC drawings 315-40-086, -087, and-088. The SDFC itself is 0.065-inch-thick Type 304 stainless steel, pressure tested to 50 PSIG, purged with helium gas, then bolted shut with a top equipped with a metallic O-ring. These canisters were initially identified by DOE for use in transport and storage of damaged elements at their long term storage facility INTEC and provide a high degree of confidence against releases of radioactive material from the damaged elements, which are only noted to have leaked during reactor operations and not in storage.
All four IFEs have had their conduit cut down such that they will fit into the top basket of the transfer cask or 48 long SDFCs. To compensate for the lack of handling, a pintle has been fitted to their stubbed conduit such that the standard TRIGA fuel handling tools may be used to couple completely with them.

Table 2: Failed Elements for Permanent Storage, No Utilization Storage The fuel to be acquired from VTT FiR1 will all remain in storage until the necessary analyses are completed and a future license amendment is acquired to use the fuel.
The intact fuel will be stored in our hexagonal storage racks in the pool, as described in the SAR.
Additional racks are on hand for installation in the pool, as they were manufactured at the same time as the initial four listed in the SAR. They will be mounted in the reactor tank in a manner similar to the existing racks and will meet the technical specification requirements for fuel storage. The current and additional rack installations will be configured such that the distance from the top of the reactor tank to the top of the rack will be as currently installed, and that a vertical offset of approximately 15 inches between fuel element sections will be achieved. Fuel racks are currently horizontally spaced a minimum of approximately one rack width apart. This amount of vertical and horizontal offset between racks will achieve a separation of many mean free paths for thermal neutrons in water, 20 cm generally being considered an infinite reflector for reactivity calculations, effectively decoupling the fuel racks from one another. The existing linear racks will be removed in favor of utilizing additional hexagonal racks for space considerations.
The damaged fuel will be maintained in their SDFCs and stored in the facilitys storage pits until ultimate removal by the Department of Energy for final disposition. A storage rack based on the existing design is being modified to accommodate the sealed SDFCs. Each modified rack will have fewer elements than a standard rack, thereby further mitigating the risk of criticality for fuel in storage, providing a very large margin to the requirements in the technical specifications for fuel storage. The racks have been fully analyzed and documented in a publication available in the
Page 5 of 7 journal Applied Radiation and Isotopes, issue 119 (2017), pages 16-22, titled Benchmarking criticality analysis of TRIGA fuel storage racks. Additionally, shielding plugs are being designed and fabricated for installation on the tops of the storage pits that will contain the damaged elements. These plugs will fit below the deck plates covering the pits, preventing them from posing a tripping hazard to personnel. Each plug will rest on the squared section above the circular pit, preventing the possibility of the plug from falling into the pit and damaging the SDFCs and contained fuel elements. The design of the shield plug allows for up to four racks filled with fuel elements to be located in a storage pit, including one of the SDFC racks. While scenarios of one through four filled fuel racks in a storage pit were analyzed for, the only typical configurations would be the single SDFC rack in standard practice or all four racks as a result of a complete core and tank unload. The simulations were run using the worst-case scenario for radionuclide inventory for each fuel rod to be stored. In the four-rack configuration, dose rates with the designed shield plug were less than 0.7 mrem/hr on contact with the fuel pit covers. Enough reserve storage capacity is available to facilitate a complete core and tank unload. The storage pits are well ensured against the intrusion of ground water, as analyzed and described in the SAR, section 3.3. Drawings of the racks, shielding plugs, and dose rate analysis with assumptions are attached to this letter as part of the license amendment request.
The transfer baskets for the fuel transfer cask being used for this shipment will be checked for removable contamination, contained and sealed, and kept at the reactor facility in dry radioactive storage for later use in shipping, but not used to store fuel at the GSTR facility.
Security The fuel will be stored within the controlled access area identified by the GSTR physical security plan with the rest of the TRIGA fuel possessed by the facility. The security plan requires a set of minor changes related to the license amendment request, which have been determined to not constitute a decrease in the effectiveness of the plan. The changes will be executed prior to the receipt of the incoming fuel and documentation of the change with a copy of the revised physical security plan will be sent to the NRC under the provisions of 10 CFR 2.390.
Emergency Plan A review of the emergency plan was conducted against ANSI/ANS 15.16-2008 - Emergency Planning for Research Reactors, and no changes are required as a result of this license amendment request.

Radiation Protection at Research Reactor Facilities, and no changes are required as a result of this license amendment request.
Safety Analysis Report A review of the accident scenarios in the GSTR Safety Analysis report was conducted, no impact from the acquisition of this fuel has been identified, and no changes are required as a result of this license amendment.
Department of Energy Interagency Agreement with USGS The interagency agreement with the Department of Energy has been updated and signed by all parties to include the fuel from VTT FiR1 in the scope, identified by number of elements and grams of SNM, accounting for final disposition at the end of the GSTR facility life. This was completed on September 10th, 2020 and the main document is attached to this license amendment request, withholding the addendum describing the number of elements and SNM gram amounts.
This proposed change meets all other requirements of the license, 10 CFR, and NUREG-1537 guidance.
Action The USGS requests NRC review and approve this application for license amendment by November 15th, 2020, if possible, due to a timeline established by our collaborator VTT FiR1, and their previous agreement with Department of Energy.

Construction of the U.S. Geological Survey TRIGA Research Reactor (the facility) was completed in substantial conformity with the Construction Permit No. CPRR-102, issued on October 10, 1967, and the application, as amended; the provisions of the Act; and the rules and regulations of the Commission; C.
The facility will operate in conformity with the application, as supplemented, the provisions of the Act, and the rules and regulations of the Commission; D.

Accordingly, Facility Operating License No. R-113 is hereby renewed in its entirety to read as follows:
A. This license applies to the U.S. Geological Survey TRIGA Research Reactor (herein the facility) owned by the U.S. Geological Survey, Department of the Interior, (herein the licensee). The facility is located on the U.S. Denver Federal Center in Lakewood, Colorado, and described in the licensees application for license renewal, dated January 5, 2009, as supplemented.
B. Subject to the conditions and requirements incorporated herein, the Commission hereby licenses the U.S. Geological Survey as follows:
- 1.
Pursuant to subsection 104c of the Act and 10 CFR Part 50, Domestic Licensing of Production and Utilization Facilities, to possess, use, and operate the facility as a utilization facility at the designated location in accordance with the procedures and limitations described in the application and set forth in this license.
- 2.
Pursuant to the Act and 10 CFR Part 70, the following activities are included:
- a. to receive, possess, and use, but not separate, in connection with the operation of the facility, up to 9 kilograms of contained uranium-235 enriched to less than 20 percent in the form of TRIGA-type reactor fuel;
- b. to receive, possess, and use, but not separate, in connection with the operation of the facility, up to 15 grams total of special nuclear material, of any enrichment, in the form of neutron detectors;
- c. to receive, possess, and use, but not separate, in connection with the operation of the facility, up to 2 grams of special nuclear material of any enrichment in reactor-based experiments, in sources for calibration of radiation detectors, and reference sources for reactor based programs;
- d. to receive, possess, and use, but not separate, in connection with the operation of the facility, such special nuclear material as may be produced by the operation of the facility.
- e. to receive, possess, and use, but not separate, in connection with the operation of the facility, such special nuclear material as may be received in TRIGA-type fuel elements that are transferred to license R-113 after use in other reactor facilities.
- 3.
Pursuant to the Act and 10 CFR Part 30, the following activities are included:
- a. to receive, possess, and use, in connection with the operation of the facility, up to 3 curies of sealed americium-beryllium in a single neutron source for reactor startup use;
- b. to receive, possess, and use, in connection with the operation of the facility, up to 10 curies of sealed polonium-beryllium in a single neutron source for reactor startup use;
- c. to receive, possess, and use, in connection with the operation of the facility, up to 10 millicuries of byproduct material (atomic numbers 1-88) that will be irradiated in the reactor after receipt;
- d. to receive, possess, and use, in connection with the operation of the facility, up to 5 curies of byproduct material used in reactor-based experiments, in sources for calibration of radiation detectors, and reference sources for use in reactor-based analytic techniques;
- e. to receive, possess, and use, in connection with the operation of the facility, up to 50 millicuries of byproduct material contained in (non-fuel) research reactor parts and components received for use under this facility operating license, No. R-113 from other research facilities;
- f.
to receive, possess, and use, but not to separate, in connection with operation of the facility, such byproduct material as may be produced by operation of the reactor, except for byproduct material produced in non-fueled reactor experiments which is permitted to be separated; and
- g. to receive, possess, and use, but not to separate, any amount of byproduct material contained in TRIGA fuel elements transferred to USGS Facility Operating License No. R-113 after use in other reactor facilities.
- 4.
Pursuant to the Act and Title 10 CFR, Chapter 1, Part 40, Domestic Licensing of Source Material, in connection with the operation of the facility, to receive, possess, and use, up to 1 millicurie of source material for reactor-based experiments, sources for calibration of detectors, and reference sources for use in reactor-based analytical techniques.
C.
This license shall be deemed to contain, and is subject to the conditions specified 10 CFR Parts 20, 30, 40, 50, 51, 55, 70, and 73 of the Commissions regulations; is subject to all provisions of the Act, and to the rules, regulations and orders of the Commission now or hereafter in effect, and is subject to the additional conditions specified or incorporated below:
- 1.
Maximum Power Level The licensee may operate the reactor at steady-state power levels not in excess of 1,000 kilowatts (thermal) and to pulse the reactor in accordance with the limitations in the Technical Specifications.
- 2.
Technical Specifications The Technical Specifications contained in Appendix A are hereby incorporated in their entirety in the license. The licensee shall operate the facility in accordance with the Technical Specifications.
- 3.
Physical Security Plan The licensee shall maintain and fully implement all provisions of the Commission-approved physical security plan, including changes made pursuant to the authority of 10 CFR 50.54(p). The approved physical security plan, entitled Security Plan for the DFC Reactor Facility, Revision XVII, dated August 2016, consists of documents withheld from public disclosure pursuant to 10 CFR 73.21.
This license is effective as of the date of issuance and shall expire at midnight, 20 years from the date of issuance.

The receipt, possession and use of byproduct and special nuclear materials as authorized by this facility operating license will be in accordance with the Commission's regulations in 10 CFR Part 30, Rules of General Applicability to Domestic Licensing of Byproduct Material, and 10 CFR Part 70, Domestic Licensing of Special Nuclear Material.
2.
Accordingly, Facility Operating License No. R-113 is hereby renewed in its entirety to read as follows:
A. This license applies to the U.S. Geological Survey TRIGA Research Reactor (herein the facility) owned by the U.S. Geological Survey, Department of the Interior, (herein the licensee). The facility is located on the U.S. Denver Federal Center in Lakewood, Colorado, and described in the licensees application for license renewal, dated January 5, 2009, as supplemented.
B. Subject to the conditions and requirements incorporated herein, the Commission hereby licenses the U.S. Geological Survey as follows:
1.
Pursuant to subsection 104c of the Act and 10 CFR Part 50, Domestic Licensing of Production and Utilization Facilities, to possess, use, and operate the facility as a utilization facility at the designated location in accordance with the procedures and limitations described in the application and set forth in this license.
2.
Pursuant to the Act and 10 CFR Part 70, the following activities are included:
a.
to receive, possess, and use, but not separate, in connection with the operation of the facility, up to 9 kilograms of contained uranium-235 enriched to less than 20 percent in the form of TRIGA-type reactor fuel; b.
to receive, possess, and use, but not separate, in connection with the operation of the facility, up to 15 grams total of special nuclear material, of any enrichment, in the form of neutron detectors; c.
to receive, possess, and use, but not separate, in connection with the operation of the facility, up to 2 grams of special nuclear material of any enrichment in reactor-based experiments, in sources for calibration of radiation detectors, and reference sources for reactor based programs; d.
to receive, possess, and use, but not separate, in connection with the operation of the facility, such special nuclear material as may be produced by the operation of the facility.
3.
Pursuant to the Act and 10 CFR Part 30, the following activities are included:
a.
to receive, possess, and use, in connection with the operation of the facility, up to 3 curies of sealed americium-beryllium in a single neutron source for reactor startup use; b.
to receive, possess, and use, in connection with the operation of the facility, up to 10 curies of sealed polonium-beryllium in a single neutron source for reactor startup use; c.
to receive, possess, and use, in connection with the operation of the facility, up to 10 millicuries of byproduct material (atomic numbers 1-88) that will be irradiated in the reactor after receipt; d.
to receive, possess, and use, in connection with the operation of the facility, up to 5 curies of byproduct material used in reactor-based experiments, in sources for calibration of radiation detectors, and reference sources for use in reactor-based analytic techniques; e.
to receive, possess, and use, in connection with the operation of the facility, up to 50 millicuries of byproduct material contained in (non-fuel) research reactor parts and components received for use under this facility operating license, No. R-113 from other research facilities; f.
to receive, possess, and use, but not to separate, in connection with operation of the facility, such byproduct material as may be produced by operation of the reactor, except for byproduct material produced in non-fueled reactor experiments which is permitted to be separated; and g.
to receive, possess, and use, but not to separate, any amount of byproduct material contained in TRIGA fuel elements transferred to USGS Facility Operating License No. R-113 after use in other reactor facilities.
4.
Pursuant to the Act and Title 10 CFR, Chapter 1, Part 40, Domestic Licensing of Source Material, in connection with the operation of the facility, to receive, possess, and use, up to 1 millicurie of source material for reactor-based experiments, sources for calibration of detectors, and reference sources for use in reactor-based analytical techniques.

to receive, possess, and use, but not separate, in connection with the operation of the facility, such special nuclear material as may be received in TRIGA-type fuel elements that are transferred to license R-113 after use in other reactor facilities.
f
to receive, possess, but not use or separate, in connection with the operation of the facility, up to 4 kilograms of contained uranium-235 enriched to less than 20 percent in the form of TRIGA-type reactor fuel.

C.
This license shall be deemed to contain, and is subject to the conditions specified 10 CFR Parts 20, 30, 40, 50, 51, 55, 70, and 73 of the Commissions regulations; is subject to all provisions of the Act, and to the rules, regulations and orders of the Commission now or hereafter in effect, and is subject to the additional conditions specified or incorporated below:
1.
Maximum Power Level The licensee may operate the reactor at steady-state power levels not in excess of 1,000 kilowatts (thermal) and to pulse the reactor in accordance with the limitations in the Technical Specifications.
2.
Technical Specifications The Technical Specifications contained in Appendix A are hereby incorporated in their entirety in the license. The licensee shall operate the facility in accordance with the Technical Specifications.
3.
Physical Security Plan The licensee shall maintain and fully implement all provisions of the Commission-approved physical security plan, including changes made pursuant to the authority of 10 CFR 50.54(p). The approved physical security plan, entitled Security Plan for the DFC Reactor Facility, Revision XVII, dated August 2016, consists of documents withheld from public disclosure pursuant to 10 CFR 73.21.
This license is effective as of the date of issuance and shall expire at midnight, 20 years from the date of issuance.

1 INTERAGENCY AGREEMENT BETWEEN UNITED STATES DEPARTMENT OF ENERGY AND UNITED STATES GEOLOGICAL SURVEY FOR ENRICHED URANIUM SNM Interagency Agreement No. 1012 Amendment No. 005 THIS INTERAGENCY AGREEMENT (sometimes referred to as the Agreement), entered into this 30th day of September, 2018 between the UNITED STATES DEPARTMENT OF ENERGY (hereinafter called DOE) and the U.S. GEOLOGICAL SURVEY (herein after called the Agency), an executive department or independent establishment of the Government of the United States of America or a bureau or office thereof; WHEREAS, the parties hereto desire to establish the terms and conditions applicable to the distribution of special nuclear material to the Agency, pursuant to the Atomic Energy Act of 1954, as amended, whether ordered and received directly from a DOE facility or transferred from a lessee of DOE; NOW, THEREFORE, the parties hereto mutually agree as follows:
ARTICLE 1-DEFINITIONS As used in this Agreement, the term:
a.
Act means the Atomic Energy Act of 1954, as amended.
b.
Base charge means the dollar amount per unit of normal or depleted uranium or special nuclear material in standard form and specification in effect as of the time of any particular transaction under this Agreement takes place.
c.
Blending means the altering of the isotopic composition of a quantity of an element by means other than through the irradiation of a material in a nuclear reactor.
d.
DOE means the Department of Energy, exercising the authority and performing the functions of the Secretary, the statutory head of that agency, or any duly authorized representative thereof, including the Contracting Officer except for the purpose of deciding an appeal under the article entitled Disputes.
e.
DOE facility means a laboratory, plant, office, or other establishment operated by or on behalf of DOE.
f.
DOE established specifications means the specifications for purity and other physical or chemical properties of normal or depleted uranium or special nuclear material.
g.
Consumed or consumption means the destruction, burn-up, loss or disposition of material in such manner that it cannot be economically recovered for further use, material unaccounted for, or changes in the composition of material due to blending of different assays of material or other alteration of the isotopic ratio resulting in the reduction in value of such material.
2 h.
Depleted uranium means the source material uranium in which the isotope Uranium-235 is less than 0.711 weight percent of the total uranium present. Depleted uranium does not include special nuclear material.
i.
Established DOE pricing policy means any applicable price or charge in effect at the time any particular transaction under this Agreement takes place in accordance with DOE Pricing Policies.
j.
Lessee means a person who is a party to a Special Nuclear Material Lease Agreement with DOE. For the purposes of this Agreement, the term lessee also included another Government Agency which has executed a Special Nuclear Material Interagency Agreement with DOE.
k.
Normal uranium means uranium having 0.00711 weight fraction U-235.
l.
Persons acting on behalf of DOE means employees and contractors of DOE, and employees of such contractors, who implement or participate in the implementing of this Agreement pursuant to their employment or their contracts with DOE.
m.
Source material means (1) uranium, thorium, or any other material which is determined by DOE pursuant to the provisions of Section 61 of the Act to be source material; or (2) ores containing one or more of the foregoing materials, in such concentration as DOE may by regulation determine from time to time.
n.
Special nuclear material means: (1) Plutonium, uranium 233, uranium enriched in the isotope 233 or in the isotope 235, and any other material which the Commission, pursuant to the provisions of section 51 of the Act, determines to be special nuclear material; or (2) any material artificially enriched by any of the foregoing.
o.
Standard form means the chemical form of normal or depleted uranium or special nuclear material, as published by ASTM.
p.
Value means the dollar amount determined by multiplying the applicable base charge by the number of units, or fractions thereof, of normal or depleted uranium or special nuclear material involved, whether or not such material is in standard form or meets DOE established specifications.
ARTICLE 2-SCOPE
- a.
Unless otherwise provided herein, or in a written agreement between DOE and Agency, the terms and conditions contained herein shall apply to special nuclear material and related services furnished to Agency by DOE on and after the date of execution of this Agreement, whether ordered and received directly from a DOE facility or obtained from another lessee of DOE. Nothing herein shall be deemed to prevent Agency from shipping material covered by this Agreement to any person duly authorized by DOE to process and use such material. Agency may be relieved of its obligations under this Agreement for such material only in accordance with the terms of this Agreement. Material received by Agency from any source shall be subject to the provisions of this Agreement only if such material is furnished pursuant to an order accepted by DOE as provided in paragraphs b. and c. below.
b.
Agency shall order material pursuant to this Agreement through the execution and submission of a special nuclear material order form prescribed by DOE.
- c.
Acceptance of Agency order for material by or on behalf of DOE shall constitute DOE commitment to furnish the material specified in such order subject to the terms of this Agreement. When Agency orders material which is to be obtained from a lessee, this Agreement shall not be applicable to such material until such lessee and DOE have agreed to the transfer of such material to Agency.
d.
Nothing herein shall be deemed to obligate Agency to order material or to obligate DOE to furnish material
3 to Agency, or to provide services for Agency with respect to material.
ARTICLE 3-TERM OF AGREEMENT, TERMINATION AND CANCELLATION
- a.
Except as otherwise provided herein, the Agency shall have the right to possess and use the material covered by this Agreement until September 29, 2021; provided that material subject to this Agreement shall not, unless otherwise authorized in writing by DOE be used in the course of activities under a license issued pursuant to section 103 or 104b. of the Act.
b.
Agency may cancel any order for material under this Agreement by notice in writing to DOE at any time prior to delivery of the material; provided, Agency shall reimburse DOE for the costs incurred by DOE in connection with such order, as determined in accordance with established DOE pricing policy in effect at the time such costs are incurred.
c.
DOE may terminate or suspend in whole or in part this Agreement at no cost to DOE at any time, by written notice to Agency in the event that (1) the right of Agency to possess material subject to this Agreement expires or is suspended or terminated by any authority having power to take such action, or (2)
Agency shall fail to perform its obligations hereunder and shall fail to take corrective action within 30 days of the date of the written notice of such failure to perform as provided above, unless such failure arises out of causes beyond the control and without fault or negligence of Agency.
ARTICLE 4-MATERIAL TO BE FURNISHED BY DOE a.
Except as otherwise agreed to in writing by DOE and Agency, special nuclear material subject to this Agreement shall be furnished to Agency in standard form in accordance with DOE established specifications.
b.
Agency shall pay DOE service charges, if any, for withdrawal and packaging, and for any other special service rendered pursuant to Agency order. Unless such charge or charges are agreed to in the order executed by Agency and DOE for material, Agency shall pay DOE its charges for the services rendered pursuant to Agency order as determined in accordance with established pricing in effect at the time such services are rendered. Agency shall also pay the value of material consumed in the rendering of such special services.
c.
If the material delivered by DOE pursuant to an order executed by Agency and DOE does not conform to DOE established specifications (or to the specifications set forth in an order executed by Agency and DOE), the responsibility and liability of DOE and persons acting on behalf of DOE shall be limited solely to correcting such discrepancies by delivery of material which does conform to the applicable specifications. Neither DOE nor persons acting on its behalf shall have any responsibility or liability for replacing or furnishing material which Agency obtains directly from a lessee of DOE. DOE will pay to the carrier the transportation charges for returning any material obtained directly from DOE which does not conform to applicable specifications, as well as the transportation charges for shipping conforming replacement material. No service charges will be made with respect to such replacement material, and rental charges for DOE-owned containers in which such material shall be shipped will not commence until 30 days after date of shipment.
d.
It is recognized that material furnished under this Agreement as enriched uranium (U-235) may be consumed in such manner as to reduce the isotopic ratio thereof to the extent that the leased material is no longer special nuclear material as defined in the Agreement. Except as provided in this paragraph or its subparagraphs below, the resulting normal or depleted uranium will be and remain subject to the provisions of this Agreement as if the material were special nuclear material. Agency obligations for consumption of such material shall be computed using the value of the normal or depleted uranium. If, in lieu of returning such material directly to a DOE facility as provided in this Agreement, Agency desires to transfer such material to another person and terminate its obligations with respect thereto, DOE may, at its option,
4 require Agency to pay the value of such material and transfer full custody and responsibility of such material to Agency.
(1) DOE, upon delivery to Agency of U-233, or uranium enriched in the isotope 233 subject to this Agreement, may direct that such U-233 or uranium enriched in the isotope 233 not be blended with other uranium.
(2) In the case of blending of normal, depleted or enriched uranium subject to this Agreement with privately owned uranium other than U-233 or uranium enriched in the isotope 233:
(A) If, within one-hundred-twenty (120) days from the date of completion of the blending, DOE receives the written agreement of all such parties thereto, and
- 1. The assay (weight percent U-235) of the blended product is higher than that of the DOE-furnished material used in blending, (a) DOE shall debit the Agency account with the value of such portion of Agency share of the blended product as does not exceed that value of DOE-furnished material used in the blending; (b) full custody to and responsibility for the blended product so debited to Agency account shall be deemed to be transferred to DOE; and (c) Agency shall pay to DOE the amount, if any, by which the value of the credited material exceeds the value of the debited material, or
- 2. The assay (weight percent U-235) of the blended product is lower than that of the DOE-furnished material used in the blend, (a) DOE shall debit Agency account with the value of such portion of Agency share of the blended product as has a feed component which does not exceed the feed component (assuming uranium having an assay of 0.711 weight percent U-235 was used as a feed material) of Agency DOE-furnished material used in the blending and credit Agency account with the value of Agency DOE-furnished material used in the blending; (b) full custody to and responsibility for the blended product so debited to Agency account shall be deemed to have been transferred to DOE; and (c) Agency shall pay to DOE the amount, if any, by which the value of the credited material exceeds the value of the debited material.
(B) If such written agreement has not been so received by DOE, unless otherwise agreed to in writing by DOE, lessees and owners of privately owned uranium,
- 1. Agency shall be deemed to have acquired the material on its Agency account that was used in the blending and shall pay DOE for the value of this material so acquired, and
- 2. Full custody to and responsibility for such material shall be deemed to have transferred from DOE to Agency upon payment to DOE of the amount due.
(3) In the case of blending of uranium subject to this Agreement with privately owned U-233 or uranium enriched in the isotope 233, Agency agrees either (A) to secure DOE written agreement in advance as to the terms and conditions under which such material may be blended or (B) to accept as conclusive and binding DOE determination in writing as to the consequences of any such blending including the disposition of any blended product and amounts due DOE and Agency.
(4) As used in subparagraph d.(2) the term value refers to value as of the date of completion of the blending in effect as of the date of completion of blending.
(5) It is hereby agreed that Agency shall be responsible for handling any claims of third parties on account of rights alleged in or in connection with the source material or special nuclear material used in blending.
(6) Agency shall maintain and make available to DOE for examination, upon reasonable notice, complete and adequate records pertaining to its receipt, possession, use, location, movement, and physical inventories of material subject to this Agreement. Such records shall fully reflect physical measurements, consumption, actual inventories, and the transactions relating thereto. Agency will submit such transfer
5 documents and reports reflecting quantities of material received, physically present, consumed and transferred, with respect to material subject to this Agreement as DOE may prescribe. Agency will make at least one physical inventory of material subject to this Agreement and in the custody of Agency during 12 month period of the Agreement and will insure that such inventories are also made of material subject to this Agreement but in the custody of others.
(7) Agency shall afford to DOE, at all reasonable times, opportunity to inspect the material subject to this Agreement and the premises and facilities where such material is used or stored. Agency shall permit DOE to perform such audit tests and inventory tests (which may include the taking of a reasonable number of samples for physical or chemical analyses but which does not include sampling and destructive testing of fabricated articles except as agreed to by Agency) as DOE deems necessary for verification of the accuracy of any reports submitted by Agency to DOE. DOE agrees to perform any inventory tests with respect to material subject to this Agreement so as to minimize interference to Agency processing, delivery schedules, and third-party commitments regarding the material. Agency agrees that no charges for costs or value of any material samples, or for services or equipment, should such be furnished by Agency, provided in connection with the performance of audit tests and inventory tests, shall be made against DOE; however, DOE will allow full credit in Agency account with DOE for the value of the material included in the samples and DOE will make no charge against Agency for re-conversion of the material samples to standard form. In the event Agency should ship material subject to this Agreement to any other person, or cause such shipment of such material, Agency shall assure that the rights and privileges granted to DOE under this paragraph shall not be affected by such shipment.
ARTICLE 5-RETURN OF MATERIAL TO DOE, SPECIAL CHARGES FOR DOE SERVICES a.
Agency shall return all material subject to this agreement which has not been consumed upon the expiration or earlier termination of this Agreement, provided, however, that Agency shall have the right to return any such material at any time prior to such date.
b.
Except as otherwise provided herein, material returned by Agency will be returned directly to DOE in the standard form and in accordance with DOE established specifications for return of material in effect as of the date the material is returned.
c.
Material subject to this Agreement transferred to a lessee of DOE, regardless of the form or specification of such material, shall be deemed to have been returned to DOE if such lessee, DOE, and Agency have executed an order covering the material so transferred.
d.
DOE may at its sole discretion accept material in a form or specification other than as provided in b. above.
In such cases, unless DOE shall determine that acceptance of the material in its existing form is in the best interests of the Government, Agency shall pay a service charge for processing such returned material so as to enable it to meet the standard form and to satisfy DOE established specifications in effect at the time the material is returned. Such charge shall include DOE charge for processing, as determined in accordance with the established DOE pricing policy in effect at the time the material is returned and an amount as determined by DOE, for the value of the material consumed during such processing.
e.
Material subject to this Agreement returned directly to DOE in the form of uranium hexafluoride shall be shipped only in containers of appropriate size as specified by DOE. The quantity of such material shipped in a container shall not be less than DOE established minimum loading for the type of container used.
f.
All material returned directly to DOE shall be delivered by Agency to DOE facility or location specified by DOE, f.o.b. commercial conveyance at such facility or location. Unless waived by DOE, Agency shall give DOE at least fifteen (15) days written notice of intent to return material directly to DOE. DOE will notify Agency promptly after receipt of Agency notice of intent to return material as to the DOE facility or location designated for return of the material. Agency, at the time of shipment of material, shall notify the DOE facility or other location to which shipment is made of the date and method of shipment, and expected date of arrival.
6 ARTICLE 6-PAYMENT FOR MATERIAL CONSUMED a.
Except as otherwise provided herein, Agency shall be responsible for and shall reimburse DOE for any consumption of material, whether or not such consumption is due to the fault or negligence of Agency or any other cause occurring from the time of delivery of such material to Agency and until such material has been returned to DOE as provided herein.
b.
Agency shall make reports to DOE, on forms prescribed by DOE, to accurately reflect all consumption of material as then known to Agency. In reporting material as consumed, Agency shall make reasonable effort to accurately fix the time of such consumption on the basis of a specific occurrence or in accordance with procedures and methods of calculating consumption accepted by DOE.
c.
Except as otherwise provided herein, the amount due DOE for material consumed shall be the value of such material computed in accordance with this Agreement as of the time of such consumption. Agency may, and shall when required by DOE, pay on a provisional basis for material consumed. Full custody to and responsibility for all consumed material, other than material the value of which has been reduced by alteration of its isotopic ratio, shall be deemed transferred from DOE to Agency upon final payment to DOE of the amount due.
ARTICLE 7-OTHER AUTHORITY Nothing in this Agreement shall be deemed to require Agency to pay the DOE charges with respect to materials or services subject to this Agreement, or to observe other specific provisions of this Agreement, if DOE, in accordance with statutory authority or other authority available to it, determine that such charges, or other provisions are not applicable.
ARTICLE 8-ESTABLISHMENT OF SPECIAL NUCLEAR MATERIAL ACCOUNT DOE will establish a special nuclear material account for Agency to which will be debited, as provided herein, the amount or amounts equal to the value of the material subject to this Agreement. Such account will be credited, as provided herein, with the amount or amounts equal to the value of the material returned or paid for in accordance with this Agreement. The value of material reflected in this account after credit for the value of material returned, and for payments for material consumed shall represent the amount due to DOE for material not returned or paid for. In the event material paid for provisionally as having been consumed is later reestablished in Agency account, said account shall be debited as of the date of refund (or appropriate setoff) of such payment to Agency as provided in paragraph c. of Article 10 hereof, with the amount or amounts equal to the value of such material at the time of such reestablishment in Agency account.
a.
Except as otherwise provided in this Agreement, Agency account will be debited for material furnished as of the date material is delivered to Agency, provided that in the case of leased material transferred directly from a lessee of DOE, the debit will be made as of the effective date specified in the order executed by Agency, the lessee, and DOE for such material. Except as otherwise agreed to by DOE, such effective date shall not precede the date of DOE execution of such order by more than 30 days and such date shall also be set forth in the applicable transfer document.
b.
Agency account will be credited for material returned to DOE or transferred to a lessee only when material is returned or transferred in accordance with Article 5. Except as otherwise provided in this Agreement, Agency account will be credited for material returned directly to DOE as of the date the material is delivered to a location specified by DOE pursuant to this Agreement. Credit date specified in the order executed by the lessee, DOE, and Agency. Credit for material will be made as of the date payment is received by DOE.
7 c.
Whenever DOE changes any applicable base charge as provided in Article 9 below, the value of material recorded in Agency account will be re-computed at the new base charge provided that the value of material consumed as of the effective date of such change shall not be re-computed. Subsequent to the effective date of the change in the applicable base charge, the new base charge will be used in determining the value of material consumed.
d.
Agency will be promptly notified of the debits and credits made to its account as the result of shipments, consumption, or transfers of material, and of any changes in the value of material in such account as the result of changes in the applicable base charges. Agency will promptly notify DOE of any disagreements with, or alleged discrepancies, or errors in such notices.
ARTICLE 9-CHANGES IN BASE CHARGES AND SPECIFICATIONS The base charges, standard form, and specifications for material furnished pursuant to this Agreement are subject to change by DOE in accordance with the Act.
ARTICLE 10-PERFORMANCE OF DOE OBLIGATIONS-BILLING a.
DOE may fulfill its obligations under this Agreement through the operator of any of its facilities. No such operator is authorized to modify the terms of this Agreement, waive any requirement thereof, or settle any claim or dispute arising hereunder.
b.
Billings for amounts due DOE under the Agreement will ordinarily be made:
(1) Following the performance of any service, and (2) Semi-annually for consumption of material.
c.
All billings and payments made on a provisional basis are subject to adjustment to recognize actual or calculated amounts, enrichment, isotopic content, and specifications of material involved. Whenever Agency has provisionally paid for material reported as having been consumed and such material is later reestablished in Agency account, DOE shall refund to Agency (or appropriately setoff against any amounts due DOE) the amount paid by Agency for such material. The adjustments provided for in this paragraph will not subject Agency or DOE to liability for interest.
d.
All bills rendered by or in behalf of DOE are due 30 days from the date of invoice.
ARTICLE 11-TIME OF DELIVERY DOE will make reasonable efforts to deliver material at the time or times stated in orders for material subject to this Agreement.
ARTICLE 12-DELIVERY-F.O.B. POINT a.
Material furnished directly from a DOE facility will be shipped F.O.B. Agency vehicle or commercial conveyance at such DOE facility. Delivery of material or containers to Agency or its designee or to a carrier for the account of Agency or its designee shall be deemed delivery of such material or containers to Agency for the purpose of this Agreement.
b.
Unless Agency furnishes a prepared bill of lading, all shipments by DOE will be made collect on a commercial bill of lading to be converted at destination.
8 c.
When Agency obtains material from a lessee of DOE pursuant to this Agreement, DOE shall not be responsible for costs of packaging, shipment, and handling.
ARTICLE 13-CONTAINERS AND EQUIPMENT a.
All shipments of material from DOE to Agency, and from Agency to DOE will be made in Agency furnished containers; provided, however, that in the event DOE determines that the required containers are not reasonably available from commercial sources, DOE may furnish DOE-owned containers if such are available. Any DOE-owned containers to be used for shipment of material will be made available to Agency f.o.b. Agency vehicle or commercial conveyance, at a DOE facility designated by DOE, unless otherwise agreed. Agency furnished containers and equipment shall be delivered to a DOE facility designated by DOE within a reasonable time specified by DOE prior to the scheduled delivery of materials to be shipped to Agency in such containers and equipment. Agency-furnished containers or equipment will be used by DOE only for the shipment of material from DOE to Agency and for temporary storage of material shipped therein.
b.
All containers and equipment, whether DOE-owned or Agency-furnished, must meet DOE regulations, specifications, and practices as to safety, design criteria, cleanliness, and freedom from contamination in effect at the time furnished, utilized, or returned, of which DOE shall be the sole judge. In the event material is returned by Agency to DOE in non-DOE-owned containers and other materials are to be delivered to Agency, DOE shall utilize to the extent practicable such non-DOE-owned containers for shipments of material if so desired by Agency. DOE will promptly return to Agency non-DOE-owned containers and other equipment identified as Returnable, but will not be responsible for any loss of or damage to such containers or equipment except as may result from its failure or negligence. Such return shipments by DOE will be made f.o.b. Agency vehicle or commercial conveyance at DOE facility to which they were shipped. Agency shall pay such rental charge, for such containers and equipment, as shall be established by DOE for general application to users of such DOE-owned property. Agency will promptly return DOE-owned containers and equipment to the DOE facility from which received f.o.b. Agency vehicle or commercial conveyance at the DOE facility. Agency will not be responsible for any loss or damage to DOE-owned containers or equipment, except as may result from the fault or negligence of Agency, its contractors, or agents. DOE-owned containers or equipment will be used only for shipment of material to and from DOE and for temporary storage of material shipped therein.
c.
Whenever material or containers are shipped to DOE or DOE-owned containers are returned to DOE, and DOE elects to decontaminate the containers, railroad cars, trucks, or shipping vehicles or DOE unloading area and machinery, because of the containers, or the material or the method of shipment failed to meet the health and safety standards prescribed by DOE or any Federal or State agencies having jurisdiction over such matters, Agency shall pay DOE the full cost of such decontamination as determined by DOE in accordance with established DOE pricing policy. Any residual quantities of material in containers or equipment returned to DOE will be deemed to have been consumed by Agency, and Agency shall pay for such material in accordance with this Agreement.
ARTICLE 14-DETERMINATION OF MATERIAL QUANTITIES AND PROPERTIES a.
DOE will furnish Agency a statement of the quantities and properties, including a statement of the weight of the material subject to this Agreement which is received by Agency directly from a DOE facility or returned directly to a DOE facility. The following provisions and procedures shall apply to the determination of the quantities and properties, including weight of the material:
(1) DOE samples obtained at a DOE facility using DOE procedures will be binding upon DOE and Agency unless DOE and Agency agree upon the use of other samples, procedures, or sampling locations.
9 (2) Weight of the material will be determined prior to delivery of Agency or acceptance of delivery by DOE, as the case may be, at a DOE facility using DOE procedures and facilities. The weight of the material determined by the result of such procedures shall be binding upon DOE and Agency, unless DOE and Agency agree upon other procedures or facilities.
b.
Agency may, upon request to DOE, observe the weighing of the material and the taking of samples by DOE. The dates and places for the weighing and sampling will be established by DOE and communicated to Agency upon receipt of Agency request.
ARTICLE 15-TRANSFER OF MATERIAL Transfer of material by Agency to a lessee with the approval of DOE as provided in this Agreement shall not have the effect of relieving Agency of any obligation hereunder, except as to return of or payment for material so transferred.
ARTICLE 16-OTHER CONTRACTS AND AGREEMENTS This Agreement contemplates the possibility of separate agreements between Agency and DOE with respect to materials which are subject to this Agreement, which may provide for suspension, termination, or revision of matters hereunder; and for reimbursement of charges incurred pursuant to this Agreement. Except as provided in such agreements, Agency obligations under this Agreement for material subject to this Agreement shall continue notwithstanding the existence of such separate agreement or agreements.
ARTICLE 17-NOTICES a.
Any notices required by this Agreement of Agency shall be submitted in writing to DOE addressed to:
