UARDS RULES In the attached memorandum, OGC states that if the Comission intends to issue the insider rules it should include in the Federal Register notice "both a statement that the costs of the rules are justified by a substantial increase in safety, and a defense of that statement" in order to meet the requirements of the backfit rule. (See page 7).

Before I vote on the rules, I would like the staff to prepare such a statement and defense so that I can consider them in the course of deciding whether to support the rules.
