Dear Ms. Elliott:

l This is in reference to Ms. Knapp's letters datea March 25, 1996 and August 8, 1996. In these letters Framatome Cogema Fuels (FCF) requested that the U.S.

Nuclear Regulatory Commission consent to the name change from B&W Fuel Company l to Framatome Cogema Fuels for the Standby Trust Agreement that you have with Wachovia Bank of North Carolina, by signing the enclosed letter to Robert E.

Kuhlman, Jr., dated March 19, 1996. NRC understands that FCF August 8, 1996, i i letter is a partial response to our May 30, 1996, request for additional '

information, that your company is a partnership under the State of Delaware and not a corporation, and the partnership name is now Framatome Cogema Fuel l

under the State of Delaware. Accordingly, NRC has no objection to the name change of the Standby Trust Agreement or Letter of Credit. Enclosed please find a signed copy of the March 19, 1996, letter. Please provide a complete response to our May 30, 1996, letter within 60 days from the date of this I letter.
