SECTION C - DESCRIPTION / SPECIFICATIONS / WORK STATEMENT C.1 STATEMENT OF wok 7 t C.1.1 3ACKGROUND The NRC Technical Training Center (TTC) provides or coordinates i technical training for NRC personnel. These technical tra:ning  !'

programs have involved full-scope reactor simulator training from their incepticn. Over the past several years, in order to insure the  !

availability of adequate simulator training time and to allow integration of simulator training into classroom courses, the NRC has y contracted to procure and relocate to the TTC in Chattanooga, u.,

simulators replicating the U. S. reactor vendor designs. A unique opportun:ty to acquire a nuclear power plant simulator at great savings i to the government has arisen. The Shoreham Nuclear Power Station l simulator, located at the Long Island Lighting Company (LILCG),

represents a General Electric BWR/4 design similar to a majority of boiling water reactors. Although LILCO considers the simulator to be of nominal value and ready for salvage, the Office of Analysis and Evaluation of Operational Data (AECD) has determined it to be an asset for the NRC. The simulator will be extremely valuable to the NRC as a i

device f r training of reactor inspectors and operator license' examiners.

C.1.2 CBJECTIVE LILCO shall provide the Shoreham Nuclear Power Station simulator to the  !

NRC in accordance with the terms and conditions set forth herein.  ;

C.1.3 SCOPE OF WORK [

LILCO shall provide to the NRC, as is where is, the Shoreham Nuclear 2 Power Station Simulator representing a General Electric SWR /4 design, i the associated peripheral equipment and the associated training materials, as described under Attachment A of LILCO's letter dated  !

December 28, 1992, provided, however, that LILCO has such equipment, materials and documentation in its possession and it is reasonably ,

available. The NRC shall take delivery at LILCO's J. W. Dye Training i Center, 131 South Hoffman Lane, Hauppauge, New York 11788 and shall be. l responsible for dismantling, packaging, moving and transporting the-  ;

Shoreham Simulator.

The NRC, through its' subcontractor (s) will undertake the relocation of i "the Simulator" and any necessary associated tasks. Contingent upon l resultant contract award date, it is anticipated that the relocation effort will commence on or about September 13, 1993 and will be completed on or about October 1, 1993. {

3 ALES AGREEMENT '

for SHOREHAM BWR CONTROL ROOM SIMULATOR This Agreement dated '9E between LONG ISLAND LIGHTING COMPANY ("LILCO"), a corporation of the State of New York, having its principal address at 175 East Old Country Road, Hicksville, New York, and The U.S. Nuclear Regulatory Commission (the t

" Purchaser"), having its principal address at Washington, D.C. f 20555.

RECITALS 3 LILCO owns a certain full scope simulator with a configuration  !

similar to the control room at the Shoreham Nuclear Power Plant -

and designed for training plant operators (the " Simulator"). The Simulator is described in Attachment A, attached' hereto which i forms a part of this Agreement. j t

LILCO has determined that the Simulator is no longer of any use to LILCO and is ready for salvage.

1 LILCO is seeking to transfer ownership of the Simulator for its  ;

salvage value and have the Simulator removed from the J. W. Dye 1 -

Training Center, 131 South Hoffman Lane, Hauppauge, New York t 11788 (the " Training Center").

The Purchaser is seeking to own the Simulator and to cause the Simulator to be moved from the Training Center to USNRC/TTC. j i

The parties agree as follows:

1. TITLE TRANSFER J i

LILCO, as of the date hereof, does hereby grant, convey and l transfer title to the Simulator to the Purchaser; and the Purchaser accepts such title to the Simulator from LILCO. 1 LILCO warrants that it has good title to the Simulator and I transfers title thereto free of liens and encumbrances. l

2. RISK OF LOB 8 j The Purchaser, as of the date hereof, assumes the risks of loss for the Simulator. [

3. CONSIDERATION The firm fixed price for the Simulator is two hundred thousand ($200,000.00) dallars.
4. "'ERMB OF PAYMENT ,

f The Purchaser shall be obligated to pay LILCO the full ,

purchase price upon Purchaser's acceptance of the Simulator at the Training Center. Terms of payment is net thirty (30) days from the date of LILCO's invoice. .

5. REMOVAL OF MARKINGS The Purchaser stiall obliterate any nameplates or other identifying marks of LILCO that are on the Simulator prior to using the Simulator. If requested by LILCO, the '

Furchaser shall furnish written certification of the coliteration of such nameplates and marks.

6. NO WARRANTIES CTHER THAN AS EXPRESSLY STATED HEREIN.

(a) THE SIMULATOR IS ACCEPTED BY PURCHASER "AS IS" AND "WHERE IS". LILCO MAKES NO GUARANTEES OR WARRANTIES 2 WHATSOEVER WITH RESPECT TO THE QUALITY, QUANTITY, CONDITION, MERCHANTABILITY OR FITNESS FOR USE, FITNESS FOR A PARTICULAR PURPOSE OR FITNESS FOR ANY PURPOSE OF THE SIMULATOR OR THE SUITABILITY OF THE LOCATION WHERE THE REMOVAL OF THE SIMULATOR IS TO'BE PERFORMED. THE I PURCHASER REPRESENTS THAT IT HAS EXAMINED THE SIMULATOR AND PERFORMED SUCH TESTS AS DEEMED NECESSARY AND APPROPRIATE BY THE PURCHASER.

(b) THE SIMULATOR IS SALVAGED EQUIPMENT AND THE TITLE IS TRANSFERRED BY LILCO TO THE PURCHASER WITHOUT RECOURSE 3 OR REDRESS.

7. SIMULATOR REMOVAL (a) The Simulator will be delivered to and accepted by the Purchaser at the Training Center. Upon acceptance, the Purchaser, at its sole cost and expense, shall cause the Simulator to be removed from the Training Center.

e The Purchaser, its contractors and subcontractors shall i comply with all LILCO site regulations at the Training Center. Removal of the Simulator shall commence on or about September 13, 1993 and shall be completed on or about October 1, 1993.

(b) Prior to removal, LILCO shall effect determination of a the 120V electrical connections to the Simulator. The l Purchaser shall be responsible for all remaining removal activities, including but not limited to  ;

i disassembly, packaging, loading and transport of the Simulator. The Purchaser shall make its best effort to i ensure that the Simulator removal does not unreasonably  ;

interfere with other activities at the Training Center.  ;

t The Purchaser shall designate a representative to direct removal operations at the Training Center and to j act as liaison between the Purchaser's contractors, subcontractors and LILCO. LILCO shall also designate a j representative to oversee removal operations.

8. TAIES ,

The Purchaser is exempt from payment of State and/or local taxes under Tax Exempt Number 52-100-9222.  ;

9. INDEMNIFICATION  !

The Purchaser, its agents, employees, servants, contractors l and subcontractors shall indemnify and hold harmless LILCO, its officers, directors, employees, agents and servants from any liabilities, penalties, losses,: costs, damages, claims, ,

expenses, attorney's fees, expenses of litigation, suits, j judgments, liens and encumbrances arising out of or in any ,

way connected with this Agreement, whenever made or  !

incurred, including any and all liability imposed by law,  !

and/or contract, and/or custom, upon LILCO, its officers, }

directors, employees, agents and servants, or any or all of  !

them, which arises out of the negligence or breach of statutory duty of the Purchaser, its employees or servants. i I

10. INSURANCE t (a) The Purchaser shall cause its contractors and ,

subcontractors to provide insurance for the term of this Agreement, covering all of the following risks within minimum limits as indicated below, and shall l

(c) The Indemnification and Hold Harmless Clause set forth in Article 9 of this Agreement, and the named insured {

under Comprehensive Public Liability Coverage, shall be identified and the language set forth in Article 9  ;

shall be typed on the reverse side of the Certificate of Insurance.

11. PROPRIETARY RIGHTS (a) The Seller Licensed Data as defined in the Agreement between LILCO and the Singer Company, Link Simulator ,

Systems Division, dated May 16, 1984 (the " Acquisition l Agreement"), is not included with this transaction.

(b) The Purchaser, at its sole cost and expense, shall  !

arrange with'the Licensor of the Seller Licensed Data to secure any rights required to use the Seller l Licensed Data. LILCO will provide the Purchaser  !

reasonable assistance in obtaining the rights to the l l

l above referenced Seller Licensed Data, but shall have j no obligation and shall not be liable to the Purchaser i' if such rights cannot be secured.

12. TERMINATION  ;

(a) LILCO may terminate this Agreement without liability if ,

due to loss, damage, or access or removal constraints, is no longer available. i (b) Should the Purchaser fail to abide by any of the terms ,

and conditions of this Agreement, LILCO may terminate this Agreement for default by giving five (5) days written notice to the Purchaser.

(c) In the event that this Agreement is terminated by LILCO, or if the Purchaser terminates this Agreement due to LILCO's default, LILCO's sole liability to the .

Purchaser will be to refund any amounts paid by the Purchaser toward the purchase price of the Simulator.

The Purchaser shall have no other or further rights  ;

against LILCO, whether in contract or at law. 1

13. PURCEASER NOT TO ASSIGN The Purchaser shall neither assign or subcontract its interest or obligations under this Agreement without LILCO's prior written consent. Any assignment or subcontracting by the Purchaser without LILCO's prior written consent shall ,

render this Agreement voidable by LILCO.

14. WORK IN HARMONY During the Simulator removal from the Training Center, the Purchaser is responsible for harmonious labor relations among its own employees, the employees of its contractors and subcontractors, LILCO employees and the employees of any contractors authorized by LILCO to be at the Training Center.
15. AMENDMENTS This Agreement shall not be modified or amended nor may any obligation of either party be changed or discharged except
