GA Technologies Inc.

("GA"),

a corporation established under the laws of the State of California, applies for NRC's written consent for GA to acquire by transfer from General Atomic Company (GAC) all of GAC's right, title, and interest in the licenses and license applications listed in Appendix A.

In accordance with the terms of an agreement between the partners (Gulf Oil Corporation and 4

Scallop Nuclear Inc.) who constitute GAC, the purpose of this application is to permit GA to continue without interruption the business heretofore performed under or in' respect of those licenses.

GA is a wholly-owned subsidiary of Gulf Oil Corporation.

Information pertinent to the identification and responsi-bility of the applicant as required by NRC regulations is provided in Appendix B.

The technical qualifications of the applicant to carry out the activities under the licenses will be identical to those of the proposed transferor, since GAC will possess the entire relevant assets previously held by GAC and, with the exception of two or three people, all the personnel of GAC are expected to become officers and employees of the applicant.

An enclosed preliminary parcel map based upon a topographical drawing of all the go present GAC landholdings shows as parcels 1 and 2 GA's g

planned future holdings that are relevant to the licenses.

Parcel 3 is expected to go to Scallop Nuclear Inc. or its designee, but on parcel 3 there are no

( h licensed facilities or materials and there never have been any.

the owner in fee of parcels 2 and 3 and GA will be lessee.

GA will own the reactors (and reactor buildings) authorized by licenses R-38 and R-67, and it will own all the personalty to which the licenses apply.

The applicant hereby agrees that it will not permit any previously unauthorized individual to have access to restricted data until the Civil Service Commission shall have made an investigation and report to the NRC on the character, associations, and loyalty of such individual, and until the Nuclear Regulatory Commission shall have determined that permitting such person to have access to restricted data will not endanger the common defense and security.

A supporting letter from General Atomic Company accompanies this application.

After NRC's consent is given and when other conditions precedent are fulfilled, the licenses and assets will be transferred upon a closing date that is not yet fixed.

We will immediately notify NRC of the closing when it occurs.
