As. discussed in my letter of October 19, 1981 to Mr. A. J. Waligura'(Brookhaven National Laboratory), we agree to partici-pate in your project by temporarily installing TV cameras at the Trojan plant.

CONTRACT This is a Contrau (the " Contract") made as of the date set forth above, between the party above named (the " Contractor"),

and Associated Universities, Inc. ("Brookhaven"), the latter acting under Prime Ccatract No. DE-AC02-76CH00016 with the United States of America (the "Gosernment") represented by the United States Department of Energy (" DOE"):

Hereto attached and hereby made a part hereofis Attachment A, which contains additional provisions of the Contract.

1.

Service: The Contractor shall furnish the personnel, services, equipment, facilities, materials and supplies necessary to furnish necessary assis-tance for the installation, testing and demonstration of the Closed Cir-cuit TV developed, by Sandia Laboratories.

The tasks to be performed are as follows:

. Task 1: Prepare and count necessary camera brackets.

Task 2: Mount the cameras.

Task 3: Route the camera cables to the console.

Task 4: Move the console to its designated location.

Task 5: Provide the AC power connection to the console.

Task 6: Provide necessary assorted personnel throughout the evaluation period.

The above work is more fully described in Brockhaven's letter, dated October 14, 1981, which is incorporated herein by reference.

A.

Reports / Deliverables:

All deliverables and reports documenting the

work performed hereunder shall be submitted to Broolhaven's technical representative, as mutually agreed.

B.

Principal Investigator: The Contractor's principal investigator here-under will be Mr.

B. Withers.

He shall supervise the work hereunder, and act as liaison between Brookhaven and the Contractor.

C.

Key Personnel:

It having been determinated that the employee whose name appears in Paragraph 1. B. above and whom the Contractor proposes for the work hereunder, or persons agroved by Brookhaven's technical representative as personnel of substantially equal abilities and qual-ifications, are necessary for the successful performance of the Con-tract, the Contractor agrees to assign such employee or person to the performance of the work under this Contract and shall not reassign nor

Whenever, for any reason, the aforementioned employee is unavailabic for assignment for work under the Contract other than f

vacation, holiday or sick leave, the Contractor shall, with the appro-I val of Brookhaven's technical representative, replace such employee with an employet of substantially equal abilities and qualifications.

D.

Inspection:

Brookhaven and DOE shall have the right to inspect, in such times as mutually deemed appropriate, all activities of the Con-tractor arising in the course of its work under this Contract.

T_erm of Contract: This Contract aball be effective as of November 6. f)81 and shall continue in effect until May 30, 1982.

Ceiling Amount, Compensation, Allowable Costs, Accounts and Payment:

A.

Ceiling Amount:

Brookhaven shall not order, nor shall the Contractor furnish any service which would cause the total amount payable here-under to exceed Ten Thousand Dollars ($10,000.00).

B.

Obligation of Funds: The amount presently obligated and authorized by Brookhaven with respect to this Contract is Ten Thousand Dollars

($10,000,00).

Payments by Brookhaven under this Contract on account of allowable costs shall not in the aggregate at any time exceed the amount authorized with respect to this Con *sact.

C.

Compensation for Contractor's Service:

Payment of allowable costs as herein defined shall constitute full and complete compensation for performance of work under this Contract.

D.

Allowable Costs: The allowable cost of performing the work under tilis Contract shall be the costs and expenses (less applicable income and other credits) that are actually chargeable either as directly inci-dent or as allocable through appropriate distribution or apportic::-

ment, to the performance of the Contract work in accordance with its terms and are determined t, be allowable in accordance with Attachment B

(Contract Cost Principles and Procedures for Use in Cost-Reimbursement Contracts with Commercial Organizations).

E.

Account's:

The Contractor shall maintain a reparate and distinct set of accounts, records, documents, and other evidence showing and sup-porting all allowable costs incurred, revenues or other applicable credits and the receipt, use and disposition of ali Government pro-perty coming into the possession of the Contractor under this Con-tract.

The system of accounts employed by the Contractor shall be satisfactory to Brookhaven and in accordance with generally accepted accounting principles consistently applied.

F.

Payment:

Payment will be made monthly upon receipt and approval by Brookhaven of properly certified invoices that set forth the costs incurred during the preceding month.

Invoices, in duplicace, shall be forwarded to Brookhaven's Accounts Payable Division, Contracts Section, Building No. T-134B. In order to i

fully comply with this clause the Contractor shall Libmit the attached

" Statement of Cost" or equivalent with each invoice.

In addition, the Contractor shall indicate the final invoice by clearly marking such invoice as " FINAL".

The final invoice is to be submitted within sixty (60) days of the expiration date of this Contract.

Any change or modification in the terms and conditions of this Contract will require the written approval of Brookhaven's Manager, Division of Ccatracts and Procurement, or his designee.

which are attached hereto and made a part hereof, contain additional pro t visions of this Co.ntract.

This Contract does not bind nor purport to bind the Government of the United States.
