Dear Mr. Ferri:

This is in further response to your letter dated January 6,1981, in which you requested, pursuant to the Freedom of Information Act (FOIA),

10 categories of information regarding the contract between NRC and TERA Advance Services Corporation.

As Linda Robinson informed you during a telephone conversation on February 11, 1981, after we wrote to you on February 2,1981, we were informed that other NRC offices may have pertinent records not previously made available.

This information was relayed to us with regard to item seven of your letter in which you requested " copies of all reviews, reports or evaluations of the performance of the contracts". There have been evaluations of NRC's document control system, which have focused primarily upon NRC's use and management of the system as opposed to TERA's performance under the contract. Two studies, which may be applicable to your equest, are discussed below.

The first study, which is attached to a memorandum dateu November 18, 1980, from Dircks to Chairman Ahearne entitled, "The NRC Document Control System", is being placed in the PDR in folder F01A-81-13 under your name.

A portion of the information presented on page 29 of the memorandum has been withheld pursuant to Exemption 4 of the FOIA (5 U.S.C. 552(b)(4))

and 10 CFR 9.5(a)(4), which exempts confidential comercial information.

Pursuant to 10 CFR 9.9 of the Commission's regulations, it has been determined that the withheld information is exempt from production or disclosure, and that its production or disclosure is contrary to the public interest.

The person responsible for this denial is the undersigned.

The second study, " Review of Contract NRC-10-78-580 Awarded to TERA l

Advanced Services Corporation for the Implementation and Operation of the Document Control System," was recently completed by the NRC's Office of Inspector and Auditor. A draf t version of the report is being withhe'ld in its entirety pursuant to Exemption 5 of the F0IA which exempts from disclosure pre-decisional documents consisting of advice, opinions, and recommendations. This final report similarly contains advice, opinions and recomendations regarding the NRC's administration of the TERA i

contract and is therefore exempt from disclosure pursuant to Exemption 5 of the F0IA (5 U.S.C. 552(b)(5)) and 10 CFR 9.5(a)(5).

Some of the.

material contained in this report consists of confidential commercial information and is therefore also exempt from disclosure under Exemption 4 of the F01A (5 U.S.C. 552(b)(4)) and 10 CFR 9.5(a)(4).

Itowever, selected portions of the final version of the report are being made available for your inspection and copying.

The introductory text regarding the background of the report and selected attachments to the report have been determined to be reasonably segregable factual materials and are therefore being released.

Pursuant to 10 CFR 9.15 of the Commission's regulations, it has been determined that the remainder of the document is exempt from production or disclosure, and that its production or disclosure is contrary to the public interest.

The person responsible for this denial is James J. Cummings, Director, Office of Inspector and Auditor.

These denials may be appealed to the Executive Direct.or for Operations according to 10 CFR 9.11, with regard to the first study, and to the Secretary of the Commission, according to 10 CFR 9.15, with regard to the second study, within 30 days from the receipt of this letter. Any r;ch appeal must be in writing, addressed to the Executive Director for Operations or the Secretary of the Commission as appropriate, U.S.

Nuclear Regulatory Commission, Washington, DC 20555, and should clearly state on the envelope and in the letter that it is an " Appeal from an Initial F0IA Decision".

This completes NRC's action en your request.
