I am writing on behalf of Central and South West

Services, Inc. acting on behalf of Central and South West Corporation (HCSW") and its electric utility operating subsidiaries.

On April 11, 1995 the Federal Energy Regulatory Commission administrative law judge who presided over the FERC's hearings regarding the proposed acquisition of El Paso Electric Company by CSW issued his Initial Decision, concluding that "the proposed merger is consistent with the public interest, subject to the conditions prescribed in this Xnitial Decision."

Initial Decision at 62.

The Administrative Law Judge also reserved certain legal and policy issues for review by the FERC.

35-38 may be found at 60 Fed.

17662 (April 7, 1995).

A copy of a fact sheet issued by the FERC discussing the NOPR is enclosed.

Briefs on exceptions to the administrative law judge' decision are due May 1, 1995.

Briefs opposing the exceptions are due May 16, 1995.

The merger remains subject to other conditions and regulatory reviews and approvals, including that of the Nuclear Regulatory Commission in the above-referenced matter.
