Docket Nos. 50-206, 50-361 and 50-362 San Onofre Nuclear Generating Station, Units 1, 2 and 3 Merger of Southern California Edison Company and San Diego Gas & Electric Company Pursuant to 10 CFR 50.90 of the Commission's regulations Southern California Edison Company (SCE) hereby requests amendments to Facility Operating licenses Nos DPR-13, NPF-10, and NPF-15 for Units 1, 2 and 3 of the San Onofre Nuclear Generating Station (SONGS).

SCE requests changes to these licenses to reflect changes in the ownership of SONGS which will result from the merger of SCE and San Diego Gas & Electric Company (SDG&E).

Justification for Proposed Changes SDG&E is a co-owner and licensee of SONGS Units Nos. 1, 2 and 3. SCE is a subsidiary of SCEcorp. The Commission consented to the restructuring and formation of SCEcorp by letter dated December 24, 1987.

On November 30, 1988, SCE, SDG&E and SCEcorp executed an Agreement and Plan of Reorganization providing for the merger of SOG&E with and into SCE, with SCE being the surviving corporation. SDG&E will dispose of its assets and facilities by means of an exchange of its stock with SCEcorp and the simultaneous merger of SDG&E into SCE.

SCE, as the surviving corporation, will assume the liabilities and obligations of SDG&E.

The merger of SDG&E into SCE will not result in the transfer of the licenses to any entity not currently a licensee for SONGS. No new entity not already a licensee of the NRC will be created by the merger. The merger will not affect SCE's exclusive responsibility and control over the physical construction, operation and maintenance of SONGS.

Description of Proposed Change SCE proposes to revise the SONGS Units 1, 2 and 3 Operating Licenses, Technical Specifications and Environmental Protection Plans (Units 2 and 3 only) to reflect the merger of SDG&E into SCE. The affected provisions are:

See Attachment "F" The SDG&E participation in the ownership of SONGS is reflected in several locations in the Operating Licenses, Technical Specifications and Environmental Protection Plan.

Attachment "G" summarizes the locations reflecting SDG&E participation and proposed changes.

The proposed change is administrative in nature. The proposed change does not affect the physical configuration of the facility. With the exception of the elimination of the SDG&E member from the Onsite Review Committee (OSRC), the change does not affect the oversight or operation of the facility. The proposed change reduces the OSRC from eleven to ten members, including the chairman. The size of OSRC remains well in excess of the quorum requirement of five, including the chairman or his designee, as specified in Technical Specification Section 6.5.1.5.

SCE believes that because the proposed change is administrative in nature, it does not involve any common defense and security, public health and safety, environmental or antitrust considerations.

Safety Analysis The proposed changes discussed above would involve a significant hazards consideration if there were a positive finding with respect to any of the criteria set out in 10 CFR 50.92(c):

1. Will operation of the facility in accordance with this proposed change involve a significant increase in the probability or consequences of an accident previously evaluated?

The proposed change does not involve a significant increase in the probabilities or consequences of and accident previously evaluated because it only revises the operating licenses to reflect the merger of two entities which are currently licensees.

This revision represents an administrative change and therefore has no impact on accidents previously evaluated.

2. Will operation of the facility in accordance with proposed change create the possibility of a new or different kind of accident from any accident previously evaluated?

April 28, 1989 The proposed change does not modify the facility or the manner in which it operates. SCE will continue to act as operating agent for the co-owners with exclusive responsibility and control over the physical construction, operation, and maintenance of SONGS.

Therefore, the proposed change does not create the possibility of a new or different kind of accident from any accident previously evaluated.

3. Will operation of the facility in accordance with this proposed change involve a significant reduction in a margin of safety?

The proposed change is administrative in nature and as such will not impact any margin of safety.

Safety and Significant Hazards Consideration Determination Based on the preceding analysis, it is concluded that:

(1) the proposed change does not involve a significant hazards consideration under the criteria identified in 10 CFR 50.92; (2) there is reasonable assurance that the health and safety of the public will not be endangered by the proposed change; and (3) this action will not result in a condition which significantly alters the impact of the station on the environment as described in the NRC Final Environmental Statement.

In support of this request copies of the most recent annual reports of SCE, SCEcorp and SDG&E are provided in Attachment H. In addition, a copy of the Agreement and Plan of Reorganization providing for the merger of SDG&E into SCE is also included in Attachment I.
