ISSUANCE OF CONFORMING AMENDMENTS RELATING TO TRANSFER OF LICENSES FOR ZION NUCLEAR POWER STATION, UNITS 1 AND 2 (TAC NOS. J00341 AND J00342)

Dear Mr. Christian:

By letter to the U.S. Nuclear Regulatory Commission (NRC) dated January 25, 2008, and supplemented on March 18, 2008, March 28, 2008, April 1, 2008, September 25, 2008, October 23, 2008, and February 4, 2009, including clarifying e-mails on March 14, 2008, May 16, 2008, and July 9, 2008, you submitted an application, pursuant to Sections 50.80 and 50.90 of Title 10 of the Code of Federal Regulations (10 CFR), requesting approval of the transfer of Facility Operating License Nos. DPR-39 and DPR-48 for Zion Nuclear Power Station, Units 1 and 2 (Zion), held by Exelon Generation Company, LLC (Exelon), to ZionSolutions, LLC.

The application also requested approval of the conforming amendment to the license pursuant to 10 CFR 50.80 and 50.90.

The NRC issued the Order approving the transfer on May 4, 2009, effective for one year from that date, and provided a draft copy of the conforming amendments. In response to your request dated January 26, 2010, on Marcy 12, 2010, the NRC extended the effectiveness of the Order until November 4, 2010.

By letters dated August 3, 2010, August 16, 2010, and August 18, 2010, ZionSolutions, LLC submitted, respectively: satisfactory documentary evidence that it has obtained the appropriate amount of insurance required of a licensee under 10 CFR Part 140 of the Commission=s regulations and consistent with the exemptions issued to Zion on December 21, 1999; written proof that an Irrevocable Easement for Disposal Capacity of 7.5 million cubic feet has been established by EnergySolutions, LLC, in accordance with the Order approving the transfer, for the decommissioning of the Zion Nuclear Power Station, Units 1 and 2; and written proof of a commitment by JP Morgan Chase Bank, N.A. to issue an Irrevocable Letter of Credit in the amount of at least $200 million on behalf of EnergySolutions, LLC, in accordance with the Order approving the transfer, for the decommissioning of the Zion Nuclear Power Station, Units 1 and

2. These documents satisfy the requirements of the Order and are determined to be acceptable by the staff.

J. Christian 2 Enclosures 1 and 2 provide the conforming amendments for Zion Units 1 and 2, which are effective on September 1, 2010. Enclosure 3 provides the NRC staff=s safety evaluation related to the preceding actions.

Notice of issuance of the amendment has been forwarded to the Office of Federal Register for publication.

In connection with this action, we are enclosing three copies of Indemnity Agreement No. B-59 (Enclosure 4). Please sign and return one copy to this office.
