KEWAUNEE NUCLEAR POWER PLANT - ISSUANCE OF CONFORMING AMENDMENT RE: TRANSFER OF THE FACILITY OPERATING LICENSE FROM NUCLEAR MANAGEMENT COMPANY, LLC, WISCONSIN PUBLIC SERVICE CORPORATION, AND WISCONSIN POWER AND LIGHT COMPANY TO DOMINION ENERGY KEWAUNEE, INC. (TAC NO. MC7238)

Dear Mr. Gaffney:

By Order dated June 10, 2004, the Nuclear Regulatory Commission (NRC) approved the transfer of Facility Operating License No. DPR-43, held by Wisconsin Public Service Corporation, Wisconsin Power and Light Company, and Nuclear Management Company, LLC, for the Kewaunee Nuclear Power Plant, to Dominion Energy Kewaunee, Inc., and approved a conforming amendment, pursuant to 10 CFR 50.80 and 10 CFR 50.90. The Order was published in the Federal Register on June 18, 2004 (69 FR 34197). The effectiveness of the Order was extended by the NRC on June 1, 2005. By letter dated April 26, 2005, Dominion Energy Kewaunee, Inc., notified the NRC that all required regulatory approvals of the transfer have been received. By letter dated March 21, 2005, Dominion Energy Kewaunee, Inc.,

provided proof that the required insurance has been obtained. By letter dated June 3, 2005, as revised by letter dated July 1, 2005, Dominion Energy Kewaunee, Inc., notified the NRC that the closing of the transfer would occur on July 5, 2005. Your letters of March 21, April 26, June 3, and July 1, 2005, satisfied required conditions of the Order.

Accordingly, the Commission has issue the enclosed Amendment No. 185 to Facility Operating License No. DPR-43 for Kewaunee Nuclear Power Plant. This conforming amendment reflects the transfer of the license to Dominion Energy Kewaunee, Inc., and includes any changes made to license pages by amendments issued subsequent to June 10, 2004. The safety evaluation supporting the conforming amendment was attached to the above mentioned Order, issued on June 10, 2004. contains five copies of Indemnity Agreement No. B-53, Amendment No. 10, which is required in connection with the transfer of the license. Please keep four copies for your records and sign and return the other copy.

1. The Nuclear Regulatory Commission (the Commission) has found that:

A. The application for amendment by Nuclear Management Company, LLC (NMC),

dated December 19, 2003, as supplemented February 18 and March 17, 2004, complies with the standards and requirements of the Atomic Energy Act of 1954, as amended (the Act) and the Commission's rules and regulations set forth in 10 CFR Chapter I; B. The facility will operate in conformity with the application, the provisions of the Act, and the rules and regulations of the Commission; C. There is reasonable assurance (i) that the activities authorized by this amendment can be conducted without endangering the health and safety of the public, and (ii) that such activities will be conducted in compliance with the Commission's regulations; D. The issuance of this amendment will not be inimical to the common defense and security or to the health and safety of the public; and E. The issuance of this amendment is in accordance with 10 CFR Part 51 of the Commission's regulations and all applicable requirements have been satisfied.

2. Accordingly, the license is hereby amended as indicated in the attachment to this license amendment.
3. This license amendment is effective as of its date of issuance and shall be implemented within 60 days.
