Dear Mr. Webb:

On April 21, 2004, STP Nuclear Operating Company ("STPNOC"), acting on behalf of AEP Texas Central Company and Cameco South Texas Project LP ("CSTP"), filed an Application pursuant to 10 C.F.R. § 50.80 requesting Nuclear Regulatory Commission ("NRC")

consent to the transfer of TCC's 25.2% non-operating ownership interest in South Texas Project, Units I and 2, to CSTP.

In support of that Application, on April 26, 2004, I submitted to the NRC certain financial and contract information that is proprietary to CSTP and to its parent company, Cameco Corporation. As discussed in your letter of June 8, 2004, the NRC agreed to withhold that proprietary information from public disclosure, consistent with NRC regulations.

On September 15, 2004, STPNOC withdrew the Section 50.80 transfer Application because two of the current owners have exercised their rights of first refusal with respect to the ownership interest that CSTP was seeking to acquire. Accordingly, pursuant to 10 C.F.R. § 2.390(c)(3), I now respectfully request that the NRC return the proprietary documents submitted on April 26. It does not appear that any of the exceptions to the NRC's rule allowing return of these documents would apply in this case.
