Reference I requested NRC consent to transfer control of Central Power and Light Company's (CPL's) interest in the South Texas Project to a Texas partnership, which would be indirectly wholly owned by American Electric Power (AEP), the parent company of CPL. This transfer would support compliance with Texas law requiring restructuring of the Texas electric utility industry. Reference 2 requested that the NRC suspend their review of the application because of schedule uncertainties in obtaining other regulatory approvals of CPL's proposed restructuring.

Independent of the application to transfer control, Reference 3 informed the NRC that CPL had entered into an agreement transferring the rights to use the CPL company name, and requested NRC approval of conforming administrative license amendments to replace "Central Power and Light Company (CPL)" with "AEP Texas Central Company" throughout both operating licenses.

NOC-AE-03001571 Page 2 of 2 On behalf of CPL (now AEP Texas Central Company), STP Nuclear Operating Company hereby withdraws the original application (Reference 1) as AEP Texas Central Company will pursue other means to meet the electric utility deregulation requirements of the State of Texas.
