FIRM/AFFILIATE OFFICES BOSTON CHICAGO HOUSTON LOS ANGELES NEW YORK PALO ALTO WILMINGTON ABU DHABI BEIJING BRUSSELS FRANKFURT HONG KONG LONDON MUNICH PARIS SAO PAULO SEOUL SINGAPORE TOKYO TORONTO On August 4, 2025, Duke Energy, Progress Energy and Florida Progress LLC (Florida Progress), the holding company of Duke Energy Florida (DEF), entered into an investment agreement with Peninsula Power Holdings L.P., an affiliate of Brookfield Super-Core Infrastructure Partners, pursuant to which Florida Progress agreed to issue membership interests to Peninsula Power Holdings for up to a 19.7%
membership interest in Florida Progress (the "Transaction") following a series of closings, for an aggregate investment of $6 billion, subject to certain adjustments.
In its September 23, 2025, "Request for Threshold Determination, or in the Alternative, Request for Consent to Indirect Control of License pursuant to 10 CFR
§ 50.80" (ML25266A263) relating to the Transaction and submitted in these dockets, DEF stated that (i) following the closing of the Transaction, the Florida Progress board of directors (the "Board") will comprise eleven (11) Managers, of which two (2)
Managers initially shall be designated by Peninsula Power Holdings (each, a "New Peninsula Power Holdings Designee") and nine (9) Managers shall be designated by Progress Energy (each, a "Progress Energy Designee"), (ii) that the identities of the New Peninsula Power Holdings Designees and Progress Energy Designees had not yet been identified, and (iii) DEF would notify the NRC prior to the initial closing once

On February 17, 2026, the NRC informed DEF by letter (ML25342A015) that NRC staff had completed their review of DEF's request and concluded that the Transaction does not require prior NRC approval.
DEF notifies the Nuclear Regulatory Commission that the following persons have been selected as designees to the Board:

- 8. Nicholas J. Giaimo
- 9. Michael A. Switzer Further, DEF notifies the NRC that the composition of the Special Nuclear Committee of the DEF board will be:

- 4. Melissa L. Seixas All of the aforementioned Progress Energy Designees are citizens of the United States. Natalie Hadad holds dual Canadian and Colombian citizenship and Jeff Rosenthal holds Canadian citizenship.
