By Orders dated September 6 and September 26, 2007, the U.S. Nuclear Regulatory Commission (NRC) approved the transfer of the facility licenses for the Vallecitos Boiling Water Reactor (Docket No. 50-18, License No. DPR-1), the General Electric Test Reactor (Docket No.
50-70, License No. TR-1), the Nuclear Test Reactor (Docket No. 50-73, License No. R-33), and the Empire State Atomic Development Associates Vallecitos Experimental Superheat Reactor (Docket No. 50-183, License No. DR-10) and special nuclear material (SNM) license numbers SNM-960 (Docket No.70-754), SNM-1270 (Docket No. 70-1220), and SNM-2500 (Docket No.
72-1) from the General Electric Company to GE-Hitachi Nuclear Energy Americas, LLC (GEH)
(Agencywide Documents Access and Management System [ADAMS] Accession Nos.
ML071450174, ML071420249, and ML071841159, respectively). This approval included conditioning each of these licenses to require that GEH transmit to the NRC, within 30 days of filing with the U.S. Securities Exchange Commission (SEC), any schedule 13D or 13G filed pursuant to the Securities Exchange Act of 1934 that discloses beneficial ownership of a registered class of General Electric stock.
By letters dated February 6, 2025, and February 24, 2025 (ML25037A160, non-public, and ML25055A162, respectively), GEH transmitted to the NRC the 13Gs schedules filed with the SEC on November 7, 2024, and February 13, 2025, disclosing beneficial ownership of General Electric Co. (aka GE Aerospace) and GE Vernova Inc. stock. The NRC staff determined that the transmitted schedules 13G represented stock acquisition by major financial institutions that are organized and headquartered within the U.S. The acquisitions, of approximately 5.8 percent to 8.7 percent common stock, are indicative of typical corporate strategy for such major financial institutions. While these financial institutions may have foreign subsidiaries or may be acquiring General Electric Co. and GE Vernova Inc. stock to be traded on foreign markets or issued to foreign investors, the NRC staff does not determine the degree to which foreign entities or individuals own relatively small numbers of shares of licensees stock.
This action closes all efforts under Enterprise Project Identifier Number L-2025-LLL-0003.
