ISSUANCE OF AMENDMENT NOS. 285 AND 269 RELATED TO ORDER APPROVING INDIRECT TRANSFER OF LICENSES AND CONFORMING LICENSE AMENDMENTS (EPID L-2023-LLM-0002)
Dear Mr. Casulli:
By order dated March 30, 2023 (Agencywide Documents Access and Management System Accession No. ML23073A071), the U.S. Nuclear Regulatory Commission (NRC) staff approved the license transfer application dated September 29, 2022, as supplemented, that was submitted by Susquehanna Nuclear, LLC (Susquehanna Nuclear), on behalf of itself and the unsecured creditors (as described in the application) of Talen Energy Supply, LLC (Talen Energy Supply). The order approved, in part, the indirect transfer of control of Susquehanna Nuclears interests in Renewed Facility Operating License Nos. NPF-14 and NPF-22 for the Susquehanna Steam Electric Station (Susquehanna), Units 1 and 2, respectively, and the general license for the Susquehanna independent spent fuel storage installation (ISFSI). The order also approved draft conforming license amendments to reflect the proposed indirect transfer of the licenses. A copy of the NRC staff safety evaluation (ML23073A107) related to the license transfer application was provided with the order.
As described in the license transfer application, Susquehanna Nuclear is a direct, wholly-owned subsidiary of Talen Energy Supply. Talen Energy Supply is a direct, wholly-owned subsidiary of Talen Energy Corporation. The NRC staff had consented, via the order dated March 30, 2023, to the indirect license transfer that supports the proposed transaction in which Susquehanna Nuclear would continue to be directly owned by Talen Energy Supply, but which, in turn, would be directly owned by a then yet to be named new parent company referred to in the order as Reorganized Talen Energy Corporation.
By letter dated May 8, 2023 (ML23128A317), Susquehanna Nuclear informed the NRC that all required regulatory approvals necessary to close the proposed transaction had been received and that the proposed transaction would close on May 17, 2023. The letter also stated that the final legal name of the entity that was referred to in the application as Reorganized Talen Energy Corporation is Talen Energy Corporation. In addition, the letter provided: (1) the state of incorporation and address for Talen Energy Corporation and (2) the names, addresses, and citizenship of the directors and principal officers of Talen Energy Corporation. The NRC staff reviewed this information and found it to be consistent with the statements made in the license
E. Casulli transfer application. The May 8, 2023, letter also informed the NRC that the submittals required by the Hart-Scott-Rodino Antitrust Improvements Act of 1976 were made as of April 14, 2023.
In addition, the May 8, 2023, letter notified the NRC that, subsequent to the NRC staffs approval of the proposed license transfer, the applicants determined that funds held by Monarch Alternative Capital LP (Monarch), a New York-based investment firm, have acquired rights to own approximately 6.4 percent of the equity in Talen Energy Corporation upon completion of the proposed transaction. The letter stated that Monarch will not have the ability to exercise control over Talen Energy Corporation and will not have the right to nominate any directors to the Board of Directors of Talen Energy Corporation and, thus, will not have the ability to exercise control over the activities of Susquehanna Nuclear.
By letter dated May 17, 2023 (ML23137A314), Susquehanna Nuclear informed the NRC that the proposed transaction closed on May 17, 2023. Accordingly, the NRC staff is issuing the enclosed conforming license amendments. Notice of issuance of the conforming license amendments will be included in the NRCs monthly Federal Register notice.

The issuance of this amendment is in accordance with 10 CFR Part 51 of the Commissions regulations and all applicable requirements have been satisfied.
