InSeptember2021,KairosPowersubmittedaPreliminarySafetyAnalysisReport(PSAR)(Reference1)as partoftheConstructionPermitApplication(CPA)fortheHermesnonpowerreactor.On August5th,2022,theNuclearRegulatoryCommission(NRC)transmittedRequestforAdditional Information(RAI)350(Reference2).ThislettertransmitsKairosPowersresponsetoRAI350forthe NRCstafftoreview.
PortionsoftheattachedRAIresponsesareconsideredproprietary,andKairosPowerrequeststhose portionsbewithheldfrompublicdisclosureintheirentiretyinaccordancewiththeprovisionsof 10CFR2.390.Enclosure1providestheproprietaryversionoftheRAIresponsesandEnclosure2 providesthenonproprietaryRAIresponses.Anaffidavitsupportingthewithholdingrequestisprovided inEnclosure3.

KairosinformationcontainedinEnclosure1tothislettercontainsdetailsofKairosgraphite materialsqualificationtopicalreportforaKairosPowerfluoridesaltcooledhightemperature reactor.Thesedetailscouldprovideacompetitorwithacommercialadvantageiftheinformation weretoberevealedpublicly.

Pursuanttotheprovisionsof§2.390(b)(4),thefollowingisfurnishedforconsiderationbythe Commissionindeterminingwhethertheinformationsoughttobewithheldfrompublicdisclosure shouldbewithheld:
- a.
Theinformationsoughttobewithheldfrompublicdisclosureisownedandhasbeenheldin confidencebyKairos.
- b.
TheinformationisofatypecustomarilyheldinconfidencebyKairosandnotcustomarily disclosedtothepublic.Kairoshasarationalbasisfordeterminingthetypesofinformation customarilyheldinconfidencebyitand,inthatconnection,utilizesasystemtodetermine whenandwhethertoholdcertaintypesofinformationinconfidence.Theapplicationofthat systemandthesubstanceofthatsystemconstituteKairospolicyandprovidetherational basisrequired.

TheinformationisbeingtransmittedtotheCommissioninconfidenceand,underthe provisionsof10CFR2.390,itistobereceivedinconfidencebytheCommission.
- d.
Thisinformationisnotreadilyavailableinpublicsources.

Publicdisclosureofthisproprietaryinformationislikelytocausesubstantialharmtothe competitivepositionofKairos,becauseitwouldenhancetheabilityofcompetitorsto providesimilarproductsandservicesbyreducingtheirexpenditureofresourcesusingsimilar projectmethods,equipment,testingapproach,contractors,orlicensingapproaches.This informationistheresultofconsiderableexpensetoKairosandhasgreatvalueinthatitwill assistKairosinprovidingproductsandservicestonew,expandingmarketsnotcurrently servedbythecompany.
- f.
Theinformationcouldrevealorcouldbeusedtoinferpriceinformation,costinformation, budgetlevels,orcommercialstrategiesofKairos.
- g.
Eachcomponentofproprietaryinformationpertinenttoaparticularcompetitiveadvantage ispotentiallyasvaluableasthetotalcompetitiveadvantage.Ifcompetitorsacquire componentsofproprietaryinformation,anyonecomponentmaybethekeytotheentire puzzle,therebydeprivingKairosofacompetitiveadvantage.
- h.
UnrestricteddisclosurewouldjeopardizethepositionofKairosintheworldmarket,and therebygiveamarketadvantagetothecompetitioninthosecountries.
