Palo Verde Nuclear Generating Station, Units 1 and 2 Docket Nos. STN 50-528, 50-529 and Independent Spent Fuel Storage Installation Docket No. 72-44 Renewed Operating License Nos. NPF-41, NPF-51 Notification of Closings of the Initial Transactions Under Beneficial Interest Sales Agreements Arizona Public Service Company (APS), on behalf of the Salt River Project Agricultural Improvement and Power District (SRP), submits this letter to inform the Nuclear Regulatory Commission (NRC) that the activities necessary to complete the closings of the initial transactions under the beneficial interest sales agreements referenced in Section III of Reference 1 have been completed. The information provided herein was provided to APS by SRP. The formal prior notice of the transaction, required by Section III of Reference 1, was submitted to the NRC by Reference 2.

The closings were effective December 8, 2021. At the time of the closings, with NRC consent and consistent with the description of the transactions in Reference 1, SRP acquired the lessor interests in leases of the Public Service Company of New Mexico (PNM) possession only interests in Palo Verde Nuclear Generating Station (PVNGS), Units 1 and 2. These lessor interests acquired by SRP were previously held by various financial institutions. Under the leases, PNM will continue to retain leasehold and control rights and responsibilities until the leases expire in 2023 for Unit 1 and 2024 for Unit 2.
