(1)Ihavereviewed the information described inparagraph (2)which issought to bewithheld, and I am authorized toapply forits withholding.

(2)Theinformation sought to bewithheld isprovided inAttachments 2 and3 to Holtec Letter 5025069,which contain Holtec Proprietary Information.

(3)Inmaking this application for withholding ofproprietary information of which itistheowner, Holtec International relies upontheexemption from disclosure setforth inthe Freedomof Infonnation Act("FOIA"), 5 USCSec. 552(b)(4) andthe Trade Secrets18 USC Sec.

Act, 1905, andNRCregulations 10CFRPart 9.17(a)(4), 2.390(a)(4), and 2.390(b)(1) for "trade secrets and commercial orfinancial information obtained from apersonand privileged or confidential" (Exemption 4). The material for which exemptionfrom disclosure ishere sought isall "confidential commercial information", and someportions also qualify under thenarrower definition of"trade secret",

within the meanings assigned tothose tenns for purposes of FOIA Exemption 4 in,respectively, Commission, 975F2d871 (DC Cir. 1992), and W G.roup v.FDA,704F2dl280 (DCCir. 1983).

a. Information that discloses a process, method, orapparatus, including supportingdata and analyses, where prevention ofits usebyHoltec's competitors without license fromHoltec International constitutesa competitive economic advantage over other companies;
b. Information which, if used by a competitor, wouldreduce his expenditure ofresourcesor improve hiscompetitive positioninthe design, manufacture, shipment, installation, assurance ofquality, or licensing ofa similar product.
c. Information whichreveals costor price information, production, capacities, budget levels, or commercial strategies of Holtec International, its customers, orits suppliers;
d. Information which reveals aspects ofpast, present, orfutureHoltec International customer-funded development plans and programs of potential commercial value toHoltec International;
e. Information which discloses patentable subject matter forwhich it may bedesirable toobtain patent protection.

Theinformation sought tobewithheld isconsidered tobeproprietary for the reasons setforth inparagraphs 4.b, 4d,and4.c above.

(5)Theinformation sought tobewithheld isbeing submitted totheNRC in confidence. Theinformation (including that compiled from manysources) is ofa sortcustomarily held inconfidence byHoltec International, andisinfact so held. Theinformation sought to be withheld has, to thebest ofmy knowledge andbelief, consistently beenheldinconfidence by Holtec International. No public disclosure hasbeenmade, anditisnotavailable in public sources. Alldisclosures to third parties, including anyrequired transmittals to theNRC, have beenmade, ormustbemade, pursuant to 2 of5

Itsinitial designation as proprietary infonnation, andthesubsequent steps taken to prevent its unauthorized disclosure, areassetforth inparagraphs (6) and(7) following.

(6)Initial approval ofproprietary treatmentofa document ismadebythe manager ofthe originating component, the person mostlikely tobeacquainted withthevalue andsensitivity oftheinformationinrelation to industry knowledge. Access tosuch documents within Holtec International islimited ona "need toknow" basis.

(;7)Theprocedure for approval ofexternal release ofsuch a document typically requires review bythestaff manager, project manager, principal scientist or other equivalent authority, by themanager ofthecognizantmarketing function (or his designee), andbythe Legal Operation, for technical content, competitive effect, anddetermination oftheaccuracy oftheproprietary designation. Disclosures outside Holtec International are limited toregulatory bodies, customers, andpotential customers, andtheiragents, suppliers, and licensees, andothers with a legitimate need for the information, andthen only in accordance withappropriate regulatory provisions or proprietary agreements.

(8)Theinformation classified asproprietary was developed andcompiled by Holtec International at a significant costto Holtec International.This information is classified as proprietary because itcontains detailed descriptions of analytical approaches andmethodologies not available elsewhere. Thisinformation wouldprovide other parties, including competitors, with information from Holtec International's technical database andthe results ofevaluations performed byHoltec International. A substantial effort has been expended byHoltec Intemational todevelop this information.

Release ofthis information would improve a competitor's position because it would enable Holtec's competitor tocopy ourtechnology andoffer it for sale incompetition with ourcompany, causing usfinancial injury.

Theinformation is part ofHoltecInternational's comprehensive spent fuel storage technology base, andits commercial valueextends beyond theo riginal development cost.

Thevalue ofthe technology base goes beyond theextensive physical database andanalytical methodology, andincludesdevelopment oftheexpertise to determine andapply the appropriate evaluation process.

Theresearch, development, engineering, andanalytical costscomprise a substantial investment oftime andmoney byHoltec International.

Theprecise value oftheexpertise todevise an evaluation process andapply thecorrect analytical methodology isdifficult toquantify, butitclearly is substantial.

Holtec International's competitive advantage belost ifits will competitors are able tousethe results ofthe Holtec International experience tonormalize or verify their own process or ifthey areable to claim an equivalent understanding bydemonstrating thatthey canarrive atthesame orsimilar conclusions.

Thevalue ofthis information toHoltec International wouldbelost if the information weredisclosed tothe public. Making such information available to competitors without their having beenrequired toundertake a similar expenditure ofresources would unfairly provide competitors witha windfall, anddeprive Holtec International ofthe opportunity toexercise its competitive advantage toseek an adequate return on its large investment indeveloping these very valuable analytical tools.
