On June 20, 1987, a meeting was held in Bethesda, Maryland to provide the NRC  !

sttff with information needed to assist it in making a determination with l regards to significant hazards considerations on the application to transfer ownership of Byron 2 and Braidwood 1/2 to a subsidiary of Commonwealth Edison.

Members of the NRC, the licensee, the licensee's attorney (Isham, Lincoln &

Peale) and the intervenor, Business and Professional People for the Public Interest (BPI), were present. Attendees are listed in Enclosure 1.

The NRC stated a concern with the licensee's application that if Option A were selected after five years, the subsidiary would not be considered an electric utility because its rates would not be regulated. The NRC referenced page 13 l

l of the Testimony of George P. Rifakes, submitted by letter dated February 12, 1987 from Richard 0. Wolf to Joe Scinto.

The licensee stated that Mr. Rifakes' testimony may be misleading and that the subsidiary's rates after five years must be approved by FERC. Therefore, the licensee concludes that the subsidiary is still considered an electric utility as defined in the NRC's regulations.

The licensee is expecting a decision form the Illinois Comerce Commission (ICC) during the week of July 6,1987 and will be given ten days to decide upon the ICC decision. The licensee is concerned that if the NRC offers a 1 prior hearing, NRC's decision will not be made before December 31, 1987 which is the date the agreements terminate if all parties have not agreed.

The representative from BPI, D. Cassel, stated some of his objections to the I licensee's proposal and recommended that the staff not notice the amendment as  !

a no significant hazards. He believes that the subsidiary, after five years, I

will not be an electric utility (depending on the option chosen). He also  ;

expressed concern that Commonwealth Edison may not, be able to " bail out" the subsidiary if the subsidiary is in financial difficulty. In general, many of his concerns have been submitted by letters dated April 22, 1987 and June 29, 1987.
