Attached pleaea find copies of a notification letter and associated planned press release that Siemens Power Corporation (SPC) is providing to its nuclear Industry customers. The notification and press release address the initiation of negotiations between Siemens AG, SPC's parent company, and British Nuclear Fuels Ltd. (BNFL) toward the founding of a new joint venture company. Although the negotiations are in an early stage, we wanted the NRC to be appropriately informed of this important potentialindustry development affecting one of its mejor materials licensees. 'SIEMENS October 14,1997 On Wednesday, October 15,1997, Siemens AG, our parent company, and British Nuclear Fuels Ltd. (BNFL) will announce the initiation of negotiations toward the founding of a new joint venture. Attached la en advanced copy of the planned press release.

l The objective of the new joint venture is to combine the nuclear industry activities of Sinmens/KWU with the uranium fuel activities of BNFL. It is envisioned that this joint venture, if successfully completed, will strengthen th position of both companies In the nuclear market internationally, it is the intention of the proposed joint venture to offer a full range of supplies and services to te3rators of nuclear power plants worldwide, to be a technology leader and to offer competitive vices as the industry adjusts to deregulation.

If negotiations are successful, Siemens Power Corporation Nuclear Division (SPC ND) will become an integral part of the new joint venture. SPC ND will continue to provide nuclear fuel and services in the US and Far East markets.

SIEMENS AND BNFL AGREE TO TALKS ON NUCLEAR CO OPERATION Siemens and BNFL today (October 15) announce their intention to enter into negotiations aimed at combining Siemens' nuclear business with BNFL's nuclear fuel business in a joint venturn company, initial indications are that such co-operation could be commercially advantageous for both companies, i

The envisaged new company would offer to the world market a broad scope of activities covering uranium procurement, nuclear fuel supply for a wide range of reactors, the provision of comprehensive reactor services and the intemational construction of new nuclear power plants and research reactors. The new company would begin with a combined turnover in excess of C900 million (DM 2.7 billion).

Commenting on the move, Siemens' Group President, Power Generation Group (KWU)

Adolf H0ttl said:"These talks are aimed at strengthening the position of both BNFL and Siemens in a competitive market place. Tne deregulation of the world's electricity markets is increasing the pressure on nuclear power plant operators to reduce their costs and increase plant availability. We want to explore whether a joint venture company will enable us to better meet our customers requirements by combining our technological at)d economic strengths."

BNFL Chief Executive John Taylor said:"Slemens and BNFL each have 40 years of experience in the nuclear business. These talks aim to evaluate the possible benefits of a merger which could lead to winning new business whilst reducing costs and enhancing the services we provide to our existing customers. Bringing together Siemens and BNFL would create a strong global nuclear venture with complementary products and technology."

The existing co-operation between Siemens and Framatome in Nuclear Power Intemational(NPI)in the field of pressurised-water reactors including the development of the European Pressurised Water Reactor (EPR) would be continued within the framework of the new company. BNFL's Sellafield-based Mixed Oxide (MOX) Fuel manufacturing business and BNFL's interest in Urenco Ltd. (enrichment business) are not included in these talks.

ii Notes to Editors BNFL's nuclear fuel business based at Springfields near Preston in Lancashire includes the supply of uranlum fuel for the UK's 8 Magnox stations and for British Energy's 7 AGR stations, it has also supplied fuel to the Sizewell B PWR, BNFL's fuel business has an annual tumover of approximately C240 m llion (DM 700 million). The business employs some 2,300 people engaged in nuclear fuel services.

Slemens' nuclear business includes the provision of services, modemization and safety L

upgrading of nuclear power plants (including WER reactors in Central and Eastern Europe),

the construction of new nuclear power plants and research reactors, and the provision of nuclear fuel. Besides the EPR Siemens is also developing a new generation of boiling water reactors, the SWR 1000. SI smens' nuclear business has an annual turnover of approximately DM 2 billion (E700 mill >-/, and timoloys some 4,100 people, including more than 700 in its U.S.
