I Reference is made to the Corporation's Application to the Commission, dated i

, April 8,1998, seeking the consent of the Commission to transfer control over l Applicant's interest in the above-referenced license to a holding company to be formed l

over Applicant.

Applicant hereby supplements said Application as follows:

In the second paragraph of Part ll of said Application reference is made to l certain statutory appraisal rights of Applicant's common stock shareholders. As a result of changes in the New YcA Business Corporation Law effective February 1998, Applicant's common stock shareholders will have no statutory appraisal rights as a result of the " Reorganization" described in said Application.

Therefore, the first sentence of said second paragraph is revised to read as follows:

" Pursuant to the Reorganization, outstanding shares of Applicant's common stock will be exchanged on a share-for-share basis for common stock of Holdco."

And, the first sentence of paragraph 3 of Part IV of said Application is revised to read as follows:

"At the time the Reorganization becomes effective, Holdco will become the sole holder of Applicant's common stock, and the i current holders of Applicant's common stock will become holders of the common stock of Holdco on a share-for-share basis."
