MILLSTONE NUCl. EAR POWER STATION, UNIT NO. 3 CHANGE IN OWNERSHIP SHARES

REFERENCE:

(1) letter from J. F. Opeka to Vincent S. Noonan, dated April 11, 1986 (2) letter from J. F. Opeka to Vincent S. Noonan, dated October 31, 1986 Your letter dated April 11, 1986, transmitted notification of a proposed minor change in the percentage of ownership for two of the fifteen utilities who are the licensees for Millstone Unit No. 3. The proposed change involved a transfer of ownershit shares as follows.

FROM TO OWNERSHIP INTEREST TO BE TRANSFERRED City of Burlington, The Connecticut I.ight 0.3215%

Vermont and Power Company (Cf.&P)

The City of Burlington' retains a 0.0435% ownership interest in the facility.

In your letter dated October 31, 1986, you supplemented this information by stating that the transfer results from Burlington's inability to pay its share l of the capital costs of the project since 1982 and you included additional information concerning the terms of the Sharing Agreement dated September 1, 1973.

l We,_have reviewed the conditions discussed by you in this letter which led to the proposed transfer of ownership shares. We agree that the proposed transfer of ownership interest of Burlington is within a range recognized by the AEC in the construction permit issued for Millstone 3 on August 5, 1974, (page 20-11 of the AEC Staff's Safety Evaluation Report, dated March 13, 1974, specifies a maximum percent ownership interest of 0.365 percent for Burlington.)

As a result of our review we have concluded that althouah the transfer of ownership shares from the City of Burlington, Vermont to the Connecticut light l

Opeka and Power Company will result in a transfer of control, the NRC gave prior approval for such action to take place by approving the Sharing Agreement entered into by the City of Burlington, Vermont and the other owners (see, Initial Decision of the Atomic Safety and licensing Board dated July 25, 1974, 8 AEC 187 (1974)). In this instance the transfer involves a very small percentage ownership interest and is in accordance with the approved Sharing Agreement; no further NRC review is needed. Powever, it is important that any such proposed transfers be brought to our attention, so that we may assure that they are in accordance with the approved Sharing Agreement.

We have determined that further NRC review is not required and therefore the transfer may take place based on this previous approval. Additionally, since the Millstone 3 operating license NPF-49 does not specify any maximum or minimum ownership interest of any existing licensee and the list of owners given in the license has not changed, no amendment to the operating license is required.
