Reference is made to the Registrant's 1985 Form 10-K in item 1 under Fuel Supply-Nuclear, Regulation and Rates-Regulation, in item 2 under Construction Program and in item 8 under Note 9 to Financial Statements.

Reference is also made to the Registrant's Form 10-Q for the quarters ended March 31, 1986, June 30,1986, and $eptember 30,1986 in Part II, item 5, and the Registrant's For:ms 8-K dated April 18,1986, June 6,1986, July 1, 1986, and July 11, 1986.

The Registrant, a subsidiary of Texas Utilities Company (Texas Utilities), is constructing two nuclear-fueled generating units at the Comanche Peak Steam Electric Station. As a result of the Registrant's regular annual review of its construction program, 1

the Registrant estimates that all reanalysis, reinspection, rework and testing activity prerequisite to the loading of fuel in Unit 1 of Comanche Peak will be complete in early 1983.

Based on this

estimate, the Registrant estimates that commercial operation of this unit will be achievable in early 1989.

The Registrant also estimates that Unit 2 will not be ready for commercial operation until af ter the 1989 summer peak season.

If licensing approvals are obtained so as to permit commercial operation of these units at these times, the total cost for the Registrant's share of the plant, excluding allowance for funds used during construction (AFUDC),

is estimated to be $4.63 billion. The Registrant's estimated cost for its share, including AFUDC, is $6.70 billion or aLout

$3,300 per kilowatt.

The total cost of the plant, excluding

AFUCC, is estimated to be

$5.27 billion.

Because of uncertainties regarding payments by the other owners of Comanche Peak of their share of the remaining construction costs, no est irosta of the amount of AFUDC that may be attributable to their Interests in the plant has been made.

Failure to secure timely and favorable regulatory approvals or further delays occasioned by additional reanalysis, reinspection or rework will increase the cost of the plant and will likely increase financing requirements.

l The Registrant had previously estimated in November,1985, that l

commercial operation of Unit I would be achievable by mid-1987 and Unit 2 by the end of 1987 If the neces:ary licensing approvals were obtained.

The total cost of the Registrant's share of the plant was estimated at that time to be $4.640 billion, including AFUDC, or $2,297 per kilowatt. However, in Aprli, 1986, the Registrant announced that such schedule was no l

longer achievable and in July, 1986, announced that the I

reanalysis, reinspection, corrective action program, and the hearing process before the Atomic Safety and Licensing Board i

could not be completed in time for connercial operation of Unit 1

The Registrant has also indicated that it does not plan to include any additional Comanche Peak costs in a rate increase request until Unit 1 is ready for commerclot operation and has stated that it believes the initial rate increase that will be necessary to place Unit 1 Into base rates can be held to about 10%.

As a further part of the Registrant's regular annual review of its construction program, changes have also been made regarding three of the Registrant's lignite-fueled generating units. The Registrant's Resource Plan now provides that Unit 2 of the Twin i

Oak Plant will go into service in 1993 instead of 1992 and the Forest Grove Unit will go into service in 1994 instead of 1993 The Registrant will not build a fourth unit at its Martin Lake Plant, which had previously been scheduled for operation in 1994.

in a related development, Texas Utilities announced that it estimates expenditures for utility property, including AFU0C, but not including nuclear fuel, will be $1.6 billion for 1987,

$1.5 billion for 1988, and $1.3 billion for 1989 Such estimates represent an increase of $400 million from the previous estimate for 1987 and an increase of $200 million for 1988.

There has been no previously announced estimate for 1989.

Such estimates do not include construction costs for Twin Oak Unit 1 which will be project financed during construction by others.
