Page 2 Section B - Supplies or Services and Prices / Costs B.1 Brief Description of Work Entitled " Technical Assistance in Developing and Implementing Quality Assurance Initiatives" The Contractor shall provide expert knowledge in the fields of nuclear power technology; nuclear quality assurance as applied to design',

ccnstruction, test and startup, preoperational testing, operations, traintenance, and modifications; managemant audits and appraisals of large public and/or private corporations; regulatory analyses; quality assurance programs and practices in the U. S. nuclear and non-nuclear industry and foreign nuclear programs; the NRC's quality assurance requirements and Inspection Program; and the Codes and Standards applicable to the nuclear industry.. The Contractor will assist the NRC in the development and implementation of revised programs for achieving and assuring the quality of the design, construction, opera tion, and maintenance of nuclear facilities and activities.

These program revisions derive their impetus from conclusions and recommendations identified in the recently completed study of quality 1

assurance mandated by Public Law 97-415 and described in NUREG-1055,

" Improving Quality and the Assurance of Quality in the Design and Construction of Nuclear Power Plants," and from subsequent Commission meetings on quality assurance.

B.2 The total cost ceiling for this contract is $1,698,002.00, whereby individual task orders may be issued.

Each task order will be individually negotiated and will also contain a cost ceiling.)

Background

The NRC Authorization Act for Fiscal Years 1982 and 1983 (Public Law 97-415) required the NRC to conduct a study of existing and alternative programs for improving quality, quality assurance (QA) and quality control (QC) in the design and construction of commercial nuclear power plants. That Congressienally-mandated QA study has been completed, and a staff report on the study was forwarded to Congress in April 1984.

The report was published and made available to the public in May 1984 as NUREG-1055 (see C.4 References).

C.2 Meetings and Travel Prior to any trip teken during the period of performance under this contract, the Contractor shall obtain verbal or written approval of the NRC Project Officer.

Each Task Order will specify any required trav'el to nuclear power plant sites throughout the United States, NRC offices in Bethesda, Maryla~nd, NRC Regional Offices, and any other location as required for performance of work detailed in each Task Order.

F.1 Reports, Documentation and Other Deliverable End Items F.1.1 Requirements for Use of Microcomputers by NRC Contractors i

The Contractor shall refer to Attachment No. 7 for ffifonnation on microcomputer use req 0irements.

F.1.2 Monthly Letter Status Report By,the 15th day after the end of each calendar month, the Contractor shall submit two copies of a monthly letter status report to the NRC Project Officer and one copy to the NRC Contracting Officer.

This report shall,.as a minimum', (1) list-all task orders issued or completed during the reporting period (the ' previous month), (2) sumarize the work perfonned on all of the active Task Orders during the reporting period, (3) detail of all direct and indirect costs incurred for each Task Order during the reporting period as well as cumulative balance during entire Task Order period, (4)' for each Task Order, name of, individual performing work and. number' of hours expended, and (5) cumulative balance of total direct and indirect costs for all Task Orders issued during the rentract period.

Any costs associated.with an NRC lie:ensee must be separately identified for each licensee and accounted for as above.

The breakdown of costs must track with the corresponding voucher billings.,

Section G - Contract Administration Data G.1 Task Orders Task Orders for services under this contract shall be issued at the sole option of the NRC, and it is understood that NRC undertakes no obligation to issue Task Orders hereunder. Additionally, NRC reserves the right to withdraw a proposed Task Order at any time prior to its fomal award.

Contractor shall deliver to the NRC Contracting Officer a written technical Task Order Proposal that provides, when applicable, the following:

(1) A discussion of the scope of work requirements to substantiate 'the Contractor's understanding of the requirements of the Task Order and his proposed method of approach to meet the ob{ective of 'the order.

(2) Resumes for professional personnel proposed to be utilized in the a

performance of any resulting task order.

Include educational background, specific pertinent work experience and a list of any pertinent publications authored by the individual.

(3) Identification of administrative support personnel and/or facilities that are needed t'o assist the professional personnel in completing work on the task order.

(4) Identification of " Key Personnel" and the number of staff hours that will be connitted to completion of work on the Task Order.

(5) Description of any significant former or cur' rent contractual and crganizational relationships of the offeror, its employees, consultants or expected subcontractor (s),

with industries regulated by the NRC, e.g.,

utilities, etc., and suppliers

thereof, e.g.,

architect engineers, reactor manufacturers, or applicants / licensees, etc., that might give rise to an apparent or

G.1.3 Cost Proposal The Contractor shall also submit a cost proposal with each Task Order technical proposal, utilizing the Standard Form 1411, Contract Pricing Proposal.

Each Task Order cost proposal shall be fully supported by cost and pricing data adequate to establish the reasonableness of the proposed amounts, including:

(2) Indirect cost rates, general and administrative, fringe, overhead, and extensions thereof.-

However, in some circua" tances, it may be necessary for the Contractor to connence work before he has' submitted his proposal and before a s.,

final cost and fee has been agreed upon and.a definitized Task Order is issued.

Accordingly, when the NRC Contracting Officer =so authorizes, the Contractor shall, : within twenty-four hours (or as otherwise stated) of receipt of verbal Task Order Request for Proposal, proceed with the~ work subject to an. agreeable limitation (basedontelephonicnegotiations) i Where the Contractor is authorized as indicated above to commence work prior to the definitization of 'a Task Order, the NRC Contracting Officer, within thirty (30) days or such additional ' period as may be mutually agreed upon after receipt'of the contractor's proposal, shall either-(1) Notify the Contractor of the need for further negotiations. When an agreement on cost and ' fee is reached, the NRC Contracting Officer shall then definitize the Task Order.

(2)Definitize the Task Order, thereby accepting the Contractor's proposed price.

Technical direction must be within the general scope ' of work stated in the contract.

The Project Officer does not have, the authority to and may:not issue any technical direction which:

1.

Constitutes an assignment of additional work outside the i

general scope of the contract.-

2.

Constitutes a change as defined in the clause of the General Provisions, entitled " Changes."

3.

In any way causes an increase or decrease in the total estimated contract cost, the fixed fee, if any, or the time j

required for contract performance.

4.

Changes any of the expressed terms,. conditions or specifications of the contract.

ALL TECHNICAL DIRECTIONS SHALL BE ISSUED IN WRITING BY THE PROJECT:

OFFICER OR SHALL BE CONFIRMED BY SUCH PERSON IN WRITING WITHIN TEN (10) WORKING DAYS AFTER VER8AL ISSUANCE.

A. copy of said written direction shall be submitted to the Contracting Officer.

The Contractor shall proceed promptly with the-performance of technical directions duly issued by the Project officer in the manner prescribed by this article and within.such person's authority under the provisions of this article.

If, in the opinion of the Contractor, any instruction or direction issued by the Project Officer is within one of the categories as defined in B(1) through (4) above, the Contractor shall not proceed but shall notify the Contracting Officer in writing within five (5) working days after the receipt of any such instruction or direction and shall request the Contracting Officer to modify the contract accordi ly.'

Upon receiving such notification from the Contractor, the tracting Officer shall issue an appropriate contract modification or advise the' Contractor in writing that, in the Contracting Officer's opinion, the technical direction.is within the scope of this article and does not constitute a change under the Changes Clause.

D.

Any unauthorized comunitment or direction ' issued by' the Project Officer may result in an unnecessary delay in the Contractor's perforernce, and may even result in the Cor. tractor expending funds for unallowable costs under i.he contract.

(b) Determinations of interest due will be made in accordance with the provisions of the Prompt Payment Act and Office of Management and e

H.6 Proprietary Data and Confidential Infonnation In connection with the per'formance of the work under this contract, the Contractor.may be furnished, or may develop or acquire, proprietary data (trade secrets) or confidential or privileged -

technical, business, or financial infonr.ation, including Commission plans, policies, reports, financial plans, internal data protected by the Privacy Act of 1974 (P.L.93-579), or other infonnation which has s

not been released to the public or has been determined by the Commission to be otherwise exempt from disclosure to the public.

Contractor agrees to hold such information in confidence and not to directly or indirectly duplicate, disseminate, or disclose such information in whole or in part to any other person or organizat'icn t

except as may be necessary to perform the work under this contract.

Contractor agrees to return such information to the Commission or otherwise dispose of it either as the Contracting Officer may from time to time direct.during the progress of the work or in any event as the Contracting Officer shall direct upon completion or termination of this contract.

Failure to comply with this clause shall be grounds for termination of this contract.

H.7 Security (OMB Clearance Number 3150-0112)

(a)

It is the Contractor's ' duty to safeguard Restricted Data, Formerly Restricted Data, and other classified information.

The Contractor shall, in ac.:ordance with the Commission's security regulations and requirements, be responsible for safeguarding Restricted Data, Fonnerly Restricted Data, and other classified information and protecting against sabotage,, espionage, loss and theft, the classified documents and material *in the Contractor's possession in connection with the performance of work under this contract.

Except as otherwise expressly provided in this contract, the Contractor shall, upon completion or tennination of this contract, transmit to the Commission any classified matter in the possession of the Contractor or any person under the Contractor's control in

If retention by the Contractor of any classified matter is required after the completion or termination _of the contract and such retention is approved by the Contracting Officer, the Contractor will complete a certificate of possession to be furnished to the Commission specifying the classified matter to be retained.

The certification shall identify the items and types or categories of matter retain 2d, the conditions governing the retention of the matter and their period of

or removed from the Restricted Data category pursuant to section 142 of the Atomic Energy Act of 1954, as amelded.

(d)

Definition of Formerly Restricted Data.

Te tem "Formerly Restricted Data." as used in this clause, means all data removed from the Restricted Data category under section 142-d. of the Atomic Energy Act of 1954, as amended.

Security Clearance Personnel.

The Contractor shall not permit any individual to have access to Restricted Data, Fomerly Restricted 4

Data, or other classified infomation, exc.ept in accordance' with 'the Atomic Energy Act of

1954, as amended,. and the Comission's regulations or requirements applicable to. the particular -type; or category of classified infcrmation to which access is rehuired.

(f)

Criminal Liabilities.

It is understood (hat disclosure of Restricted Data, Formerly - Restricted Data, or other classified j

infonnation relating to the work or services ordered hereunder to any pe'rson not entitled to receive it, or failure to safeguard any Restricted Data, Formerly Restricted Data, or any other classified j

matter that may come to the Contractor or any person under the Contractor's control in connection with work under this contract, may subject the Contractor, its agents, employees, or subcontractors to criminal liability under the laws of the United States.

(a)

Purpose.

The primary p'urpose of this clause is to aid in ensuring.that the Contractor:

(1) Is not placed on a conflicling role because of current or. planned interest (financial, con'tractual, organizational, or otherwise) which relate to the work ynder this contract, and (2) does not obtain an unfair competitive advantage over-other parties by virtue of its performance of this contract.

(b)

Scope.

The restrictions described herein shall apply to

performance or participation by the Contractor as _. defined in 41 CFR ~

520-1.5402(f) in 'the activities covered by this clause.

(c)

Work for Others.

Notwith' standing any other provision of this '

centract, during the term of this-contract, the Contractor agrees to forgo entering into consulting or other contractual arrangements with any firm or organization, the result of which may. give rise 'to a conflict of interest with respect to the' work being perfomed under this contract. The Contractor shall ensure'that all. employees who are employed full time under this contract and employees designated as key personnel, if any, under this contract abide by the provision of this clause.

If the Contractor believes with respect to itself or any such employee that any proposed consultant or other contractual arrangement with any fim or organization may -involve a potential, conflict of interest, the Contractor shall obtgin the written approval -of the Contracting Officer' prior to execution of such contractual arrangement.

v (d) Disclosure after award.

(1) The Contractor warrants that to the best of its knowledge and belief and except as othe,rwise set forth in this contract, it does not have any o nizational conflicts of interest, as ' defined in 41 CFR 20-1.5402 a).

The Contractor agrees that if after award it discovers organizational conflicts of interest with respect to this contract, it shall make an imediate and. full disclosure in writing to the Contracting Officer.

This statement shall include.

The terms " contract," " Contractor," and

Remedies.

For breach of any.of the above prescriptions or for intentional nondisclosure or misrepresentation of any relevant interest required to be disclosed concerning this contract or for such erroneous representations as necessarily imply bad

faith, the Government may terminate the contract for default, disqualify the 1

Contractor from subsequent contractual efforts,'.and pursue.other

- remedies as may be permitted by law or this contract.

(a) Upon receipt of a. notice of protest (as defined in 33.101 of the FAR).

the Contracting Officer may, by written order to the Contractor, directethe Contractor to stop performance of the work called for by this contract. "*The order shall be specifically identified as a stop-work order issued under this clause.

Upon receipt of the order, the Contractor shall immediately comply i

with its terms and take all reasonable steps to minimize the. incurrence of costs allocable to the work covered by the o;-der during the period _ of work l

stoppage. Upon receipt of the final decision in the protest, the Contracting Officer shall either--

(1) Cancel the stop-work order; or (2) _ Terminate the wors: covered by the order as provided in the Termination clause of this contract.

(b) If a stop-work order issued under _ this clause is canceled either before or after a final decision in the protest, the Contractor shall resume work.

The Contracting Officer shall make an equitable adjustment in the i

delivery schedule, the estimated cost, the fee, or a combination thereof, and in any other terms of. the contract that may be affected, and the' contr1tet shall be modified, in writing, accordingly, if--

(1) The stop-work order results in an increase in the time required for, or in the Contractor's cost properly allocable to, the performance of any part of this contract; and

(2) The Contractor requests an adjustment within 36' days after the end k

of the period of work stoppage; provided, that if the Contracting Officer decides the facts justify the action, the Contracting Officer may receive and ac't upon the request at any time before final payment under this contract.

(c) If a stop-work order is not canceled and the work covered by the order is terminated for the convenience of th'e Government, the Contracting Officer shall allow reasonable costs resulting from the stop-work order in arriving at the termination settlement.

(d) If a stop-work order is not canceled and the work covered by the order is terminated for default, the Contracting 0fficer shall allow, by equitable adjustment or otherwise, reasonable costs resulting from.the stop-work order.

(e) The Government's rights to terininate this contract at any time are not affected by action taken under this clause.
