ARTICLE I - DEFINITIONS A. The term " Commission" means the United States Nuclear Regulatory

Comm.ission or any duly authorized representative thereof, including the Contracting Officer, except for the purpose of deciding an appeal under the article entitled " Disputes."

B. The term " Contracting Officer" means the person executing this cooperative agreement on behalf of the Government and includes his successors or any duly authorized representative of any such person.

C. The term " Contractor" means the Applied Research Laboratories, University of Texas, Austin entering into this cooperative agreement.

D. The term " Technical Representative" means the person in NRC Headquarters who is responsible for the technical aspects of this cooperative agreement.

ARTICLE II - SCOPE OF WORK The Applied Research Laboratories - University of Texas Austin (ARL:UT) and the Commission shall engage in a cooperative agreement to conduct experiments to quantify the performance of a sonar intruder detection system to detect a waterborne, human intruder in a nuclear facility intake canal which contains other " human-size" targets. System performance will be expressed in terms of the probability of detection Ord ruft:Ere and false alarm rates.

VW The full scope of this cooperative agreement is set forth in Attachment A.

STATEMENT OF WORK, which is attached hereto and by this reference made a part of this cooperative agreenent.

ARTICLE III - PERIOD OF PERFORMANCE A. The period of performance hereunder shall commence on June 21, 1986, and shall continue through September 30, 1986, unless sooner terminated or extended, as hereinafter provided.

B. The ARL:UT and the Commission, by mutual agreement, may extend the period of performance through the execution of supplemental agreements to this cooperative agreement.

C. Either party may terminate this cooperative agreement, in whole or in part, upon 60 days written notice to the other party. If this cooperative agreement is so terminated, the Commission shall be liable only for payment in accordance with the consideration and payment provisions of this cooperative agreement for services rendered prior to the effective date of termination.

ARTICLE IV - CONSIDERATION (FULLY FUNDED COST REIMBURSEMENT)

A. Estimated Cost and Obligation

1. The presently estimated cost of the work under this contract is

$ 44,924 .

2. The amount presently obligated by the Government with respect to this contract is $ 44,924 .
3. The ARL:UT will contribute, as a minimum, an amount or in kind services equal to the Comission's contribution in 1. above.

B. Payment

1. The Comission shall render payment to ARL:UT in approximately 30 days after submission of proper and correct vouchers.
2. The ARL:UT should address the original voucher with four copies to:

ARTICLE VI - AVAILABILITY OF DATA Any and all data collected, pursuant to this cooperative agreement by either party alone or jointly, shall be available in full to the other party. All data collected by the ARL:UT, pursuant to this cooperative agreement, shall be sent to Mr. Robert F. Skelton, U.S. Nuclear Regulatory Commission, Division of Safeguards, Office of Nuclear Material Safety and Safeguards, Washington, D.C.

ARTICLE VII - Dissemination of Contract Information (OMB Clearance Number 3150-0112)

The ARL:UT shall not publish, permit to be published, or disseminate to the public any information, oral or written, concerning the work perfomed under this contract without the prior written consent of the Contracting Officer. .Two copies of any information proposed to be published or disseminated shall be submitted to the Contracting Officer. Failure to comply with this clause shall be grounds for temination of this contract.

4 ARTICLE VIII - Private Use of Contract Information and Data Except as otherwise specifically authorized by publication of contract work of this contract, or as otherwise approved by the Contracting Officer, infomation and other data developed or acquired by or furnished the Contractor in the performance of this contract, shall be used only in connection with the work under this contract.

ARTICLE IX - Proprietary Data and Confidential Information In connection with the performance of the work under this contract, the Contractor may be furnished, or may develop or acquire, proprietary data (trade secrets) or confidential or privileged technical, business, or financial infomation, including Commission plans, policies, reports, financial plans, internal data protected by the Privacy Act of 1974 (P.L.93-579), or other infomation which has not been released to the

, public or has been detemined by the Comission to be otherwise exempt from disclosure to the public. Contractor agrees to hold such infomation in confidence and not to directly or indirectly duplicate, disseminate, or disclose such information in whole or 1

in part to any other person or organization except as may be necessary to perform the work under this contract. Contractor agrees to return such infomation to the Comission or otherwise dispose of it either as the Contracting Officer may from time to time direct during the progress of the work or in any event as the Contracting Officer shall direct upon completion or temination of this contract. Failure to comply with this clause shall be grounds for temination of this contract.

ARTICLE X - Examination of Records The ARL:UT agrees that the Comission and the Comptroller General of the United States or any of his duly authorized representatives shall, until the expiration of three (3) years

after final payment under this cooperative agreement, have access to and the right to examine any directly pertinent books, documents, papers, and records involving transactions related to this cooperative agreement.

ARTICLE XI - Officials Not to Benefit

' No member of or delegate to Congress, or resident comissioner, shall be admitted to any share or part of this cooperative agreement, or to any benefit that may arise therefrom; but this provision shall not be construed to extend to this cooperative agreement if made with a corporation for its general benefit.

ARTICLE XII - Covenant Against Contingent Fees The ARL:UT warrants that no person or selling agency has been employed or retained to solicit or secure this cooperative

agreement upon an agreement or understanding for a commission, percentage, brokerage or contingent fee, excepting bona fide employees or bona fide established connercial or selling agencies maintained by the State for the purpose of securing

' business. For breach or violation of this warranty the Federal Government shall have the right to annul this cooperative agreement without liability or in its discretion to deduct from the cooperative agreement without liability or in its discretion to deduct from the cooperative agreement price or consideration, or otherwise recover the full amount of such commission, percentage, brokerage, or contingent fee.

ARTICLE XIII - Convict Labor In connection with the performance of work under this cooperative agreement, the ARL:UT agrees not to employ any person undergoing sentence of imprisonment at hard labor.

ARTICLE XIV - Nondiscrimination The ARL:UT agrees to comply with the Commission's Regulation (Part 4 of Title 10, Chapter 1, Code of Federal Regulations), as amended, effectuating the provisions of Title VI of the Civil Rights Act of 1964 and Title IV of the Energy Reorganization Act of 1974, as amended.

ARTICLE XV - EQUAL OPPORTUNITY The State agrees not to discriminate against any employee or applicant for employment because of race, color, religion, sex, or national origin.

ARTICLE XVI - AFFIRMATIVE ACTION FOR SPECIAL HANDICAPPED WORKERS The State agrees not to discriminate against any employee or applicant because of physical or mental handicap.

ARTICLE XVII - Contractor's Duty to Safeguard Sensitive Information In the perforrence of the work under this Agreement, the Contractor shall, in accordance with Nuclear Regulatory Commission (NRC) security regulations and reouirements, be responsible for safeguarding Sensitive Information and protecting against unauthorized disclosure, loss, and theft, the Sensitive Information in the Contractor's possession in connection with the performance of work under this Agreement.

The Contractor agrees to comply with all security regulations and requirements ~of the NRC. Except as otherwise expressly provided for in this Agreement, the Contractor shall, upon completion or termination of this Agreement, transmit to the NRC any Sensitive Information in the possession of the Contractor or any person under the Contractor's control in connection with perfomance of this Agreement.

Applied Research Laboratories must provide the Division of Security with information relative to its proposed security measures for the protection of sensitive unclassified information in conformance with the regulations contained in NRC Manual Chapters 2101 and 2301 and their applicable Appendix Parts.

Definition:

Sensitive Information -- includes Proprietary Information, Safeguards Information, Naval Nuclear Propulsion Infornation, and other information withheld from public dissemination under the Freedom of Information Act, Privacy Act or Atomic Energy Act and information not exported to foreign countries or prohibited to be disclosed to foreign countries. It also includes 4

sensitive unpublished and otherwise unavailable fuel cycle information relating to the technology of enrichment or reprocessing.

ATTACHMENT A STATEMENT OF WORK SONAR INTRUSION DETECTION TEST l B&R: 50-19-02-00 FIN: D1050-6 I

I. INTRODUCTION AND GENERAL BACKGROUND The Nuclear Regulatory Comission (NRC) staff is attempting to detemine the l effectiveness of a sonar underwater intrusion detection system to be used at an i NRC licensed facility. Since the NRC has not previously reviewed or approved l

such a system, it would be in both the licensees and the NRC's best interests to have a third party conduct experiments to quantify the performance of a l waterborne intruder detection system. This testing may also have broader generic applications to the NRC in connection with possible changes in the design basis threats as defined in 10 CFR Part 73.

- II. OBJECTIVE The objective of this work is to conduct experiments to quantify the performance of a sonar intruder detection system to detect a waterborne, human I intruder in a nuclear facility intake canal which contains other " human-size" targets. System performance will be expressed in tems of the probability of l detection ;;d ::P:::: and false alam rates. j W )

III. WORK REQUIR D l

TASK 1 - Test Plan Applied Research Laboratories - University of Texas, Austin (ARL:UT) shall develop a test plan which will supply the above mentioned statistical data in tems of probability of detection =d ;; tun and false alam rates. A draft ,

of this plan will be submitted to the NRC Project Officer for review and approval. {

TASK 2 - Conduct of Test ARL:UT will travel to the St. Lucie Power Plant located in Florida on such a schedule as to allow for the necessary site access, safety procedures, and ARL:UT shall conduct a setup and calibration of test pretest meeting with Florida Power and Light monitoring equip (ment.FP&L) to explain the testing /

procedures and to coordinate other activities. ARL:UT shall conduct the necessary test of the sonar equipment for at least a period of seven (7)

l TASK 3 - Data Analysis Following completion of the site tests, ARL:UT personnel will analyze the results as specified in Part II.

TASK 4 - Reporting Requirements 1 l

When the data from the test have been analyzed, ARL:UT will prepare a final report for submission to NRC. ARL:UT personnel will travel to the NRC offices in Silver Spring, Maryland, to review the test, to discuss the results, and to i

deliver a draft of the final report. Following this meeting, the report will be revised reflecting NRC coments and a final report will be issued.

TASK 5 - Deliverables The following items will be provided to the NRC during the course of this agreement: l 1

1. a test plan as discussed in task #1,
2. an oral presentation of test results, and
3. a final report which describes the testing procedures and which quantifies the perfomance of the sonar intruder detection system in terms of the j

probabilities of detection ::' :::: ::d false alam rates, and provide

findings and recommendations regarding possible equipment or procedural improvements on or before September 30, 1986.

TASK 6 - SUPPORT REQUIREMENTS Twenty-four hour a day access shall be provided by FP&L as well as a minimum of four qualified scuba divers for the entire period of tests (or as needed).

Testing personnel shall supply any additional divers as necessary. Personnel associated with this agreement (except divers) shall act strictly as test coordinators, observers, and data takers and will not operate the intrusion 1 detection equipment. The FP&L will supply operators from their existing guard services during the test period and install in the canal the necessary simulations to duplicate the final installed barriers. The FP&L will also have a representative of the sonar equipment vendor present during the period of actual testing to repair any failed equipment.

TASK 7 - TECHNICAL DIRECTION RobertF.Skelton,(301)427-4770, is designated the NRC Project Officer (PO) for the purposes of assuring that the services required under this agreement are delivered in accordance herewith. All technical instructions to the perfoming organization shall be issued through the NRC P0. As used herein, technical instructions are those which provide details, suggest possible lines of inquiry, or otherwise complete the general scope of the work. Technical instructions shall not institute new assignments or changes of such a nature as to justify an adjustment in the cost or performance period of the agreement.

TASK 8 - QUALITY ASSURANCE I All reports, including those which do not contain numerical analyses, must be reviewed by the ARL:UT's management and approved with two signatures, one of which is for the ARL:UT's management at a level above the project officer.

When revisions of those reports are issued, a section must be included in the revised report to document dates, reasons, and scope of all changes made since the issuance of the original performing organization's approved report.

NRC has the option of appointing a Peer Group to review the draft report and  ;

make changes to the final report. The ARL:UT's may recommend candidates of the Peer Group for approval by the NMSS P0. In the occasion of dissent in the content of the final report, the dissenting party will have the option of stating its viewpoint and findings in a section of the report.

TASK 9 - SAFEGUARDS INFORMATION The information and data collected during this agreement has been determined to be Safeguards Information as defined in NRC MC 2101, Appendix Part I and shall 4 be protected against unauthorized disclosure.
