Reference is made to the Registrant's 1985 Form 10-K in Item i under Fuel Supply-Nuclear and Regulation and Rates-Regulation, in item 2 under Construction Program and in item 8 under Note 9 to Financial Statements. Reference is also made to the Registrant's Form 10-Q for the quarter ended March 31, 1986 in Part II, item 5 and the  !

Registrant's Form 8-K dated June 6, 1986.

, The Registrant, a subsidiary of Texas Utilities Company (Texas I Utilities), is constructing two nuclear-fueled generating units at the Comanche Peak Steam Electric Station. The Registrant, Texas Municipal Power Agency (TMPA), Brazos Electric Power Cooperative, Inc. (BEPC), and Tex-La Electric Cooperative of Texas, Inc.

are the owners of 87 5/64, 6.2%, 3.8% and 2 1/64

I interests, respectively, in the Comanche Peak Station under the l terms of a Joint Ownership Agreement ( Agreement) which provides i that the Registrant is the Project Manager for Comanche Peak. As previously reported, on May 29, 1986, the Registrant filed suit )

] against TMPA, BEPC and Tex-La because of controversies which exist j under the Agreement with respect to the obligations of the parties.

4 On June 18, 1986 TMPA and Tex-La filed suit in the 98th Judicial District Court of Travis County, Texas against the Registrant and i Texas Utilities. The petition asserts various causes of action,

} including a number of alleged breaches of the Agreement by the Registrant and violations of the Texas Deceptive Trade Practices J Act (Act). TMPA and Tex-La ask for racision and modification of the Agreement and payment for damages, including treble damages based upon violation of the Act. The Registrant and Texas Utilities intend to vigorously contest this suit.

Ori June 19, 1986, BEPC filed suit in the 345th Judicial District Court of Travis County, Texas against the Registrant, Texas Utilities and Texas Utilities Mining Company and Texas Utilities Services Inc., also subsidiaries of Texas Utilities (Defendants).

BEPC alleges that the Defendants have breached the Agreement, certain implied warranties and fiduciary duties, and have been 4

grossly negligent, acted with willful misconduct and have violated the Act and Texas and federal securities laws. BEPC asks for an i

injunction against efforts by the Defendants to recover additional

payments, recision and reformation of the Agreement and payment for l damages, trebled pursuant to the Act. BEPC alleges actual damages

! to date of at least $216 million. The Defendants Intend to vigorously contest this suit.
