As a result of the meeting on February 9,

1988, between All Chemical Isotope Enrichment Inc.

(AlChemIE) and the Nuclear Regulatory Commission (NRC) additional information was requested by the NRC for A1ChemIE's applications pursuant to 10CFR Part 50.

In partial response to NRC's requests please find enclosed six (6) copies each of AlChemIE's current stockholder list and its contract with the Department of Energy (DOE) for the sale of the centrifuge equipment at the Gas Centrifuge Enrichment Plant (GCEP) located in Piketon, Ohio.

The AlChemIE stockholders list is submitted in response to NRC's concerns relative to foreign ownership.

As noted from the list the first ten (10) stockholders own 80% of the stock.

All of these stockholders are U.S.

citizens and six of these participate directly in the day-to-day operation of AlChemIE.

To the best of our knowledge the only foreign interest would be the ISOTEC, Inc. stock.

ISOTEC, Inc. is owned by Matheson, a U.S.

company.

However, Matheson is owned by UGI, a U.S.

company and Nippon Sanso, Ltd., a Japanese firm.

The A1ChemIE/ DOE contract is submitted in response to NRC's j

concerns relative to the decontamination and disposal of all classified and uranium contaminated equipment.

As stated in Article 7 of the contract, AlChemIE has this responsibility.

'ismadeandenteredintoonthisthe(kd day of This Agreern (2 # d 6t./ 1987, by and between the UNITED STATES OF AMERICA (hereinafter referred to as the "Government"), acting through the SECRETARY OF ENERGY (hereinafter referred to as the "Secretary"), the statutory head of the DEPARTMENT OF ENERGY (hereinafter referred to as "DOE"), and All Chemical Isotope Enrichment, Inc., a Tennessee corporation (hereafter referred to as "AlChemIE").

L WHEREAS, the DOE terminated its Gas Centrifuge Enrichment Program in June 1985, and, es a result, the assets of the gas centrifuge program became surplus to the needs of DOE, and WHEREAS, DOE desires to mitigate the significant expense of maintaining, disassembling, transporting, decontaminating, and disposing of equipment which is now of no use to it, and WHEREAS, DOE published on April 7, 1986, a notice in the Federal Register (Vol. 51, No 66) seeking Expressions of Interest from the private sector for participation in DOE's uranium enrichment program, and WHEREAS, AlChemIE submitted a proposal to utilize gas centrifuge technology and equipment to enrich stable, non-fissile isotopes for medical, industrial, and research applications, and /

WHEREAS, the A1ChemIE response to said Request for Expressions of-Interest was chosen by DOE on July 24, 1986, as a proposal meriting further discussion, and WHEREAS, DOE and A1ChemIE discussed this proposal from July 1986, through October 1986, ascertaining the merits thereof and the require-ments necessary to transfer classified DOE technology and equipment-to the private sector, and WHEREAS,onNovember5,1986,DOEpublished1(theCommerceBusiness Daily a Request for Proposals to acquire and utilize gas centrifuge technology and the surplus centrjfuge program assets, and AlchemIE responded to said Request For Proposals, and WHEREAS, the parties have reached agreement on the terms and

4 conditions for transfer of the equipment, and WHEREAS, this Agreement is entered into pursuant to the authority of the Department of Energy Organization Act (42 VSC 67101 ET SEQ), the AtomicEnergyActof1954,asamended(42USC52011ETSEQ)andother applicable law.

NOW, THEREFORE, DOE and AlchemIE agree as follows:

1.

Parties. The parties to this Agreement are the Department of Energy (DOE) and All Chemical Isotope Enrichment, Inc. (AlChemIE).

2.

Conveyance of Surplus Gas Centrifuge Equipment.

A.

00E does hereby convey to AlchemIE the exclusive contractual.right to acquire ownership _of the surplus gas centrifuge program equipment delineated in Attachment I hereto, which is divided into Part 1.A (unclassified inventory) and 1.B (classified inventory).

The conditions A1ChemIE must satisfy in order to acquire ownership are set forth in paragraphs 3 and 4 hereof. With respect to centrifuge I

technology, it is understood that access thereto is governed by paragraph 5 hereof.

B.

In consideration q,f the foregoing, AlchemIE agrees to remove said equipment at its sole expense and assume financial responsibility for ultimate decontamination, as applicable, and disposal thereof pursuant to paragraph 7.

Additionally, AlchemIE agrees to pay DOE two percent (2%) of the annual gross sales generated by AlchemIE at its production facility utilizing the equipment in Attachment 1.B. over a period of 20 years, beginning in 1991 and continuing annually through 2010.

i The term "Annual Gross Sales" means the aggregate 12-month sales by AlchemIE of centrifuge-enriched stable isotopes, without deduction. The first payment hereunder thall be for AlchemIE's annual gross sales for calendar year 1991 and shall be due and payable to the DOE on or before January 31, 1992.

Subsequent payments shall be computed, payable and due in like fashion. 1

A1ChemIE agrees that DOE, the Comptroller General of the United States, or any of their duly authorized representatives, may, r

upon reasonable notice, review and inspect any directly pertinent books, documents, papers, and records of A1ChemIE relating to annual gross sales at the AlchemIE corporate offices at 702 South Illinois Avenue, Suite 202-B, Oak Ridge, Tennessee 37830, or any other locations as appropriate.

3.

Ownership of Unclassified Equipment L

A.

Ownership of the unclassified equipment shall vest in A1ChemIE upon:

i (i) Receipt of the opinion by the Attorney General that the proposed transfer of equipment to A1 Chem!E is not inconsistent with f

the antitrust laws, as required by FPMR 101-45.310; and (ii)

Deposit by A1ChemIE of $2 million in an escrow account pursuant to an agreement between A1 Chem!E.and a bank, the terms of which have heretofore been approved by DOE. The approved form of escrow agreement is attached hereto and made a part hereof as attachment 2.

B.

The purpose of the $2 million escrow account is to additionally compensate DOE for the unclassified equipment should AlchemIE not obtain ownership of the classified equipment. Therefore, the parties agree that: -

h (i)

Interest on the escrowed funds shall be the property of AlchemIE; (ii) The escrow agreement shall terminate and the funds be released to AlChemIE when A1ChemIE acquires ownership of.the classified equipment pursuant to paragraph 4 hereof; (iii) Should AlchemIE not.obtain ownership of the classified equipment and this Agreement is terminated under paragraph 4 after ownership of the unclassified equipment has yested in AIChem!E, the escrowed funds shall become the property of 00E without requirement of any legal action.

C.

If the Attorney General advises that the transfer would be inconsistent with the antitrust laws, this Agreement shall terminate.

If AlChemIE has not deposited $2 million in the escrow account within 30 days after the date of receipt of the opinion of the Attorney General

that the proposed transfer of equipment to AIChem!E is not inconsistent 1

with the antitrust laws, this Agreement shall terjninate.

Said 30-day i

period may be extended by mutual agreement of.the parties.

4.

Ownership of Classified Equipment A.

Upon occurrence of all the following events, ownership of the classified gas centrifuge equipment shall vest in AlChem!E: l

(i) NRC issuance to AlchemIE of_ a construction license authorizing it to possess gas centrifuge machines (such machines being "production facilities" as defined in 5 11v. of the Atomic Energy Act) and the uranium contamination contained in certain of the machines; (ii) NRC and DOE approval of the A1 Chem!E security plan for the transportation and protection on a continuing basis of the classified gas centrifuge enrichment equipment and technology; (iii) Approval by DOE of AIChemIE's machine disposal plan; L

(iv) Approval by p0E of AIChem!E's approach for assuring that adequate funds will be available for decontamination and disposal of all classified and/or contaminated equipment should A1ChemIE, for any reason, fail to do so.

(Seeparagraph7);

(v) Receipt and approval by DOE of the insurance policy described in paragraph 8; (vi) Approval by DOE of AlchemIE's schedule for removal of centrifuge equipment from DOE's facilities (See paragraph 6); and (vii) Receipt of the opinion by the Attorney General that the proposed transfer of equipment to A1ChemIE is not inconsistent with the anti-trust laws, as required by FPMR 101-45.310.

1 B.

Failure of DOE to approve any of the foregoing shall not be a "dispute" within the meaning of paragraph 16. Accordingly.

AlChem!E understands and agrees that DOE's determination with respect to each of the above items is unilateral and final and is not subject to administrative or judicial review in any forum.

l C.

If events (1) through (vii) of paragraph A have not occurred within one year after the date of execution hereof or any extension agreed to by parties, this Agreement shall terminate.

AlChemIEshallmakenoclaimforrefundofanypaygentsitmayhavemade to DOE prior to termination.

l 5.

MeesstoCentrifugeTechnology. Upon DOE issuance of a Pennit for Access to Restricted Data, category C-24 -isotope separation, pursuant to 10 CFR Part 725 (as amended by Federal Register Notice, Vol.

52, No. 156, dated August 13, 1987), A1ChemIE shall be afforded access to classified centrifuge technology.

Failure of DOE to issue a pennit shall not be a "dispute" within the meaning of paragraph 16.

6.

Location of Equipment and Removal.

A.

The equipment identified in Attachment 1 (Parts 1.A. and 1.B.) is located at the DOE Gas Centrifuge Enrichment Plant ("Plant") in Piketon, Ohio. Alchem!E shall bear all costs of disassembling, packing, removing, and transporting the equipment from the Plant to its secure 9

g facility in Tennessee. To the extent AlchemIE removes the equipment with its own forces or ' participates in removal by others, it shall comply with DOE safety, health, security and other requirements related to its presence at the Plant.

B.

A1ChemIE shall remove all equipment from the Gas Centrifuge Equipment Plant in accordance with a schedule to be agreed to by the parties.

If it fails to remove all equipment within the period specified in the schedule, it shall thereafter pay DOE on a monthly basis for the continued storage of any remaining equipment.

The amount of such storage fee and other details shall be set forth in the removal schedule.

C.

Notwithstanding subparagraph B above, removal of centrifuge equipment from the northern half of Process Building Number One shall begin in February 1988 and shall be completed by the end of November 1989 or such later date as determined by DOE, Until ownership vests in AlchemIE, DOE agrees to store said equipment elsewhere at the Plant, at no storage cost to A1 Chem!E.

AlchemIE understands and agrees that if it fails to initiate removal in February 1988, DOC, at DOE's expense, will begin removal using expedited and economical methods.

If A1ChemIE begins removal in February 1988 but DOE later determines that A1ChemIE will be unable to complete removal by November 1989 or such later date as i

determined by DOE, AlChemIE understands and agrees that DOE may remove, at DOE's expense, remaining equipment using expedited, economical procedures. Although DOE may permit AlChem!E activities to continue i

concurrently with DOE's AlChemIE shall cease removal operations if so l

l directed by DOE.

l AlChemIE is under no obligation to take any equipment removed by DOE pursuant to this subparagraph C.

If A1 Chem!E desires such equipment, it assumes the risk that the equipment may have been damaged during removal.

this Agreement to more accurately account for components of major system items that.may not be completely represented by the descriptions therein.

Alchem!E may, at its expense, pr wide for declassification of certain items on Attachment 1.B.

l 7.

Decontamination and Disposal.

A1ChemIE shall be responsible for the decontamination and disposal of all classified or contaminated equipment of which it has acquired ownership.

It shall ascertain the cost for the protection, decontamination, and disposal of the entire i

classified or contaminated inventory received by AlChemIE. AlChemIE shall provide assurance, in an amount and form acceptable to 00E, that adequate funds will be available for decontamination and disposal of all classified and/or contaminated equipment should AlchemIE, for any l

reason, fail to do so.

8.

Hold Harmless and Indemnification. AIChem!E agrees to hold harmless and indemnify DOE from any liability of any kind or character whatsoever, including damage to property or injury to or death of persons, arising from the use or operation by AlchemIE of the gas

L centrifuge process or equipment. AlchemIE agrees to obtain and maintain a general liability insurance pqlicy covering AlChem!E operations and this hold harmless and indemnification of DOE.

Said policy shall be submitted for DOE approval of the policy limit, coverage provisions, and insurance carrier.

9.

Resale. AlchemIE shall not convey ownership of the classified equipment described in Attachment 1 (Part 1.B.) without the prior consent of DOE, 10.

Disclaimers.

A.

All equipment is :onveyed to A1ChemIE "as is, where is" in place at DOE's Gas Centrifuge Equipment Plant in Piketon, Ohio.

DOE disclaims any and all warranties, express or implied, including but not l

limited to, the warranty of merchantability and the warranty of fitness for a particular purpose. AlChemIE hereby acknowledges that the gas centrifuge equipment was designed and manufactured to enrich uranium and was not designed for the purposes intended by AlchemlE. A1ChemIE assumes all risk for such use.

B.

DOE assumes no responsibility with respect to the use, sale, or other disposition by A1ChemIE, its vendors, customers, or transferees of the equipment sold hereunder, of products made by use of such equipment or of information or data, if any, {urnished under this agreement.

C.

Althoa h both parties believe Attachment 1 to be accurate, DCi makes no representation that all items listed in are, in fact, present at the Plant.

11. Patent Understandings, A.

Nothing in this Agreement is to bg construed as:

i (i) Granting by implication, written or otherwise, any license or right under patents or patent applicatiens owned or l

controlled by the Government other than the implied license to use

-equipment or machines sold under this Agreement for enriching stable non-fistile isotopes; or

(ii) A warranty or reprecentation by the Government that t

l the use of equipment or machincs sold under this Agreement will not

l infringe rights of third parties; or l.

j (iii) An obligation on the part of the Government to bring l

l or prosecute any actions or suits acainst third parties.for patent 4

infringement; or (iv) An obligation on the part of the Government to file l

any patent application, secure any patent or maintain any patent in

. force; or f

4 (v) A restriction on the Government's right to j

manufacture, sell or use or to license others to manufacture, sell or use gas centrifuge equipment or machines for any p,urpose whatsoever.

B.

This Agreement does not provide a basis for the l

Government to assert rights in AlchemIE inventions.

C.

The Government is not aware of intellectual property rights owned by third parties which would be infringed based on the use of equipment or machines sold under this Agreement. i

12.

Covenant Against Contingent Fees. AlChem!E warrants that no person or selling agency has been employed or retained to solicit or secure this contract upon an agreement or understanding for a commis-l sion, percentage, brokerage, or contingent fee, excepting bona fide employees or bona fide established comercial or selling agencies maintained for the purpose of securing business.

For breach or vio-lation of this warranty, the Government shall have the right to annul this contract without liability or in its discretion to deduct from the contract price or consideration, or othewise recover, the full amount ofsuchcommission, percentage, brokerage,orcont(ngentfee, i

13. Officials Not to Benef.it. No member of or delegate to Con-gress, or rcsident commissioner, shall be :dmitted to any share or part of this contract, or to any benefit that may arise therefrom; but this provision shall not be construed to extend to this contract if made with a corporation for its general benefit.

l 14.

permits--Laws, Regulations and Ordinances. AlChemIE shall procure all necessary permits or licenses and comply with all applicable laws, regulations, and ordinances of the United States and of any State, territory or political subdivision.

15. Applicable Law. This contract shall be construed in accor-dance with the internal law of the United States applicable in the United States Federal Courts to contracts to which the Government of the United States of America is a party, including, but not limited to the Atomic Energy Act of 1954, as amended.

4-16.

Disputes.

A.

This contract is subject to the Contract Disputes Act of 1978(41U.S.C.601-613)(theAct).

Ei.

Except as provided in the Act, all disputes arising under or relating to this contract shall be resolved under this clause.

C.

"Claim," as used in this clause, means a written demand or written assertion by one of the contracting parties seeking, as a matter of right, the payment of money in a sum certain, the adjustment or interpretation of contract ter1ns, or other relief, arising under or relating to this contract. A claim arising under a contract, unlike a claim relating to that contract, is a claim that can be resolved under a contract clause that provides for the relief sought by the claimant.

However, a written demand or written assertion by the Contractor seeking the payment of money exceeding $50,000 is not a claim under the Act until certified as required by subparagraph D.(ti) below. A voucher, invoice, or other routine request for payment that is not in dispute J

when aubmitted is not a claim under the Act. The submission may be converted to a claim under the Act, by complying with the submission and certification requirements of this clause, if it is disputed either as to liability or amount or is not acted upon in a reasonable time.

D.

(1) A claim by A1 Chem!E shall be made in writing and submitted to the Contracting Officer for a written decision. A claim by i -

The Contracting Officer's decision shall be final unless AlChemlE appeals or files a suit as provided in the Act.-

G.

The Government shall pay interest on the amount found due and unpaid from (1) the date the Contracting Officer receives the claim (properly certified, if required), or (2) the date payment otherwise would be due, if that date is later, until the datg of payment.

Simple interest on claims shall be paid at the rate, fixed by the Secretary of the Treasury as provided in the Act, which is opplicable to the period during which the Contracting Officer receives the claim and then at the rate applicable for each 6-month period as fixed by the Treasury Secretary during the pendency of the clai:n.

17. Term and Termination, A.

The term of this Agreement shall continue until all classified and/or contaminated equipment has been ultimately decontaminated and disposed of or until sooner terminated in accordance _

with this paragraph 17 or paragraphs 3 or 4.

Notwithstanding the i

foregoing, AIChemIE's obligation to pay DOE two percent of'its gross sales shall cease at the end of the period specified in paragraph 2.

After ownership of the equipment has vested in AlChemlE,.

DOE may terminate this Agreement for default if AlChemlE fails to:-

(i) Decontaminate and dispose of classified and/or contaminated equ'pment in accordance with the machine disposal plan; or

(ii) Comply with any provision of this Agreement, I

including provisions of those doguments submitted by-AlChemIE and approved by DOE pursuant to paragraph 4.

C.

In the event of termination, ownership of all classified equipment shall revert to the Government without the necessity of further action by and at no cost to DOE.

The Government may take such action as it deems appropriate with respect thereto, and the funds i

guaranteed by AlchemIE pursuant to paragraph 7 shall be used for the payment of the Government's costs in connection with the disposition of all classified equipment in AlChemlE's possession.,

ESCROW AGREEMENT l

THIS ESCROW AGREEMENT is made and entered into on this the day of

ISOTOPE ENRICHMENT, INC., a Tennessee corporation hereinafter.

referred to by its acronym "AlChemIE" and-I

hereinafter referred to as "Escrow Agent."

WITNESSETH:

l THAT WHEREAS ALCHEMIE and the United States Department of Energy (USDOE) have entered into a contract for the sale by i

USDOE to AlchemIE of equipment from the terminated GAS CENTRIFUGE ENRICHMENT PROGRAM, and i

j WHEREAS, said equipment is currently located at DOE's Gas Centrifuge Plant in Portsmouth, Ohio, and a benefit to USDOE from the AlchemIE/USDOE transaction is the bost avoidance of removing said equipment, and AlChemIE has agreed to pay the cost thereof, and 1

WHEREAS, to additionally compensate DOE under certain l

circumstances, AlchemIE has agreed to post an oscrow account in the amount of Two Million Dollars, with the terms and i

conditions of said account governed by this document, and i

i WHEREAS, the applicable portions of the AlchemIE/USDOE agreement addressing the escrow account are stated verbatim as f

follows:

"A.

Ownership of the "nclassified equipment shall vest in AlchemIE upon:

(ii) Deposit by AlchemIE of $2 million in j

an escrow account pursuant to,an.

agreement between AlchemIE and a bank, the terms of which have heretofore been approved by USDOE.

The approved form of escrow agreement is attached hereto and made a part hereof as Attachment 2.

B.

The purpose of the $2 million escrow account is j

to additionally compensate USDOE for the 1

unclassified equipment should AlchemIE not j

obtain ownership of the classifi9d equipment.

Therefore, the parties agree that i

Interest on the escrowed funds shall be the property of AlchemIE; (ii) The escrow agreement shall terminate and the funds be released to AlchemIE when AlChemIE acquires ownership of the classified equipment pursuant to paragraph 4 hereof; (iii)

Should AlchemIE not obtain ownership of the classified equipment and this Agreement is terminated under paragraph 4 after ownership of the unclassified equipment has vested in AlchemIE, the escrowed funds shall become the property of DOE without requirement of any legal action.

C.

If the Attorney General advises that the transfer would be inconsistent with The antitrust laws, this Agreement shall terminate.

If AlchemIE has not deposited $2 million in the escrow account within 30 days after the date of receipt of the opinion of the Attorney General that the proposed transfer of equipment to AlchemIE is not inconsistent with the antitrust laws, this Agreement shall terminate.

Said 30-day period may be extended by mutual agreement of the parties."

(AlchemIE/USDOE Agreement, pages 4 and 5) l NOW, THEREFORE, in order to establish an escrow account which meets the foregoing criteria, AlchemIE and agree as follows:

1. AlChomIE hereby deposits Two Million Dollars with which shall hold said funds as Escrow Agent.

2.

Interest gon6 fated from the escrowed funds shall be the property es AlchemIE and shall be paid periodically to AlChemIE, at AlchemIE's direction.

3. The disposision of the escrowed funds shall occur as i

follows:

a)

The escrowed funds ($2 million without deduction) shall be remitted to USDOE, in accordance with the terms of this agreement.

b)

If AlchemIE performs the actions necessary to obtain ownership of classified gas centrifuge equipment pursuant to Paragraph 4 of the j

4 AlchemIE/USDOE agreement, then, upon submission i

of proof thereof to the Escrow Agent, the escrow funds shall be disbursed upon demand to AlChemIE.

c)

If AlchemIE obtains ownership of the unclassified gas centrifuge equipment but does not obtain ownership of the classified j

equipment, then, upon submission of proof thereof to the Escrow Agent, the escrow funds i

shall be disbursed upon demand to USDOE.

l d)

For purposes of this Agrennent, "Proof" shall be defined as an instrument signed by USDOE and f

attesting to the Escrow Agent the appropriate disposition of the escrowed funds.

l e)

At the time of disbursement under any conditions hereof, accrued interest shall be i

1 paid to AlchemIE.

4. It is expressly understood and acknowledged that the i

escrowed funds are not to,be pledged, assigned, or in any manner encumbered except as addressed herein, i

IN WITNESS WHEREOF, the parties hereto now sign this Escrow Agreement, attesting by the signatures below that this document has been read, understood, and concurred with in full.
