PROPOSED INDIRECT TRANSFER OF CONTROL OF NIAGARA MOHAWK POWER CORPORATION'S INTEREST IN NINE MILE POINT NUCLEAR POWER STATION, UNIT NOS.1 AND 2 (TAC NOS. MA2432 AND MA2433)
Dear Mr. Mueller:
Under cover of your July 21,1998, letter, you submitted an application requesting that the U.S. Nuclear Regulatory Commission (NRC) consent to a proposed indirect transfer of control regarding the interest held by Niagara Mohawk Power Corporation (NMPC) under the operating licenses for Nine Mile Point Nuclear Station, Unit Nos.1 and 2. This indirect transfer of control would be to a New York corporation, Niagara Mohawk Holdings, Inc., to be created as a new holding company over NMPC. This restructuring is in accordance with the Settlement Agreement reached with the New York Public Service Commission (PSC Case Nos. 94-E-0098 and 94-E-0099), dated October 10,1997, revised March 19,1998, and attached to your letter of July 21,

1998. Pursuant to 10 CFR 50.80, we are reviewing the request and have forwarded the enclosed notice to the Office of the Federal Register for publication.
