The Company, which is the principal subsi diary of Texas Utilities Capany, is constructing two nuclear-fueled generating units at the Cmanche Peak Nuclear Generating Station (Comanche Peak). Each unit has been designed for a capability of 1,150 megawatts. This project is subject to the Jurisdiction of the Nuclear Regu!atory Canmission (NRC). NRC regulations govern the granting of licenses for the construction and operation of nuclear power plants.

On November 18, 1987, the NRC's Atomic Saf ety and Licensing Board considering the C ompan y's application for oper a t ing licenses for Comanche Peak entered a Memorandum and Order establishing a schedule for li ti gation of the one remai ning contention in such proceeding, which relates to the Capany's

,~ quality assurance / quality control program at the plant. Based upon such schedule, and considering the Capan y' s current schedule for the completion of reports on which the hearings will be ba s ed , the Capany has concluded that its current projected date /or comercial operation of Unit 1 of Comanche Peak in early 1969 is no longer achievable.

The Ccmpany, in connection with its annual review of its construction ,nroram, is currently reviewing its cost estimates for the empletion of the two Comanche Peak generating units and i

expects to annomce revisions in ear 1y 1988. At present, the C a pany does not believe that the licensing process can be completed in time f or commercial operation of Unit I until af ter the sumer ' peak of 1989 and is therefore making other arrangements to supply customer needs during such period.

Reference is also made to the Company's Form 10-Q for the quarter ended September 30, 1987 in Item 1. under Note 8 to Fiaanelal Statements and in item 5 The Company, which is the principal subsidiary of Texas Utilities Company, is constructing two nuclear-fueled generating units at the Comanche Peak Nuclear Generating Station (Comanche Perk). The Company owns an 87 5/6% interest in such facility, s Other owners of Comanche Peak are the Texas Municipal Pewcr i Agency, Brazos Electric Power Cooperative, Inc., and Tex-La Electric Cooperative of Texas, Inc., which own 6.2%, 3.8%

and 2 1/6% interests, respectively.

Effective December 14, 1987, the Company entered into an agreement with Gibbs & Hill, Inc. (Gibbs & Hill) to settle claims against Gibbs & Hill relating to engineering and design services performed by it for Comanche Peak. Gibbs & hill was the original architect-engineer for the Comanche Peak project. Under terms of the s e t t l emer,t , the Company and the other owners of the Comanche Peak project will receive a total of $25 million in cash, deferred payments and future engineering services which will be provided to the Company on non-nuclear projects.
