32-97 A Resolution of no opposition to the merger of Centerior Corporation and Ohio Edison under a new holding company called FirstEnergy.

WHEREAS, Centerior Corporation has been a valued corporate citizen, a major employer, a significant taxpayer and a " good neighbor" in the City of Avon Lake since 1926, and WHEREAS, the merger of Centerior Corporation and Ohio Edison would create a larger enterprise with more resources to offer the customers, and WHEREAS, a rate reduction plan has been filed with the Public Utilities Commission of Ohio which would greatly benefit Centerior customers with rate reductions commencing after the merger is approved, and WHEREAS, the proposed merger would have a positive effect on the economic development of the State of Ohio, now therefore; BE IT RESOLVED BY THE COUNCIL OF THE CITY OF AVON LAKE, STATE OF OHIO:

Section No.

1:

Because of the potential benefits of the merger between Centerior Corporation and Ohio Edison on the economy of the State of Ohio and improved rates for Avon Lake customers, the Council of the City of Avon Lake takes a position of no opposition to the merger and urges state and federal regulators to approve the FirstEnergy merger.

Section No. 2:

That copies of this Resolution be forwarded to Governor George V.

Voinovich, Ohio Consumers Counsel Robert S.

Tongren, members of the Federal Energy Regulatory Commission, members of the Nuclear Regulatory Commission, members of the Public Utilities Commission of Ohio, State Senator Alan Zaleski and State Representative John Bender.
