T'helencidse'd Order is in response to ain dpplication dated August 20,.1996, as supplemented by letters dated October 16, 1996, and October 30, 1996, from Portland General' Electric' Company (PGE). The-application recuested Commission' approval,' pursuant;to Section 50.80 of Title 10 of the Code of Federal' Regulations, to the extent necessary in connection with'the proposed merger of Portland General Corporation.(PGC),' PGE's parent, with and into Enron Corporation (Enron).

Enron, a Delaware corporation, is an integrated natural gas company with headquarters in Houston, Texas. 'All of Enron's operations are carried out by subsidiaries-and affiliates principally engaged in the gathering,-

transportation, and wholesale marketing of natural gas. Upon the consummation of the merger, PGE'will become a wholly owned subsidiary of Enron, which will essentially change its status to an Oregon corporation. PGE would continue to remain the operator and principal owner of the Trojan Nuclear Plant.

The staff has completed its review of the application under 10 CFR 50.80 and has determined that it should be approved, as documented by the enclosed Order. The staff's safety evaluation in support of the Order is also enclosed.

A copy of the Order is being sent to the Office of the Federal Register for publication.

! The enclosed Order is in response to an application dated August 20, 1996, as
