! JThe enclosed Order and Safety Evaluation are in response to North Atlantic Energy Service Corporation's letter of May 8,1996, requesting approval' [

pursuant to 10 CFR 50.80, on behalf of Great Bay Power Corporation (Great- ,

Bay), of the indirect transfer of control of Great Bay's 12.1324-percent interest in the Seabrook Station, Unit No. 1 operating license.

Great Bay has proposed a corporate restructuring that will result in Great Bay ,

becoming a wholly owned subsidiary of a new corporate entity, Great Bay Holdings. Corporation. . The Commission has concluded that Great Bay would i

^ remain qualified to be the holder of the license after the restructuring and  ;

that the transfer is otherwise consistent with applicable provisions of law, ,

regulations, and Orders issued by the Commission pursuant thereto, '
