Wisner Attorneys Dear Mr. Pr$Cet Paragraph 2 of Article IV of Indemnity Agreement No. B-22 be-tween the AEC and Consumers Power Company states that "Neither this a-greement nor any interest therein nor claim thereunder may be assigned or transferred without the approval of the Commission."

On June 6,1968, Consumers Power Company, a Maine corporation, was merged into Consumers Power Company of Michigan, a Michigan corpo-ration. The resulting corporation is Consumers Power Company, a Michi-gan corporation. Pursuant to st' ate statute, the resultin6 corporation has all of the property (real, personal and mixed), rights, privileges, powers, franchises and immunities, and is subject to all of the lia-bilities, restrictions, disabilities and duties of Consumers Power Company, a Maine corporation. The purpose of the merger, which is more fully described in our April 10, 1968 letter to Dr. Peter A. Morris (Dht.Nos. 50-155,50-25,70-660,70-1104,20-08606-01and20-08606-02),

was to change the Company's state of incorporation from Maine to Michigan.

We would appreciate receiving the Commission's consent to the transfer of the Company's interests in Indemnity Agreement No. B-22 to Consumers Power Company, a Michigan corporation, incident to the merger, to the extent such consent is required by law or by the terms of the 2

Indemnity Agreement. We have previously received the Commission s con-sent to the transfer of our licenses covered by the above-mentioned docket numbers.
